寶實得私有化聯合石棉溢價43%

（吉隆坡18日訊）寶實得（BSTEAD，2771，主要板種植）每股4.30令吉私有化聯合石棉（UAC，4537，主要板工業）兼派息計劃，遭券商評估溢價約1.30令吉或43%。

獨立咨詢顧問KAF投銀指出，若從5月17日起5個交易日的平均加權比重計算，寶實得提出的獻購價共溢價43%。

聯合石棉在2008年1月16日之后，股價就沒有超過4.30令吉水平，即使宣佈私有化計劃后，股價亦從未超過4.30令吉水平。

今日閉市時，聯合石棉起2仙至4.21令吉，成交量僅4萬1400股；寶實得早前已指出，聯合石棉股權交易流通度不高，是公司決定私有化主因。

根據馬證交所資料，這項計劃將透過選擇性資本削減和回退，及派息方式完成。

在私有化計劃完成前，寶實得持聯合石棉65%股權，完成收購后將保留和持有聯合石棉100萬股。[ChinaPress]

（吉隆坡19日讯）独立顾问认为，联合石棉（UAC，4537，主板工业产品股）私有化献议“公平合理”，并建议股东接受。

作为联合石棉私有化献议独立顾问KAF西金投资银行说，由莫实得（Bstead，2771，主板种植股）提出的私有化献议“公平合理”，也不会对无利益关系股东产生不利影响。

“我们建议联合石棉无利益关系股东在股东特别大会上、对私有化献议投赞成票。”

KAF西金投银指出，股东接受献议将可在投资联合石棉上获得现有股价溢价效益，因为自2008年1月以来，该股从未攀高至4.30令吉的水平。[Nanyang]

回退資本後下市 聯合石棉通過私有化

（吉隆坡10日訊）寶實得（BSTEAD，2771，主要板種植）每股4.30令吉私有化聯合石棉（UAC，4537，主要板工業）計劃獲97%股東通過，將在資本削減及回退計劃完后下市。

文告中指出，今日特別大會上，持聯合石棉65%股權的大股東寶實得宣佈放棄投票資格，97%小股東同意這項計劃，公司將在高庭通過這項表決后進行資本削減及回退項目。

在這項計劃下，寶實得將向小股東支付每股4.30令吉或總值1億1130萬令吉，較5月21日提出獻售的閉市價溢價52.48%；聯合石棉最后報價4.25令吉，與獻售價相差5仙。

寶實得副主席兼集團董事經理丹斯里洛丁在文告中指出，97%小股東在特大表明同意私有化。

“過去數年來聯合石棉股項欠流通，盈利呈現停滯狀態，冀透過此機會獎勵長期支持公司的小股東，儘管下市但不會裁員。”

文告指出，私有化聯合石棉將對寶實得帶來協合利益，建築及房地產業完整的產品及客戶將貢獻至后者交易及製造業務。[ChinaPress]
