PROPOSED ADOPTION(COLLECTIVELY REFERRED TO AS THE "PROPOSALS") | On behalf of the Board of Directors of RedPlanet ("Board"), UOB Kay Hian (M) Sdn Bhd (formerly known as UOB Kay Hian Securities (M) Sdn Bhd) ("UOBKH") wishes to announce that the Company had on 28 August 2025 received a letter from PKSen Ventures Sdn Bhd, Newventures Equity Sdn Bhd, Fajar Muda Sdn Bhd and Lian Wah Seng (collectively, the "Proposers"), requesting the Board to consider undertaking a proposed transfer of listing from the LEAP Market of Bursa Malaysia Securities Berhad ("Bursa Securities") to the ACE Market of Bursa Securities ("Proposal Letter").
Pursuant to the Proposal Letter, the Board (save for Lian Wah Seng, Panjetty Kumaradevan Senthil Kumar and Mohamad Azhar Bin Ahmad) had deliberated on the Proposal Letter from the Proposers and agreed to undertake the following:- i. proposed voluntary withdrawal of listing of RedPlanet from the LEAP Market of Bursa Securities pursuant to Rules 8.05 and 8.06 of the LEAP Market Listing Requirements of Bursa Securities ("LEAP Market Listing Requirements") ("Proposed Withdrawal"); and
ii. proposed listing of RedPlanet on the ACE Market of Bursa Securities pursuant to Rules 3A.02(1) and 3A.02(2) of the ACE Market Listing Requirements of Bursa Securities ("ACE Market Listing Requirements") ("Proposed Listing"), (collectively referred to as the "Proposed Transfer")
In conjunction with, and as an integral part of the Company's Proposed Listing, the Company proposes to undertake a bonus issue of 170,325,271 new ordinary shares in RedPlanet ("Share(s)") ("Bonus Share(s)") on the basis of 1 Bonus Share for every 1 existing Share held on the entitlement date to be determined later ("Entitlement Date") ("Proposed Bonus Issue").
For information purposes, the Proposed Bonus Issue is intended to be undertaken by the Company purely as a pre-listing reorganisation exercise prior to the Proposed Transfer, where it forms an integral part of the Company's listing of and quotation for its enlarged issued share capital on the ACE Market of Bursa Securities pursuant to the Proposed Transfer.
In addition to the above and to facilitate the implementation of the Proposed Transfer, the Company proposes to adopt a new Constitution of RedPlanet ("Proposed Adoption").
(The Proposed Transfer, Proposed Bonus Issue and Proposed Adoption are collectively referred to as the "Proposals")
