We refer to the announcement made on 6 December 2007 in relation to, amongst
others, the Proposed Rights Issue and Proposed Exemption.
On behalf of LCL, CIMB Investment Bank Berhad ("CIMB") wishes to announce that
the Securities Commission ("SC") has in its letter dated 11 February 2008
(which was received on 12 February 2008), informed that the SC will consider
the Proposed Exemption after fulfillment of the following conditions:
(i) Approval from the independent holders of voting shares of LCL, on a
poll in a general meeting in which the interested parties are to abstain from
voting. The result of the poll has to be confirmed by an independent auditor;
(ii) Provision is made for the shareholders of LCL for competent
independent advice regarding the Proposed Exemption. The appointment of the
independent adviser and the independent adviser's circular to the shareholders
are to be first approved and consented by the SC; and
(iii) Mr. Low Chin Meng ("LCM") and the parties acting in concert with
him, namely LCL Holdings Sdn Bhd, Dato' Syed Ariff Fadzillah Syed Awalluddin,
Encik Mohd Akib Abd Rashid and Mr. Low Chin Fui ("PACs"), are required to
submit declarations (to be furnished after the general meeting of LCL)
addressed to the SC, attesting that they have not purchased any shares in LCL
in the 6 months prior to the posting of the circular relating to the Proposed
Rights Issue and Proposed Exemption to the shareholders of LCL, but subsequent
to the discussion in relation to the Proposed Rights Issue and Proposed
Exemption and until the granting of the Proposed Exemption by the SC (if so
decided).
LCM and the PACs are also required to observe the following:
(i) Approval for the Proposed Exemption from LCL shareholders shall be
valid for the duration of the warrants, i.e. by 5th anniversary;
(ii) There should not be any corporate exercises involving the issuance
of new voting shares by LCL that may affect the shareholding of LCM and the
PACs prior to the triggering of the mandatory offer obligation;
(iii) LCM and the PACs should not trade in the voting shares or warrants
of LCL during the tenure of the warrants. Nevertheless, LCM and the PACs are
allowed to sell/exercise their voting shares/warrants in LCL;
(iv) In the event the mandatory offer obligation is triggered, CIMB, LCM
and the PACs are required to inform the SC of the transaction and to confirm
that all the above conditions have been complied with. An announcement should
be made as notification to LCL shareholders; and
(v) In the event the Proposed Exemption is granted, if so decided, is no
longer necessary, LCM and the PACs are required to make an announcement as
notification to LCL shareholders.

LETTER OF INTENT - RED LINE STATIONS MAIN ARRANGEMENT WORKS ("THE PROJECT")
Contents :
INTRODUCTION
LCL Corporation Berhad is pleased to inform that its UAE based company , LCL Interiors Contracting LLC has on 12 February 2008, received a Letter of Intent dated 3 February 2008 ("LOI") from the Main Contractor , Japan-Turkey Metro Joint Venture ("JT Metro JV") for the sub-contract works entailing the design, supply and installation of Main Arrangement Works Red Line Stations for a contractual sum of AED322,256,133 (approximately RM295 million)
DETAILS OF THE PROJECT
The Project is a light rail transit system serving Dubai city comprising 14 stations and upon completion, shall form part of the transport system of Dubai known as "Red Line Stations".
The Project shall commence immediately and it is expected to complete by second quarter of 2009. The Project was secured through a normal tendering process. The said LOI is available for inspection at the registered office from Monday to Friday between 9 am to 5 pm.
FINANCIAL EFFECT
The Project is expected to enhance the earnings of the Group but does not have any material efffect on the net asset per share, gearing, share carpital and substantial shareholders of the Group.
APPROVAL REQUIRED
The Board of Directors, after due consideration, is of the opinion that the Project is in the best interest of the Company. The Project being incurred in the ordinary course of business , is not subject to the approval of the shareholders or any relevant authorities.
DIRECTORS' AND MAJOR SHAREHOLDERS' INTEREST
None of the directors or major shareholders or persons connected to them have any interest whether direct or indirect in the Project.

LCL bags RM295m Dubai LRT deal

The project will enhance LCL's position as a leading interior fit-out player in the Middle East and globally, says its group managing director
LCL Corp Bhd, an interior fit-out company, has won a RM295 million contract to carry out works for what will be the world's longest automated light rail transit system.
It will carry out fit-out works for the Red Line Stations under the Dubai Metro System, it said in a statement.
"This project is a promising prospect for the group and will greatly enhance our position as a leading interior fit-out player in the Middle East region and globally," group managing director Low Chin Meng said in a statement.
Work will start immediately and is due to be done by the second quarter of 2009. It will do fit-out works for 14 stations across various landmarks in Dubai city.
LCL's United Arab Emirates (UAE) based company, LCL Interiors Contracting LLC received the letter of intent from Japan-Turkey Metro Joint Venture.
"The Dubai Metro Stations will have the same high-quality design and standards as other construction projects in Dubai.
"We are pleased that our established track record in completing interior solutions for some prestigious projects has made the group stand out among other industry players to secure this project," Low said.

Record Dubai job for LCL
PETALING JAYA: Interior fit-out firm LCL Corp Bhd has bagged a contract worth RM295mil to furnish 14 stations for the Dubai Metro System, operator of the world's longest fully-automated light rail transit network.
The project is believed to be the single largest overseas contract secured by LCL to date. It also lifted the group's outstanding order book to about RM950mil.
“The project shall commence immediately and is expected to be completed by the second quarter of 2009,'' LCL said in a statement yesterday.
The Kajang-based company has more than 1,000 employees in Dubai and is already doing interior fit-out work at Dubai Mall Hotel, Dubai Marina Mall and Hotel, as well as Atlantis the Palm Hotel in the Emirates.
Last month, LCL secured a RM145mil interior fit-out job at the Tiara United Towers, also in Dubai.
Apart from Dubai, the company is also actively bidding for new projects in other Middle Eastern countries, India and Kazakhstan, as well as at home.
LCL shares rose 20 sen to RM6.55 yesterday on volume of 16,900 shares. The stock hit a record RM7.85 on Jan 11.
Recent price weakness was partly due to concerns that LCL might miss analysts' bullish earnings target for the year ended Dec 31 (FY07).
LCL is scheduled to release its fourth-quarter results by the end of this month.
A local investment house, in a recent update, said the group's robust expansion to gear up its workforce in recent months to meet work demand in Dubai was likely to eat into its FY07 profits.
But a steady stream of new jobs expected to come in the coming months should enable the group to meet the market's high expectation for FY08.
In December, LCL proposed to split the stock from 1 share of RM1 each into two 50 sen shares. It also proposed to sell rights shares with warrants to raise RM80mil to RM90mil, mainly for working capital purposes.
The exercise is targeted for completion in the second quarter of this year.

(吉隆坡13日訊)LCL機構(LCL,7177,主板貿服股)宣布,旗下子公司LCL室內承包有限公司(LCL Interiors Contracting)收到意向書,以負責為總值3億2230萬阿聯酋迪拉姆(2億9500萬令吉)的迪拜地下鐵系統,進行室內設計工程。
