Semperit指出：“这个收购计划因此不再附带有任何条件，也将会很快完成。”

目前，Semperit已经持有利得股份70.2%股权。

（维也纳22日讯）利得股份（Latexx，7064，主板工业产品股）大股东———奥地利橡胶与塑料产品制造商Semperit AG控股，计划将前者除牌。

Semperit持有利得股份的83%股权，前者有意献购结束后开始除牌。

根据早前的报道，Semperit已获得该国及德国监管单位批准全面献购利得股份，献购截止期为11月23日。

上个月，Semperit提出的每股2.30令吉和每凭单1.77令吉的献购价全面收购利得股份，在全球第4大和第6大业者合体之后将一跃成为全球第2大橡胶手套业者。

对于上述献购价，独立顾问认为，这是“合理”的。

作为此交易独立顾问的兴业投资银行表示，Semperit提出的每股2.30令吉和每凭单1.77令吉献购价，对小股东并没有不利的地方。

第三季業績疲弱‧利得股份應聲跌

（吉隆坡26日訊）獲奧地利公司併購的利得股份（LATEXX，7064，主板工業產品組），因第三季業績疲弱，股價今日應聲下跌。

獻購截止影響市場情緒
一般相信，該公司獻購建議的截止日期為上週五（23日），也影響了市場投資情緒。

利得股份今日一度失守2令吉關口，最低跌至28仙至1令吉98仙，過後收窄跌幅，全天收2令吉14仙，共跌12仙。

該公司上週五公佈的9個月業績顯示，營運盈利挫37%至3千400萬令吉，淨利跌45%至2千400萬令吉，這僅佔聯昌全年預測的55%。

聯昌預測在利得股份產能利用只達40%或年產30億手套，主要受老舊機器所限，因此相信買方將加速該公司的業務整合過程。

該行下修2012至2014財政年淨利預測5至15%，由“中和＂評級下調至“落後大市＂，目標價2令吉30仙，與奧地利橡膠製品企業森佩理特（Semperit）提出的獻購價相等。

聯昌研究認為，森佩理特已完成利得股份首席執行員劉木德與大股東持有的股份與憑單收購，前者目前總共持有約83%（稀釋後）或2億7千470萬令吉持股（稀釋前為80%或2億2千270萬令吉），因此相信在獻購截止後，會開始展開除牌行動，以利森佩理特整合大馬與歐洲及泰國的業務。（星洲日報／財經）

（吉隆坡23日訊）利得股份（LATEXX，7064，主板工業產品組）因涉嫌侵犯賀特佳（HARTA,5168,主板工業產品組）專利，接獲後者旗下子公司及Sentinel工程公司發出的侵權索償出庭傳票。

該公司發文告表示，除旗下子公司--利得製造私人有限公司（Latexx Manufacturing）外，另外5家手套製造公司和2家手套機械零件供應商亦接獲相同出庭傳票，公司董事部正尋求律師意見，以對原告採取適當行動。

頂級手套（TOPGLOV,7113,主板工業產品組）在昨日也宣佈，旗下3家子公司接獲賀特佳旗下子公司及Sentinel工程公司發出的侵權索償出庭傳票。（星洲網）

（吉隆坡30日讯）奥地利公司Semperit AG控股全面献购利得股份（Latexx，7064，主板工业产品股）后，宣布5名董事包括主席即日起下车，换上平均年龄仅42.4岁的新队伍上阵。

利得股份今天向马交所报备，指原任德国籍主席兼董事迈克汤姆斯，以及4名非独立非执行董事———奥地利籍的克里门艾克乐、理察艾仁菲那、马克斯托罗斯，以及德国籍的佐翰纳斯博士，5人辞去本身职务。

文告中提到，上述5名平均年龄47.6岁的原任董事，是因为他们与Semperit AG控股集团旗下公司，担任其他职务而辞职。

（吉隆坡4日訊）去年10月接獲澳洲Semperit AG控股獻購的利得股份（LATEXX，7064，主要板工業），配合前者要求，已著手展開自願除牌程序，預計今年次季可完成下市計劃。

該公司今日向馬證交所報備，接獲Semperit AG控股信函，要求董事局考慮展開自願下市，董事局再三考量，決定就此事召開特別股東大會，尋求股東與憑單持有人批准。

截至今年1月30日，Semperit AG控股已握有利得股份1億8523萬98股持股，相等于該公司83.2%繳足資本（不包括庫存股），同時已持有5138萬4701單位憑單。

（吉隆坡15日讯）Semperit AG控股宣布，获得持有利得股份（Latexx，7064，主板工业产品股）9.15%股权股东同意接受全购献议，总持股比例达94.65%。

根据文告，截至今日下午5点的期限，Semperit共持有94.65%股权以及99.10%凭单持有权。

文告说，另有0.39%股东和0.17%凭单持有者，已同意接受全购献议，但有待验证。

（吉隆坡17日讯）利得股份（Latexx，7064，主板工业产品股）2013财年首季净利锐减37.88%，报519万1000令吉，逊于上财年同季的835万7000令吉。

利得股份营业额按年下跌4.45%，报9458万6000令吉；公司2012年首季录得9898万8000令吉。

每股盈利2.29仙

利得股份表示，销量降低以及今年1月开始实施最低薪金制增加劳工成本，影响公司首季营收与盈利。

各领域越来越重视卫生使手套市场需求强稳，公司认为手套市场中短期展望仍不错。

“然而，手套业挑战仍大。尽管原料价今年首季波动不大，但始终是手套业者的最大挑战。其他挑战包括美元波动和最低薪金制，很可能冲击营收。”

利得股份将继续控制成本，确保产品售价具竞争力。此外，公司拟逐步自动化厂房，提升产能和提高成本效益。
