獲廢物處理合約‧TEX淨利看漲

(吉隆坡16日訊)TEX循環科藝(TEXCYCL,0089,創業板貿服組)接獲新廢物代號(Waste Code)處理,加上新增產能烘托,分析員看好2016和2017財政年淨利將更上一層樓。

肯納格研究表示,TEX循環科藝獲准進行20項額外廢物代號處理,加上新廠全面投入運作,將讓公司可進行客制化服務,進而多元化顧客群。

以未來數年產量年增1萬3千570公噸,以及每公斤1令吉零8仙平均售價計,預見TEX循環科藝2016和2017財政年營業額將達3千590萬和5千零50萬令吉,而總盈利賺益企穩,以及低稅率將強化2016和2017財政年淨盈利賺益至36%和40%,進而推高淨利至1千310萬和2千零40萬令吉。

不過,肯納格研究認為,TEX循環科藝自2013財政年開始以低於10倍本益比進行交易,若以富時小資本指數12.5倍為準,其目標價將為96仙,但若將估值基准年改為2017財政年,目標價將為1令吉49仙。

(吉隆坡10日讯)Tex循环科技(TEXCYCL,0089,创业板)获准建设及经营一座每小时可供应2兆瓦(MW)的再生电能发电厂,以售电力给国家能源(TENAGA,5347,主板贸易服务股)。

根据文告,子公司子公司Tex循环(P2)私人有限公司,获得大马永续能源发展机构(SEDA)批准,根据电力回购计划(FIT)计划,从2018年2月28日之前起,提供电力给国家能源,为期16年。【e南洋】

(吉隆坡10日讯)Tex循环科技(TEXCYCL,0089,创业板)接受吉隆坡土地局的提议,以707万4069令吉脱售一片占地1039.7453平方米的吉隆坡地皮。

Tex循环科技昨天向交易所报备,吉隆坡土地局基于上述地皮将用来建造双溪毛糯-沙登-布城捷运路线,所以向公司提出强制征地。

Further to the Company’s announcement dated 9 August 2017, the Board of Directors of the Company wishes to provide further details of the Compulsory Acquisition.
1. INTRODUCTION
Metro Envy Sdn Bhd, a wholly-owned subsidiary of the Company had on 9 August 2017 accepted the offer from Pejabat Tanah Wilayah Persekutuan Kuala Lumpur pertaining to the Compulsory Acquisition for the purpose of “Projek Mass Rapid Transit (MRT) – Jajaran Sungai Buloh-Serdang-Putrajaya (MRT Jajaran 2)” pursuant to Section 16 of the Land Acquisition Act, 1960.
The Land is a 99 years Leasehold land expiring on 25 May 2065.

2. INFORMATION OF PARTIES
2.1  Metro Envy Sdn Bhd (“Metro Envy”)
Metro Envy is a company incorporated in Malaysia on 16 January 2004. The issued and paid up capital of Metro Envy is RM2.00 comprising 2 ordinary shares. Metro Envy is principally involved in renting of investment property.

2.2 The Acquirer
The Acquirer is the Land Administrator of Wilayah Persekutuan Kuala Lumpur who act in accordance with the Land Acquisition Act 1960.

3. INFORMATION OF THE LAND
The size of the affected plot of land to be compulsorily acquired is 1039.7453 m2, which is part of the entire piece of land measuring 4,822.7 m2 located at Lot 35604, Mukim Kuala Lumpur, Daerah Kuala Lumpur, Wilayah Persekutuan registered in the name of Metro Envy.
The affected Land is currently vacant.
The audited net book value of the affected land as at 31 December 2016 is RM3,357,600.
As the Land is a compulsory acquisition and the price is awarded by the Administrator of the Land Office based on valuation made by City Valuers Consultants Sdn Bhd, an independent valuers in its Valuation Report dated 8 November 2016.
The fair compensation payable to Metro Envy as land owner of the property upon the Compulsory Acquisition of the Land as appraised by City Valuers Consultants Sdn Bhd  is  as follows:

The Pentadbir Tanah Wilayah Persekutuan Kuala Lumpur (Land Administrator) had on 24 July 2017 served on Metro Envy a Notice of Award in Form H (“Notification”) to award cash compensation amounting to RM7,074,069.00.  The payment date has yet to be confirmed.

5. ORIGINAL COST AND DATE OF INVESTMENT
The original cost of investment on the 1,039.7453 m2  Land is RM1,174,967 which was made on 12th April 2005.

6. EXPECTED GAINS OR LOSSES FROM THE COMPULSORY ACQUISITION
The expected gain from the Compulsory Acquisition is RM3,563,119.

7. ASSUMPTION LIABILITIES BY PURCHASER FROM THE COMPULSORY ACQUISITION
There are no liabilities, including contingent liabilities and guarantee to be assumed by the Acquirer arising from the Compulsory Acquisition.

8. UTILISATION OF PROCEEDS
Contingent upon the timing of the payment by the Land Office, the proceeds from the Compulsory Acquisition will be utilised for working capital (e.g. audit, tax, secretarial, quit rent and assessments etc) and future investment purposes such as acquiring new properties and equipment which will be determined by the Board at a later stage.
The Directors will determine the breakdown of the utilisation as working capital and future investment purposes at a later stage.
The Company estimated that the proceeds will be utilised within 36 months.

9. EFFECTS OF THE COMPULSORY ACQUISITION
9.1 Share Capital and Substantial Shareholders’ Shareholdings
The Compulsory Acquisition will not have an effect on the share capital of the Company nor on the shareholdings of the substantial shareholders of the Company.

9.2 Earnings Per Share and Net Assets Per Share
The Compulsory Acquisition will not have any material effect on the earnings per share and net assets per share of the Company.
The Compulsory Acquisition is not expected to have any material impact to the operations of the Company and Metro Envy.

9.3 Gearing
The Compulsory Acquisition will not have any effect on the gearing of Tex Cycle Group.

10. ESTIMATED TIMEFRAME FOR COMPLETION
The completion of the acquisition is subjected to land office consent of transfer of the property which is approximately 12 months from the date hereof.

11. DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS
None of the Directors and/or major shareholders of the Company and/or persons connected to them have any interest, direct or indirect, in the Compulsory Acquisition.

12. DIRECTORS’ RECOMMENDATION
The Board, having considered all aspects of the Compulsory Acquisition, is of the opinion that the Compulsory Acquisition is in the best interest of the Company.

13. APPROVALS REQUIRED
The Compulsory Acquisition is not subject to the approval of the shareholders of the Company.

14. HIGHEST PERCENTAGE RATIO
Pursuant to Paragraph 10.02(g) of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad, the highest percentage ratio applicable to the Compulsory Acquisition is 8.336%.

15. DOCUMENTS AVAILABLE FOR INSPECTION
The Valuation Report dated 6 November 2016 and the Notification dated 24 July 2017 from the Land Administrator Wilayah Persekutuan Kuala Lumpur is available for inspection at the registered office of the Company at Level 2, Tower 1, Avenue 5, Bangsar South City, 59200 Kuala Lumpur during normal business hours from Monday to Friday (except public holidays) for a period of three (3) months from the date of this announcement.
The Company will make further announcements on the updates in relation to the Compulsory Acquisition.

(吉隆坡19日讯)Tex循环科技(TEXCYCL,0089,创业板)建议进行三项企业活动,分别是发送红股、成立雇员认股计划(ESOS),以及配售新股给土著投资者。

该公司向交易所报备,将发送高达8539万6500股红股,比例为每持有2股获1股红股。

发送红股活动旨在回馈现有股东,让他们能够持有更多股票,且预计可改善交易流通量,让更多投资者可参与公司的增长。

设10% ESOS

公司亦成立一项占总股票数额高达10%的雇员认股计划,让符合资格的执行董事及雇员认购股票。

为了融资扩展业务及营运资本,公司特别发行高达4026万股新股给土著投资者,假设每股发售价77仙,预计可筹得约3100万令吉。【e南洋】

On behalf of the Board of Directors of Tex Cycle, RHB Investment Bank Berhad wishes to announce that the Company proposes to undertake the following:

(i) proposed bonus issue of up to 85,396,500 new ordinary shares in Tex Cycle (“Bonus Share(s)”) on the basis of 1 Bonus Share for every 2 existing ordinary shares in Tex Cycle (“Share(s)”) held by the shareholders of the Company whose names appear on the Record of Depositors of the Company as at the close of business on an entitlement date to be determined and announced later;

(ii) proposed establishment of an employees’ share scheme of up to 10% of the total number of Shares (excluding treasury shares) at any point in time during the duration of the scheme to the eligible executive directors and employees of Tex Cycle and its subsidiaries which are not dormant; and

发电厂投运可增20%收入.TEX看好废料处理业务潜能

(吉隆坡4日讯)TEX循环科艺(TEXCYCL,0089,创业板贸服组)手上废料处理执照使用率尚未见顶,未来仍具成长潜能。此外,该公司预期明年首季发电厂投运后,将增加20%的经常性收入。

该公司董事经理S.佩里在股东特大后表示,该公司手上废料处理执照可处理的工业废料多达77种,但目前处理中的废料种类只有31种,因此未来仍有发展空间。

截至2016年为止,该公司的营业额与净利报3168万4000令吉及1517万7000令吉,5年复合成长率(CAGR)为16%及14%。

佩里说,目前大马制造业蓬勃发展,这些行业都会制造出工业废料,公司将会回收这些废料,然后循环再用。因此看好此业务的成长潜能。

首席财务员许筱苇举例,该公司向油气业者回收了相关工业废料后,将用于发电厂燃料,焚化后的渣,则可混入洋灰,制造成砖头,将废物充份利用。

发电厂明年首季可竣工

针对发电厂方面,佩里表示,该发电厂仍在建造中,预期明年首季可竣工,届时该业务将占整体营业额的20%。

“尽管发电厂尚未投运,但已经有不少业者向公司接洽,商谈合作事宜。”

佩里表示,公司手握新兴工业地位(Pioneer Status),享有税务奖掖,明年将到期,公司近期内将呈交文件,向有关当局要求延长奖掖期限。

“若无法获得税务奖掖,将需要多缴付约200万令吉的税务开销。”

询及是否会拓展业务至海外,佩里说,公司一直都在注意东盟及海湾市场,惟胥视当地的法规,再决定是否扩展业务。
