Securities Berhad ("Bursa Securities")
Contents : The Company wishes to announce that the percentage of public
shareholding spread based on the Record of Depository as at 31
December 2009 is 17.32%.
The Company does not comply with the minimum public
shareholding spread of 25% pursuant to Paragraph 8.02(1)of the Main
Market Listing Requirements of Bursa Securities ("Required PSS").
The Bursa Securities had vide its letter dated 19 October 2009 granted
the Company a futher extension of time of 6 months until 29 April
2010 ,to comply with the Required PSS.
The Company will continue to take appropriate steps to comply with
the Required PSS which include, amongst others, the following:-
(i) Generate more public interest over the Company’s shares by
conducting analysts’ briefing, press interviews and press releases.
(ii) Continue to actively participate in fairs and exhibitions held
locally and internationally to promote the Company to foreign and
local investors.
(iii) Recommend higher dividend in line with our dividend policy to
attract investors.
(iv) Encourage employees of the Company to invest in the Company
through building awareness of the Company’s long-term goals.
The Company will make appropriate announcements once a proposal
has been reached on the timeline and status of implementation to
rectify the public shareholding spread.
This announcement is dated 14 January 2010.

柬埔寨逾萬鴨子證實死於H5N1

柬埔寨    農林漁業部3日證實，茶膠省戈安德縣一農場約1.6萬隻鴨子最近死於H5N1    型禽流感    。

外電報道，柬埔寨農林漁業部畜牧司司長高帕表示，過去一周內，首都金邊以南約90公里的茶膠省戈安德縣一農場共有數萬隻鴨子染病，其中約1.6萬隻先後死亡。有關機構取樣檢測證明，這些鴨子全部感染了H5N1型禽流感。但目前尚未發現有人受到感染。

農林漁業部3日發表聲明說，該部已要求有關單位撲殺疫區內的所有家禽，並下令暫停疫區周圍半徑5公里範圍內的家禽交易和運輸，以控制禽流感疫情的蔓延。

聲明同時呼籲人們注意家禽飼養場所環境及個人衛生，一旦發現家禽染病死亡現象，立即向有關方面報告。

2004年以來，柬埔寨曾多次暴發禽流感疫情，並導致數人感染死亡。

KUALA LUMPUR: LEONG HUP HOLDINGS BHD [
] and EMIVEST BHD [
] have received takeover offer totaling RM426 million from a major shareholder Emerging Glory Sdn Bhd to acquire all their assets and liabilities.
Leong Hup said on Thursday, Nov 18, the offer for its assets and liabilities was RM318.65 million or RM1.80 per ordinary RM1 share.
In a separate statement, Emivest said Emerging Glory had offered to acquire all assets and liabilities for RM108 million or 90 sen per ordinary 50 sen share.
Leong Hup and Emivest said both offers were inter-conditional and they would remain open for acceptance up till 5.30pm on Dec 20 after which it shall lapse unless Emerging Glory agrees to extend the period.
Emerging Glory said in the offer letter to Leong Hup that of the RM318.65 million, about RM169.70 million would be in cash and the remaining RM148.95 million as amount remaining due and owing by Emerging Glory as debt to Leong Hup.
Datuk Lau Bong Wong, Lau Chia Nguang, Datuk Lau Eng Guang, Tan Sri Lau Tuan Nguang, Leong Hup Management Sdn Bhd collectively hold 82.749 million Leong Hup shares or 46.74%.
As for Emivest, Emerging Glory offer letter stated that of the purchase consideration of RM108 million, about RM46.35 million would be in cash and the remaining RM61.64 million would be remaining due by Emerging Glory as debt due to Emivest.

Datuk Lau Bong Wong, Lau Chia Nguang, Datuk Lau Eng Guang, Tan Sri Lau Tuan Nguang, Mega Perfect  (M) Sdn bhd coelctivekly hold 68.49 million Emivest shares or 57.08%.

特佳控股股東 明年2月或獲資金回退

（麻坡6日訊）特佳控股（EMIVEST，7125，主要板消費）接近100%股東，今日表決接受Emerging Glory以1億800萬令吉收購全部資產；預計股東們可在明年2月獲得資金回退。

特佳控股是于今日上午11時30分，在麻坡美景酒店舉行特別股東大會，共有超過50名股東出席及投票。

大會共通過3項議決，即股東同意把特佳控股所有資產、債務以1億800萬令吉，脫售給Emerging Glory，或等于每股90仙。

另外，特佳控股有限公司將在向法庭申請過后，將所有資金回退給股東。

特佳控股執行董事沈金華指出，共有逾99.9%的股東通過上述議決，意味著大部分股東接受Emerging Glory的收購獻議，並對相關獻議內容表示滿意。

他在特大后受詢時披露，如果有關收購獻議進展順利，料股東們可在明年2月取回退資金。

Emerging Glory早前向龍合（LHH，4839，主要板消費）及特佳控股，提出以總值4.3億令吉的收購獻議，后兩者均已接受獻購。

特佳控股今早首先舉行股東大會表決和通過，一旦龍合也在較后在股東大會上提呈獻議和得到股東同意，意味著Emerging Glory將正式收購上述兩家上市公司。

Emerging Glory為上述公司大股東丹斯里劉團源及拿督劉文源的私人公司，兩兄弟分別在龍合及特佳控股持有46.74%和57.08%股權。[ChinaPress]
