Malayan Flour Mills plans RM140m investment to expand capacity

KUALA LUMPUR: Malayan Flour Mills (MFM) Bhd plans to invest about RM140 million this year to increase its flour milling and raw material storage capacity in its Malaysia and Vietnam plants.

MFM managing director Teh Wee Chye said on Tuesday, May 24 the investment would "substantially" increase the group's production capacity as it sees prospects for growing consumption of flour and flour-related products.

According to the company's annual report, MFM currently has an annual milling capacity of more than 500,000 tonnes of wheat.

This comes as MFM's competitor, PPB GROUP BHD [], announced in March that it intends to set aside about RM140 million to double its flour milling capacity in Indonesia and Vietnam.

Teh also said MFM was looking at possible Asean countries to expand but declined to name specific countries, saying the plans were still at a preliminary stage.

Profit before tax for the 1st quarter ended 31 March 2011 rose 46% to RM40.0 million from RM27.3 million a year earlier due mainly to higher revenue in all businesses and improved margins in the flour division. Revenue for the quarter increased by 39% to RM459.0 million from RM329.3 million recorded in the corresponding period last year.

Malayan Flour Mills Bhd rose to a record in Kuala Lumpur trading after first-quarter net income jumped 68 per cent from a year earlier to RM29.8 million.-- Bloomberg

On behalf of the Board of Directors of MFM, Alliance Investment Bank Berhad is pleased to announce that MFM proposes to implement the following:

• proposed share split involving the subdivision of every one (1) existing ordinary share of RM1.00 each in MFM (“MFM Share(s)”) into two (2) new ordinary shares of RM0.50 each in MFM (“Subdivided MFM Shares”);
  

• proposed declaration and payment of special dividend of 62.0 sen per Subdivided MFM Share less 25% income tax to the shareholders of MFM;
  

• proposed renounceable rights issue of up to 215,289,212 new Subdivided MFM Shares (“Rights Share(s)”) together with up to 107,644,606 free detachable new warrants (“Warrant(s)”) and up to 107,644,606 new Subdivided MFM Shares (“Bonus Share(s)”) attached on the basis of two (2) Rights Shares together with one (1) Warrant and one (1) Bonus Share for every two (2) Subdivided MFM Shares held after the Proposed Share Split;
  

• proposed increase in authorised share capital from RM200,000,000 comprising 200,000,000 MFM Shares to RM500,000,000, comprising 1,000,000,000 Subdivided MFM Shares;
  

• proposed amendments to the Memorandum and Articles of Association (“M&A”) of the Company; and
  

• proposed establishment of a new Employee Share Option Scheme (“ESOS”) involving up to 15% of the issued and paid-up share capital of the Company for the benefit of the eligible directors and employees of MFM and its subsidiaries which are not dormant.

股票分拆后发62仙须扣税股息这段明白，接下来就不明白了。

看了华文报道是这样解释
“在股票拆細後，馬面粉廠建議以2拆細股票配2附加股比例，發售2億1千528萬9千212股附加股，認購2附加股會附送1憑單和1紅股，因此會送出1億零764萬4千606股紅股，和同數目憑單”。
    请问附加股是否意味股东有选择要还是不要？如果要那么怎样，如何认购，还需要申请吗？
认购附加股后送1凭单再加1红股，又意味什么？

（吉隆坡30日讯）马面粉厂（MFLOUR, 3662, 主板消费品组）宣佈股票拆细1变2，过后派发每股62仙特別股息，並建议拆细后，以2配2附加股，送1凭单和1红股计划，最高筹措2亿零20万令吉作为营运资本。
一度暴涨15.56%
马面粉厂表示，上述计划是为了增加股票流通，回馈股东，以及让股票有机会增持投资，如无意外，计划可在今年第四季完成。
配合这项企业活动，该公司股票早市暂停交易1小时，10时復牌后，股价狂飆，一度暴涨1令吉零5仙或15.56%，至7令吉80仙歷史新高，间中虽有套利，但股价高企不下，收市掛7令吉66仙，扬升91仙或13.5%。
2配2附加股
送1凭单1红股
马面粉厂今日发文告表示，建议將现有每股面值1令吉的股票拆细成每股面值50仙股票，在这项1变2拆细后，该公司股票数目將增加至2亿1千528万9千212股。
在股票拆细后，该公司建议派发每股62仙须扣息特別股息，根据拆细后股票数目，该公司会派出1亿零10万9千484令吉，相等於每股净股息46.5仙。
股息条件为附加股须通过
马面粉厂截至2010年12月31日止的保留盈利为2亿零670万令吉，將用来落实特別股息计划；不过，特別股息的条件是，该公司的附加股计划必须获得所有方面的批准。该公司会將股息和附加股的享有日期设在同一日期。
在股票拆细后，马面粉厂建议以2拆细股票配2附加股比例，发售2亿1千528万9千212股附加股，认购2附加股会附送1凭单和1红股，因此会送出1亿零764万4千606股红股，和同数目凭单。
附加股计划最低目標是筹措1亿2千零10万令吉，如果达不到最低目標，有关计划会终止。
红股將从股票溢价账资本化融资，马面粉厂去年杪的股票溢价账为5千590万令吉。
附加股发售和凭单转换价稍后决定。作为参考，该公司股价除权后为1令吉72仙，附加股指標发售价为每股93仙，相等於折价45.9%；至於凭单指標转换价为1令吉89仙，溢价9.9%。
最高筹2.22亿
根据每股93仙计算，附加股计划將筹措最高2亿零21万9千令吉，其中1亿2千万令吉作为资本开销，另外7千954万9千令吉作为营运资本，余额为计划开销。
凭单筹措资金，胥视转换价和转换比例而定。
在股票拆细、附加股、凭单转换和僱员认股计划后，马面粉厂股票会从现有的1亿零764万5千令吉，最高扩大至3亿7千137万7千令吉，由7亿4千275万1千股股票组成，因此，该公司建议將註册资本从现有的2亿令吉扩大至5亿令吉。

附加股股东有得选择要还是不要.
如果不要就吃大亏，Mflour会寄信给你，需要买bank draft来付钱。
意味将来EPS会减少66%。
