The Board of Directors of HMCB (“Board”) wishes to announce that HMCB (the “Vendor”) has on 20 September 2023 entered into a Shares Sale Agreement (“SSA”) with Basetex Sdn. Bhd. where Pang Kim Moon ("PKM") is the sole director and shareholder, to dispose of 1,358,346 ordinary shares in Viewnet Computer System Sdn. Bhd. ("VCS") which represents 40% of the issued and paid-up share capital in VCS (“Sale Shares”) for a total cash consideration of RM14 million (“Proposed Disposal”). PKM has no direct or indirect interest in HMCB.  However, he is a director of VCS.  As such, the Proposed Disposal is deemed as a related party transaction pursuant to the provisions under Rule 10.08 of the ACE Market Listing Requriements of Bursa Malaysia Securities Berhad.
