大股东丢到7788/ 8899了。。。假如这几天我们丢票，他们就可以便宜的回收。。。我才不让他们赚到！！！我只好当FD放着。。。目前paper lost！

Announcement Details : 1.0 INTRODUCTION 1.1 The Board of Directors of Berjaya Sports Toto Berhad (“BToto”) is pleased to announce that International Lottery & Totalizator, Inc. (“ILTS”), an indirect subsidiary of BToto has on 16 December 2009 entered into a Purchase Agreement with Natural Avenue Sdn Bhd (“NASB”), a 65%-owned subsidiary of Berjaya Assets Berhad (formerly known as Matrix International Berhad) (“BAssets”) for the proposed sale of a lottery system comprising on-line lottery terminals, central systems hardware, software and project services (“Lottery System”) for a total cash consideration of about USD3.62 million or about RM12.67 million (“Proposed Sale”). (Based on exchange rate of USD1.00 = RM3.50) 2.0 DETAILS OF THE PROPOSED SALE 2.1 Salient Terms and Conditions The cash consideration will be receivable by ILTS in the following manner:- (a) 40% or about USD1.45 million upon the execution of the Purchase Agreement; (b) 50% or about USD1.81 million upon delivery of the Lottery System; and (c) the balance of 10% or about USD0.36 million upon successful completion of the specification conformance testing on the Lottery System. There are no liabilities to be assumed by NASB and/or BAssets pursuant to the Proposed Sale. 2.2 Basis of Arriving at the Cash Consideration The Proposed Sale is transacted at an arm’s length and on commercial terms, which are not more favourable to the related parties than those generally made available to the public and is not detrimental to the minority shareholders of BToto Group. 2.3 Utilisation of Cash Proceeds The cash proceeds from the Proposed Sale will be utilised by ILTS for its working capital purposes. 2.4 Estimated Timeframe for Completion The Proposed Sale is expected to be completed by the second half of the year 2010. 3.0 INFORMATION ON NASB 3.1 NASB was incorporated on 2 January 1992 in Malaysia as a private limited company. Currently, NASB has an issued and paid-up share capital of RM200,000 comprising 200,000 ordinary shares of RM1.00 each. NASB is principally involved in the number forecast lotteries business in Sarawak. 4.0 RATIONALE FOR THE PROPOSED SALE 4.1 The Proposed Sale is in the ordinary course of business of ILTS. 5.0 EFFECTS OF THE PROPOSED SALE 5.1 The Proposed Sale will not have any effect on the issued and paid-up share capital, major shareholders’ shareholdings and shareholding structure of BToto. 5.2 The Proposed Sale will not have any material effect on the earnings per share and net assets per share of BToto Group for the financial year ending 30 April 2010. 6.0 CONDITIONS OF THE PROPOSED SALE 6.1 The Proposed Sale is not subject to the approvals of the shareholders of BToto and any other relevant authorities. 7.0 DIRECTORS' AND MAJOR SHAREHOLDERS' INTERESTS 7.1 Save as disclosed below, BToto is not aware of any other Directors or major shareholders and/or persons connected with them have any interest, whether directly or indirectly, in the Proposed Sale:- (a) Berjaya Corporation Berhad is a major shareholder of BToto and BAssets holding 48.25% and 17.13% in BToto and BAssets respectively; (b) Berjaya Land Berhad is a major shareholder of BToto and BAssets holding 47.52% and 14.10% in BToto and BAssets respectively; (c) Tan Sri Dato’ Seri Vincent Tan Chee Yioun (“TSVT”) is a major shareholder of BToto and BAssets; (d) Tan Sri Dato' Tan Chee Sing ("TSDT"), a Director of BToto, is a brother of TSVT. He is a shareholder of BToto and a deemed major shareholder of BAssets; (e) Dato’ Robin Tan Yeong Ching (“DRTYC“) and Mr. Rayvin Tan Yeong Sheik (“RTYS”) are the Chief Executive Officer and an Executive Director of BToto respectively. They are sons of TSVT and shareholders of BToto and BAssets; (f) Datuk Robert Yong Kuen Loke (“DRYKL”) is a Director of BToto and BAssets. He is also a shareholder of BToto; and (g) Mr. Chan Kien Sing (“CKS”) is an Executive Director of BToto and a Director of BAssets. He is also a shareholder of BToto. 8.0 APPLICABLE PERCENTAGE RATIO 8.1 The highest percentage ratio applicable to the Proposed Sale pursuant to paragraph 10.02(g) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad is 2.62%. 9.0 TRANSACTIONS WITH THE SAME RELATED PARTY 9.1 Save for the Proposed Sale and transactions approved by shareholders’ mandate, there were no other transactions with the same related party for the past 12 months. 10.0 DIRECTORS’ STATEMENT 10.1 The Board of Directors (other than TSDT, DRTYC, RTYS, DRYKL and CKS) is of the opinion that the Proposed Sale is in the best interest of the BToto Group. 11.0 AUDIT COMMITTEE’S STATEMENT 11.1 The Audit Committee of BToto, after having considered all aspects of the Proposed Sale (including but not limited to the rationale and financial effects), is of the opinion that the terms of the Proposed Sale are fair, reasonable and on normal commercial terms and are not detrimental to the interest of the minority shareholders. 12.0 DOCUMENT FOR INSPECTION 12.1 The Purchase Agreement dated 16 December 2009 is available for inspection at the Registered Office of BToto at Lot 13-01A, 13th Floor (East Wing), Berjaya Times Square, No.1, Jalan Imbi, 55100 Kuala Lumpur during normal office hours from Monday to Friday (except on public holidays) for a period of three (3) months from the date of this Announcement.
