Description	RGB INTERNATIONAL BHD. (RGBI or the Company)- ACQUISITION OF 20% PARTICIPATION INTEREST FROM TIMOR HOLDING S.A. BY A WHOLLY-OWNED SUBSIDIARY OF THE COMPANY, RGB LTD.
The Board of Directors (“Board”) of RGBI wishes to announce that the Board had on 19 April 2024 approved and ratified the entering of a Deed of Assignment (“DOA”) on 1 January 2023 by its wholly-owned subsidiary, RGB Ltd (“RGBL”) with Timor Holdings S.A. (“THSA”) for acquiring 20% of its participation interest in the Product Leasing Agreement (“PLA”), involving the acquisition of 86 units of electronic gaming machines in exchange for 20% share in the rental revenues from the net winnings derived from the operation of all the electronic gaming machines under the PLA after deducting the relevant taxes and joint expenses (“Net Rental Revenues”), at a total consideration of USD2,223,395.80 [equivalent to approximately RM9,816,292.46 (USD1:RM4.4150 as at 1 January 2023)] (“Purchase Consideration”) (“the Acquisition”). The Acquisition is a related party transaction pursuant to Paragraph 10.08 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad. The Board of Directors (“Board”) of RGBI wishes to announce that the Board had on 8 August 2024 approved and ratified the entering of a Deed of Amendment and Restatement by its wholly-owned subsidiary, RGB Ltd., with Pinnacles Inc. and Timor Holding S.A. on 3 August 2021, for the purpose of formalising the business relationship in the Project Leasing Agreement, which involved the leasing of 432 electronic gaming machines and their accessories at 18 casino venues in the Philippines (“Project”). The Project is a related party transaction pursuant to Paragraph 10.08 of the Main Market Listing Requirements of Bursa Malaysia Securites Berhad. Reference is made to the Company's announcement on 1 October 2024 (“the Announcement”). The Board of Directors of RGBI wishes to clarify that the matter mentioned in the Announcement is referring to the investigation conducted by the Malaysian Anti-Corruption Commission ("MACC") in August 2023. According to the letter received from RGB Sdn Bhd’s lawyer, Messrs Haijan Omar & Co, the MACC had written to the lawyer that they have completed their investigation on RGB Sdn Bhd including Dato’ Seri Chuah Kim Seah and no action is to be taken.
