Masterskill教育集团 进军中港餐饮业
二零一四年四月一日 晚上八时一分
（吉隆坡1日讯）Masterskill教育集团有限公司（MEGB，5166，贸易服务组）将多元化至香港和中国的餐馆业务，建议以每股0.40港元，或总额4720万港元（1998万令吉）代价，收购喜尚控股有限公司（Gayety）股票。
在致给大马交易所的文件中，Masterskill教育说，该集团已在3月28日与卖方叶晓泉和吴敏莹（人名译音）签署一份协议，以收购喜尚控股总共1亿1800万股票。
喜尚控股是在香港股票交易所挂牌上市，在香港经营中国餐馆连锁，包括红爵御宴和喜尚嘉喜宴会厅。
Masterskill教育说，建议中收购是集团提升其股东们收益和回酬的部分转型步骤。
“Masterskill教育希望在其局部计划下，扩充至成长中的香港和中国市场，以进一步扩大其现有本地教育业务的范畴，以及争取机会以多元化到区域其他潜在投资。”
它补充：“投资在喜尚控股将符合Masterskill教育扩充到区域的计划，同时喜尚控股也即将进军中国市场。”
建议中收购预料将在日内完成，并透过内部基金融资。
收购喜尚控股是在Masterskill教育执行董事兼单一最大股东西瓦古玛出售其全部29.76%股权，予商人何顺强（译音）这项交易的成交价为每股1.10令吉，比Masterskill教育周一闭市价43仙溢价达155%。
该股今早挺升4.5仙，尾盘晋至47.5仙，成交量达3805万6900股，成为全扬第3热门股项。
上述脱售也给予何氏一项选择权，在6个月以每股1.10令吉向西瓦收购Masterskill教育。与此同时，西瓦也获得出售选择权，在协议日期后的第9和10个月以同样价格出售Masterskill教育。
Masterskill教育已经连续9个季度蒙亏，股价也从2010年9月开始滑落，在短期时间内从3.20令吉的高峰退至30仙水平。【光华日报财经】

Masterskill不进军餐饮业 入股喜尚控股纯投资

（吉隆坡3日讯）Masterskill教育（MEGB，5166，主板贸服股）强调，收购香港上市连锁中餐厅公司———喜尚控股（Gayety Holdings）的3.7%股权，纯粹作为投资用途。
Masterskill教育是以4720万港元（约1998万2134令吉），收购喜尚控股的3.7%股权。
公司声明，收购行动是属于投资项目，以寻求更多回酬，但没有涉及喜尚控股的业务管理，也无意进军连锁中餐厅业务。
股价续跌
Masterskill教育也澄清，虽然有意把教育业务拓展至香港和中国市场，但入股喜尚控股与扩展行动没有关联。
公司股价周四下跌0.5仙或1.11%，闭市报44.5仙，成交量报1744万7600股。股价周三下滑8.16%或4仙，至45仙。
Masterskill教育大股东兼执行董事斯瓦古马，3月中与商人侯宋刚（译音）签署股票回售和回购选择权合约。

Masterskill 大股东场外售0.53%

（吉隆坡11日讯）Masterskill教育（MEGB，5166，主板贸服股）执行董事兼大股东西华古玛在签署股权脱售选择权协议后，于周四脱售了一笔共220万股，或0.53%的股权，相信是商人侯宋刚（译音）行使了第一批购股选择权（calloption）。
根据马交所数据，这笔股权是每股1.10令吉在场外交易，总值242万令吉。
西华古玛与侯宋刚于3月19日签署了股票回售和回购选择权协议，以1亿3200万令吉或每股1.10令吉，把手持股权在半年内卖给后者。
每股RM1.10易手
西华古玛在Masterskill教育有1亿2200万股，相等于29.76%股权。
而上述行使选择权的股票仅占其手握股权的1.8%。
值得注意的是，该批股票是在场外以1.10令吉的价位交易，比周四43.5仙的闭市价溢价逾150%。
市场对于一名鲜为人知的商人，以溢价价位入股正在蒙亏的Masterskill教育感到费解，上述交易也曾引起市场关注。

MASTERSKILL委侯宋孔任CEO

（吉隆坡6日訊）MASTERSKILL教育（MEGB,5166,主板貿服組）委任侯宋孔（音譯）為首席執行員。
侯宋孔持1.53%股權
交易所文告顯示，侯宋孔持有該公司的630萬股或1.53%股權。
3月時，侯宋孔與該公司執行董事西瓦古瑪簽署買賣權協議，內容是西瓦古瑪將賦予侯宋孔一紙擁有6個月有效期的“買權”，讓後者能在未來6個月內，隨時可以每股1令吉10仙價格收購西瓦古瑪持有的MASTERSKILL教育股權。

Masterskill 3324万售港公司股权

（吉隆坡19日讯）Masterskill教育（MEGB，5166，主板贸服股）脱售香港上市公司喜尚控股（GayetyHoldings）的1亿1800万股普通股，总值3324万3000令吉。
根据文告，Masterskill教育于4月3日购入上述股权，并在6月11日至8月18日期间，通过公开市场和大宗交易转手。
完成交易后，该公司净赚约1228万令吉。
该公司将把脱售股权所获的3324万3000令吉现金，充当业务运作与资本开支。【南洋网财经】

（吉隆坡17日讯）Masterskill教育（MEGB，5166，主板贸服股）执行主席兼大股东西华古玛与公司总执行长侯宋刚（译音）达成协议，终止签署股票回售和回购选择权（Put and Call Option）协议。
Masterskill教育向马交所报备，今日接获西华古玛通知，已与侯宋刚终止在3月19日签署的选择权协议。
西华古玛目前是公司主要股东，持股28.08%，或1亿1510万股。
侯宋刚在协议有效期间，行使购股选择权（call option），共购入该公司1.68%股权，相等于690万股。
根据文件，他表明无法在既定期限内（6个月）完成购股，因此，相关协议将在本月19日到期后终止。
侯宋刚在8月5日，受委担任Masterskill教育总执行长。
他也是香港昌城（Citi-Champ）国际有限公司董事经理，家族业务包括酒店、房产、建筑、制造、股票投资及博彩业务等。【南洋网财经】

第二大股东每股34.3仙 售Masterskill教育9.25%

（吉隆坡24日讯）Masterskill教育（MEGB，5166，主板贸服股）第二大股东Masterskill教育集团，以每股34.3仙，脱售约9%股权，因而不再是公司大股东。
文告指出，Masterskill教育集团在9月18日，以34.3仙或总值约1300万令吉，脱售手上直接持有股权，数额为3791万6593股，或相等于9.25%股权。
至于透过间接方式持有以上股权的森米阿里、Crescent Point投资控股以及Crescent Masterskill SPV，也同时失去大股东地位。
根据Masterskill教育2013财年年报指出，MasterskillEducation集团在截至今年4月30日持股率11.34%。
同日，已经辞下非独立非执行董事一职的理查托德，也以34.3仙价格，脱售323万872股或0.84%股权。此外，Masterskill教育执行主席兼大股东西华古玛，则在9月19日以每股35.5仙，增持855万6700股，手上累积股权为31.99%，或1亿2366股。【南洋网财经】
