钻油业务高涨贡献 沙布拉净利年涨34%

（吉隆坡30日讯）受益油管和设备安装、海事和钻油的业务高涨贡献，沙布拉石油（Sapcres，8575，主板贸服股）截至2012年1月31日财年全年，净利按年大涨34%至3亿1022万7000令吉，上财年同期为2亿3144万5000令吉。

由于油管和设备安装及钻油活动减少，营业额则录得19.6%的跌幅，报25亿5640万2000令吉，上财年同期为31亿7996万1000令吉；每股盈利从上财年同期的18.13仙，增长至24.3仙。

合并明年完成
末季净利按年增长5.2%至7651万5000令吉，上财年同期为7267万2000令吉，归功于钻油业务的高涨贡献。

营业额则下滑6%，报5亿6043万4000令吉，上财年同期为5亿9634万4000令吉；每股盈利从上财年同期的5.69仙，增长至5.99仙。

展望未来，董事部表示该公司与肯油企业（Kencana，5122，主板贸服股）的合并预计在截至2013年1月31日财年内可完成，而集团也将会对合并后的新公司带来贡献。[Nanyang]

沙布拉克利絲 父子爭產或對簿公堂

（吉隆坡5日訊）本地土著企業上演家族醜聞！沙布拉克利絲（SAPCRES，8575，主要板貿易）父子爭產反目，父親向2個兒子追討總值高達4億5000萬令吉的股權及房地產，或將對簿公堂。

知情人士向財經日報《The Edge》透露，該公司創辦人丹斯里三蘇丁卡迪爾今年2月已透過高庭起訴2名兒子，即該公司現任總裁拿督沙里爾及董事沙里曼。

報導引述法庭文件指出，他將向兒子們追討沙布拉控股15%股權，並要求索回數項位于巴生谷及雪蘭莪的房地產。

三蘇丁卡迪爾並未在法庭文件中解釋起訴原因，不過闡明是在2007年至2010年之間，在“無故且毫不考慮”的情況下，將股權及23項房地產轉移至兩兄弟設立的兄弟資本公司（Brothers Capital）名下。

不過三蘇丁亦在文件中強調，這些已轉名的資產，只是他透過基金會，委託至兩兄弟代替掌管；該基金會已在去年8月解散，故要求兩兄弟歸還該批資產。

關係漸行漸遠
該知情人士指出，兩兄弟將透過法律程序回應父親起訴；目前兩人皆沒有針對此事向媒體做過任何回應。

現年80歲的三蘇丁卡迪爾去年剛剛退休，報導引述公司內部執行員及政治官員指出，兩兄弟與父親的感情在母親過世后便漸行漸遠。

報導向數名與該家族關係密切的政商人士了解后報導，三蘇丁卡迪爾2008年再婚亦引起兩兄弟不滿，使父子關係惡化。

但清官難審家務事，友人曾嘗試介入調停父子間的矛盾，卻不得要領，演變至今日局面。

不影響肯油併購案
沙布拉集團父子或對簿公堂，知情人士透露，索回股權未能威脅沙里爾及沙里曼持股，無阻沙布拉克利絲與肯油企業（KENCANA，5122，主要板貿易）合併成馬股最大油氣公司的計劃。

三蘇丁卡迪爾所追討的沙布拉控股15%股權，為家族的私人投資臂膀，同時是沙布拉集團上市公司沙布拉克利絲、沙布拉工業（SAPIND，7811，主要板工業）和沙布拉資源（SAPRES，4596，主要板房產）的控股公司。

目前，沙里爾和沙里曼則透過本身設立的兄弟資本，持有沙布拉控股96%股權，成為上述公司最大股東，即使扣除15%仍持81%股權。

報導指出，此案件在向來思想較保守的馬來族群中，屬相當罕見事件，故受極大關注。

不過知情人士指出，由于遭追討的股權僅15%，不會威脅到持股81%的兩兄弟，故不會影響與肯油企業的合併大計。

兩家公司合併后市值將高達118億5000萬令吉，晉升為國內市值最大的油氣公司。[ChinaPress]

肯油和沙浪峰合併‧延至下月31日

（吉隆坡5日訊）肯油企業（KENCANA，5122，主板貿服組）及沙布拉浪峰（SAPCRES，8575，主板貿服組）建議將合併計劃截止日期延至下月31日。

兩家公司發表文告指出，同意將達致合併條規的期限延長，在排除任何不可預見的情況下，合併計劃所涉及的脫售及回退活動料可在次季內完成。

雙方原本指合併計劃預定2月杪完成，並會在首季內掛牌，不過沙布拉浪峰總裁兼首席執行員拿督沙里爾三蘇汀在最近舉行的股東大會上指出，受到一些行政事項影響，所以會有所推遲，惟期望能在4月杪完成合併。

肯油企業及沙布拉浪峰的合併，料創造近120億令吉市值，成為全球第五大石油與天然氣服務供應商。（星洲日報／財經）

Integral Key公司是以股票及現金方式支付。。

沙布拉浪峰股東每股將獲得68.5仙現金，以及值3令吉91.5仙的Integral Key股票。

你是指现金回退的部分吧因该支票是由证券行拿着的，处理后再汇进你的户口（会charge）。。
如是个人户口（direct cds）那支票会邮寄至住处。。

配合资本回退及合并 沙布拉 肯油5·02停牌

（吉隆坡23日讯）沙布拉石油（Sapcres，8575，主板贸服股）与肯油企业（Kencana，5122，主板贸服股），将从5月2日（周三）起停牌，配合资本回退及合并计划。

两家公司今天同时向大马交易所发出文告表示，公司的股票将在5月2日停牌，最后一天的交易日是在4月30日。

沙布拉石油及肯油企业将暂停交易，直至除牌为止。

根据文告，肯油企业在资本回退下，将回退59.8亿令吉给股东，包含沙布拉肯油（SapuraKencana Petroleum BHd）25.05亿新普通股，每股面值1令吉，参阅价格为每股2令吉。

同时，也支付股东9亿6868万令吉的现金，相等于肯油企业每股3令吉的股票。

沙布拉石油的股东，则可在上述活动下，以每一股沙布拉石油的股票，获得一股沙布拉肯油公司每股4.60令吉的新股及现金(在取消发红股之前所持有的沙布拉石油股票)。

稳健上扬
肯油企业及沙布拉石油，是去年同时接获特殊用途公司——Integral Key私人有限公司的收购与合并献议，每股收购价格分别为3令吉和4.60令吉，整个交易总值约达120亿令吉。

合并后的公司，将崛起成为全球最大的石油及天然气服务供应商，分析员也对此计划大力看好，相信合并可创造庞大的价值。

沙布拉石油及肯油企业今日的股价走势稳健上扬。

沙布拉石油闭市时报5.05令吉，扬15仙或3.061%。
