（吉隆坡14日訊）亞洲塑膠（ASIAPLY，0105，創業板工業）以240萬令吉，收購FDL科技私人有限公司30%股權。

該公司向馬證交所報備，該公司向陳添興（譯音）、田惠晨（譯音）和查卡立亞收購FDL科技30%股權，前兩者為公司董事。

FDL科技將在截至12月底2016財年，提供亞洲塑膠250萬令吉盈利保證，2017財年達3500萬令吉。

亞洲塑膠通過內部融資入股FDL科技，除了多元化公司收入來源，也提供進軍資訊科技業務的機會，料在第3季完成上述收購案。【中国报财经】

亚洲塑胶1配2附加股　3送1凭单

（吉隆坡30日讯）亚洲塑胶工业（ASIAPLY，0105，创业板）建议以1配2比例，发售1亿7582万9920股附加股，同时以3股附加股送1凭单比例派送5860万9973张凭单，及建议私下配售15%新股，以集资1769万令吉。

在这项计划下，附加股的发售价为每股0.10令吉。该公司將通过两梯级方式进行，认购者只需缴付现金0.05令吉，其余的0.05令吉则从公司保留盈利和股票溢价户口拨出。

该公司料最少集资706万令吉，最多则是879万令吉，所筹得资金將用作偿还贷款、设立废物管理厂房和营运资本。

此外，在完成附加股活动后，该公司也建议私下配售最高3956万1000股，或相等於缴足资本的15%新股，给大马国际贸工部批准的土著投资者。

電商‧餐飲‧產業‧亞洲塑膠多元化業務

（吉隆坡31日訊）近期迎來新股東的亞洲塑膠控股（ASIAPLY,0105,創業板工業產品組）保留現有業務，多元化業務至電子商務、餐飲及產業發展領域。

該公司首席執行員張清泉在品牌重塑活動後，接受《星洲財經》訪問時表示，將維持現有壓克力板業務，同時也計劃多元化業務至資訊科技、餐飲及利基產業發展計劃。

“隨著電子商務崛起，我們看好該領域潛能，因此決定投資FDL科技私人有限公司30%股權，亦計劃於2017年申請在創業板上市，把其中10%股權分享給股東。”

今年7月14日，還公司宣佈以240萬令吉收購FDL30%股權。

張清泉預計，未來兩年FDL將貢獻亞洲塑膠控股至少30%淨利。

目前FDL為倉庫管理系統軟體租賃商，計劃整合及強化位於沙亞南的設施應付大型電子商務公司需求，明年將與策略夥伴一起創設物流業務，提昇獲利為上市鋪路。

至於餐飲業務，該公司還在物色及洽談，主要是西餐及加工食品領域；產業則計劃在2016至2017年才開始，將專注在利基產業領域。

年內推綠色建築

壓克力板方面，張清泉透露研發部門已研發一項全球首創的綠色建築相關產品，預計今年內可推出市場。

另外，執行主席拿督楊文龍補充，未來兩個月公司將進行新活動，不排除與美國最大的壓克力板公司合作，供應產品至歐洲市場。

The Board of Directors of Asia Poly Holdings Berhad (“Asia Poly” or  “The Company”) is pleased to announce that the Company has developed 2 Green Products of PMMA(Acrylics) for Heat Management applications into Green Buildings, namely: A-Cast HM Standard A-Cast HM Premium with the following characteristics. Green Attributes: These products are engineered to have IR-blocking properties, thereby reducing the amount of IR wavelength transmitted through it, thereby resulting in reduced solar heat gains for cooler interiors, and yet allows optimum amount of visible light into the building. PMMA(Acrylics) can be recycle and is re-useable and all these contribute towards greening our environment. Green Features/Performance: Sunlight comprises ultra-violet(UV), visible and infra-red(IR). The IR is non-visible heat that is absorbed by objects exposed to the sunlight. This heat is then released into the environment by conduction, convection and radiation. The main features of the A-Cast HM sheets when applied as replacement to typical tinted glazings is its ability to absorb and/or block a portion of the IR wavelength within the sheet and transmit a lower amount of IR into the interior space. This translate to  cooler interiors and therefore, demand less energy for cooling. At the same time, these products transmit a good amount of visible light into the interior space for daylight harvesting, allowing electrical lights to be switched off. （吉隆坡29日訊）亞洲塑膠控股（ASIAPLY，0105，創業板工業產品組）準備以新研發的塑膠壓克力利基產品在藍海暢泳，同時新收購的支援企業性質電子商務業務有望在下財政年貢獻20%盈利。

亞洲塑膠首席執行員張清泉說，公司這10年來通過多項具體措施，包括在生產程序符合國際標準、投資與研發和開發出幾項利基和具綠色建築元素（GBI）的產品，預測下財政年可開始在多元渠道和國內、區域的中國乃至歐美等國家銷售。

他在股東特大後披露，傳統塑膠壓克力產品是一片紅海，亞洲總共有250家廠家和競爭者，這導致賺益受壓在1%左右；預料在開發利基產品後，約佔盈利80%的壓克力產品可在2016與2017財年後因賺益增而更顯著。

他說，其中一項產品具防紅外線隔熱和更符能源效益，已向大馬當局申請專利，可用於窗櫺、門框。基於這類材質更輕盈和比玻璃少殺傷力，更適用於颱風肆虐區域和可減少衝擊與傷害。

亞洲塑膠大股東拿督楊文龍4月中成為控制性大股東後，首項企業活動是以240萬令吉現金投資FDL科技私人有限公司30%股權。

這家科技公司為2016和2017財政年提供250萬和350萬令吉盈利保證。他說，公司也正與冷藏食品公司洽商投資30%股權，希望年杪完成後可以部份現金和發股方式完成上述收購。（星洲日報／財經）

（吉隆坡29日讯）亚洲塑胶控股（ASIAPLY，0105，创业板）透露，公司正在洽购一家本地冷冻及即食食品制造商的30%股权，以便多元化业务。

根据财经日报《The Edge》报道，亚洲塑胶新任执行主席拿督杨文龙指出，公司计划持有该食品公司的30%股权，以便减少对现有业务的依赖，即制造浇铸压克力板（Acrylic Cast Sheet）。

不过，他拒绝透露该公司的详情，只指双方已洽谈了3个月。

杨文龙提到：“我们看到对方的发展潜力，料在明年首季完成这项谈判。”

亚洲塑胶只是计划收购30%股权，也不会把对方的账目整合到集团账目里。

“我们不打算全身投入本身不熟悉的业务，因此，持有30%股权足以让我们分享他们的盈利。”

目前，杨文龙持有亚洲塑胶控股28.84%股权，是单一最大股东。

他说，该公司将会透过内部资金及刚宣布的附加股，融资上述潜在的收购计划。【南洋网财经】
