无意维持上市地位 MCC每股3.80全购超级企业

（吉隆坡17日讯）美国上市公司多彩印刷公司（Multi-Color Corporation，简称MCC）献议以每股3.80令吉，全购超级企业（SUPER，8656，主板工业产品股），并无意维持后者上市地位。

早在4月1日，MCC就已对超级企业发出收购意向书。

逾2个月后的今天，超级企业宣布，接获MMC子公司荷兰MCC LABL2B.V.致函，以每股3.80令吉展开有条件全购。

根据当时的意向书，MCC收购的先决条件是，超级企业须先收购印尼PT Super Labels和菲律宾S.E.工业所有权，及泰国S.E.工业的所有优先股。

根据文告，每股3.80令吉献购价，相等于昨日闭市价18.75%，或60仙溢价。

若献购成功，荷兰MCC LABL2B.V.将不维持超级企业的上市地位，也无意改善大众持股率不达标的情况。

MMC是一家那斯达克全球精选市场交易所的上市公司，主要是为有包装需求的客户，提供广泛的产品及服务，同时，也是高品质标签制造商。

（吉隆坡18日訊）美國納斯達克上市公司Multi-Color機構正式出價，以每股3.80令吉獻購超級（SUPER，8656，主要板工業），帶動后者股價盤中勁揚32仙或9.6%至3.56令吉，創下至少5年新高水平。
　
超級甫開市即暴漲31仙，以3.64令吉開跑，瞬間再攀升，一度漲32仙或9.6%至3.65令吉，為至少5年新高水平。

不維持上市地位
　
該股以3.59令吉掛休，起26仙，為10大上升股之一；半日成交量156萬5400股。該股午盤逐步收窄漲幅，截至4點半報3.56令吉，漲23仙，成交量184萬7700股。
　
超級週三（17日）晚間向馬證交所報備，自Multi-Color機構4月份向超級發出非契約（non-binding）獻議，欲發掘潛在股權交易后，Multi-Color機構子公司荷蘭MCC LABL2 B.V.于週三正式致函超級，以每股3.80令吉展開有條件全購，並無意維持超級的上市地位。
　
文告指出，每股3.80令吉獻購價，比週三閉市價溢價18.75%或60仙。
　
根據4月份的意向書，Multi-Color機構收購的先決條件是，超級得先收購印尼PT Super Labels和菲律賓SE工業的全數股權，及泰國SE工業全數優先股。

顾问： 多彩印刷出价公平合理 超级企业股东应接受献购

（吉隆坡15日讯）独立顾问大马投行指出，多彩印刷公司（Multi-Color Corporation，简称MCC）全购超级企业（SUPER，8656，主板工业产品股）的协议，属于“公平和合理”，建议其他股东接受献议。

早前美国上市公司多彩印刷公司提出，献议以每股3.80令吉，全购超级企业，并无意维持后者上市地位。

MMC提出的每股3.80令吉献购价，其溢价是周三闭市价的5.85%，或21仙。

独立顾问指出，该献购价水平是超级企业过去3年来历史新高。

以献购价计算，企业价值对利息、税项、折旧及摊销前盈利的比例（EV/EBITDA）为6.57倍。

综合上述要点，大马投行给于有关献购价格“公平”评级。

另一方面，这次献购也让股东得以实现投资价值，董事局也没有接获其他献议。

因此，大马投行认为这项献购“合理”。

在给予有关献购公平和合理建议后，大马投行建议股东接受该献议。

根据文告，多彩印刷公司旗下间接独资子公司荷兰MCC LABL2B.V.，已持有超级企业90.87%股权，或3787万股。

另外，超级企业也表示，收购截止日从明日下午5时起，展延至两个星期后，即8月26日。
