700 万入股Mirabumi 长城联营产业发展

(吉隆坡17日讯)长城集团(GLBHD,7382,主板种植股)宣布,以700万令吉购入沙巴的Mirabumi公司,透过联营在当地承接一项修复工程和负责开发两片土地。

长城集团向两名买家黄承景(译音)和刘遂峰(译音)购入Mirabumi股权,后者持有沙巴Winapermai公司60%股权。

Winapermai在6月与亚庇市长进入联营协议,以承接一项修复工程,并在当地开发两片土地。

长城集团表示,将透过这次收购参与以上联营计划,符合公司扩充产业发展业务的策略。【南洋网财经】

1. INTRODUCTION
The Board of Directors of GLBHD wishes to announce that its subsidiary, Shinny Yield Holdings Limited (“Shinny”) has on 17 November 2014 entered into a Conditional Shares Sale and Purchase Agreement (“CSPA”) for the proposed acquisition of 95% fully paid-up shares of Rp 1,000,000 each in PT Setara Kilau Mas Adicita (“SKMA”) for a purchase consideration of Rp 24,433,165,000 (“Proposed Acquisition”).


2. DETAILS OF THE PROPOSED ACQUISITION
2.1 INFORMATION OF SKMA
SKMA is a limited liability company incorporated in the Republic of Indonesia with an authorized share capital of Rp 500,000,000 divided into 500 shares of Rp 1,000,000 each, of which 130 shares in a total amount of Rp 130,000,000 have been issued at par and fully paid. Both of the Indonesian shareholders are Mr Wisma Sinulinggair (“Wisma”) and Mr Jeffrey Lachmandas Mahtani (“Jeffrey”).


SKMA carries out activities in oil palm plantation and has a Location Permit (Ijin Lokasi) land of 2,835 hectares located at Sandaran District, Kutai Timur Regency, Kalimantan Timur Province, Indonesia.


3. THE PURCHASE CONSIDERATION
The Total Transaction Value of Rp 24,433,165,000 for the Proposed Acquisition was arrived at on a willing buyer – willing seller basis after taking into consideration the prevailing selling price in the market and the location of the concession area.


4. TERMS OF THE AGREEMENT
4.1 The Proposed Acquisition is subject to conditions precedent to be fulfilled, which include, amongst others, obtaining approval from the followings local authorities:-

a. National Land Office of the Republic of Indonesia (“Badan Pertanahan Nasional or BPN”)
b. Investment Coordinating Board of the Republic of Indonesia (“Badan Koordinasi Penanaman Modal or BKPM”) of the Republic of Indonesia
c. Minister of Laws and Human Rights of the Republic of Indonesia (“MOLHR”)


4.2 Upon completion of all the conditions precedent and payment conditions as stipulated in the CSPA, Shinny will own 95% of SKMA.


5. DIRECTORS AND MAJOR SHAREHOLDERS’ INTERESTS
None of the Directors or Major Shareholders of GLBHD and/or persons connected with them has any interest, direct or indirect, in the Proposed Acquisition.

长城2114万入股2印尼公司

(吉隆坡18日讯)长城集团(GLBHD,7382,主板种植股)斥资573万4959美元(约2114万令吉)购下印尼两家种植公司的68.75%股权,借此扩大种植地库。

该公司向马交所报备,昨日与Parimo Agri控股及Parigi种植控股签约,分别以324万8445美元(约1199万令吉),以及248万6514美元(约919万令吉),购下两者68.75%股权。

这两家公司在新加坡注册,个别持有印尼种植子公司80%股权。

Parimo Agri控股的80%持股印尼子公司拥有1万5067公顷土地;Parigi种植控股的印尼子公司则拥有1万1533公顷土地。

料5个月完成

长城集团指出,通过这项购股计划,公司可在两者的印尼子公司持有控制性股权。

购股计划将通过内部资金和银行贷款支付,预计将在5个月内完成交易。

商潜在企业计划 长成劝谨慎交易

(吉隆坡18日讯)过去2个交易日股价大涨的长成集团(GLBHD,7382,主板种植股),今日自动发出文告指出,该公司正与多方洽商涉及公司资產的潜在企业计划。

但是,这些交易未必能够真正落实,因此,投资者在交易其股票时,应该格外谨慎。

长成集团董事局在文告中表示,一旦这交易落实,將会对公司的財务带来深远的影响。

然而,有关交易目前仍在洽谈阶段,暂时未签下正式的协议。

公司並不能够保证,这交易能够顺利达成。因此,股东受促谨慎交易其股票。

一旦签署相关协议,该公司將会作出进一步的宣布。

该股在过去2个交易日大涨18.67%或26仙,从上週四闭市掛1.27令吉,一路上升至週一闭市时报1.53令吉。

該公司是在周一(18日)通過馬證交所,就近日股項價量齊揚發佈澄清文告,消息傳出后今日股價陷入下跌格局。

長城集團以1.54令吉開市,早盤一度跌5仙至1.48令吉,休市報1.49令吉,跌4仙。該股閉市報1.51令吉,跌2仙,成交量78萬7100股。

(吉隆坡8日訊)聯土全球(FGV,5222,主板種植組)建議透過旗下笨珍聯合種植有限公司,耗資6億5千500萬令吉價格收購長成集團(GLBHD,7382,主板種植組)旗下4家獨資子公司和大約836公頃的種植地。

長成集團尋求保留上市地位

長成集團坦言,在完成上述資產脫售計劃後,大馬股票交易所可能將它列為PN16或PN17公司,但強調公司有意維持上市地位,因此會就此尋求交易所的看法。

配合宣佈上述消息,長成集團股票週一暫停交易,上週五最後掛價為1令吉91仙,將於明日復牌;聯土全球則如常在週一交易,股價全天小跌1仙,以1令吉91仙收盤。

兩家公司在閉市後發文告說,笨珍聯合種植是提議向長成集團收購Yapidmas種植、Sri Kehuma、Ladang Kluang和Tanah Emas油棕等4家從事種植相關業務的公司,以及一片位於沙巴的836公頃種植地。

長成集團在文告中說,脫售資產提供釋放資產價值的機會,雖然被脫售的資產貢獻主要盈利,但公司在完成脫售活動後仍掌握約8千497公頃地庫在手,所得資金亦有助發展這些地庫。

長成集團表示董事部目前還未決定要如何使用所得資金,但補充投資在印尼種植業、投資產業發展業務和派發現金給股東等,都是會被考慮的選項。

This announcement is dated 8 June 2015.

On behalf of the Board of Directors of GLBHD (“Board”), AmInvestment Bank Berhad (“AmInvestment Bank”), wishes to announce that the Company had on 8 June 2015 entered into a conditional sale and purchase agreement (“SPA”) with Pontian United Plantations Berhad (“PUPB” or “Purchaser”), a wholly-owned subsidiary of Felda Global Ventures Holdings Berhad (“FGV”), to dispose of the entire equity interests in Yapidmas Plantation Sdn Bhd (“YPSB”), Sri Kehuma Sdn Bhd (“SKSB”), Ladang Kluang Sdn Bhd (“LKSB”) and Tanah Emas Oil Palm Processing Sdn Bhd (“TEOPP”), which are respectively wholly-owned subsidiaries of GLBHD, and a parcel of oil palm plantation land measuring approximately 836.10 hectares (“ha”) in Beluran, Sabah, currently held by GLBHD for a total cash consideration of RM655.0 million (“Disposal Consideration”) pursuant to the terms and conditions of the SPA.

派息不敵陷PN17憂慮 長城集團遭拋售大挫31仙

(吉隆坡9日訊)儘管子公司及土地售予聯土局多元(FGV,5222,主要板種植)后擬派息,長城集團(GLBHD,7382,主要板種植)复牌后卻慘遭拋售,因投資者擔心公司脫售資產后會列入PN17行列,即需呈交重組計劃來維持上市地位。

長城集團早盤一度大挫32仙或16.7%至1.59令吉,休市報1.63令吉,跌28仙,為十大下跌股榜首。閉市時,該股報1.60令吉,跌31仙,成交量560萬4600股。

聯土局多元看俏

至于聯土局多元休市報1.90令吉,跌1仙;閉市時,該股報1.88令吉,跌3仙,成交量315萬9800股。

聯土局多元通過子公司笨珍聯合種植,斥資6億5500萬令吉收購長城集團旗下4家子公司和一塊面積836公頃土地。脫售活動雖有助后者釋放資產價值,但或導致長城集團成為現金公司而列為PN17。

券商普遍看好聯土局多元將從中受惠,肯納格證券研究指該公司平均樹齡將稍微改善,但不會顯著貢獻盈利表現,因公司盈利基礎龐大。不過,聯土局多元淨負債率將逼近舒適水平的頂限。

聯昌證券研究指長城集團土地的鮮果串收益低,因此收購案僅提振聯土局多元種植地約2%。報告稍微負面看待盈利貢獻,以現有原棕油價格計算,可交出1500萬至2000萬令吉淨利,但從投資成本來看只有2%到3%盈利收益。

目前收購案缺乏進一步詳情,但艾芬黃氏資本研究基于聯土局多元近期股價低迷走勢,將投資評級從“守住”上修至“買進”,合理價為2.13令吉。

真的是“好消息”嗎?

理論上,股價在好消息出爐後股價才聞風而漲,是股市的正規波動邏輯;可是,現實當然不會如此循規蹈矩。

股市永遠無法完美,人永遠不會知足,這兩大基本條件,足讓股市早已沒有“黑白分明”這回事。否則,“跟消息進場、依事實賣出(Buy On Rumor,Sell On The Fact)”又怎能夠成為廣泛流傳的投資金句?

要舉例證明更是簡單不過,適用例子實在多如牛毛;不如,就和各位說說剛在上週作了一次標準示範的長成集團(GLBHD,7382,主板種植組)吧。

上週一,長成集團宣佈以6億5千500萬令吉高價,把旗下4家從事種植業務的獨資子公司,聯同一塊大約836公頃的種植地轉賣給聯土全球(FGV,5222,主板種植組)。

對市值約70億令吉的聯土全球而言,上述交易尚算小事;但對於當時市值只有約4億2千576萬令吉的長成集團來說,卻是天大的消息,這當然是因為聯土全球的出價足足比長成集團市值還高出53%!

據肯納格研究推算,6億5千500萬令吉脫售價,相當於每股3令吉零3仙,加上管理層表明未決定如何使用資金,市場投機客們被消息所吸引,是理所當然的結果。

然而,就在多數投資者都以為長成集團勢必會在隔天開盤後大漲之際,該公司卻上演滑鐵爐,預期中的漲潮不但沒有出現,股價更是直線下挫,全天暴跌了31仙或16%,成為全場第二大下跌股。

一些市場人士的解釋是,長成集團股價意外下跌,或是因投資者擔心資產脫售案可能讓該公司成為PN16或17公司,但筆者的看法卻不同,首先因長成集團仍持有不少種植地在手,未必會成為PN16或17公司,該公司亦表明會就此尋求交易所意見,看看有關脫售案會否讓公司觸犯PN16或17條文。

再者,6億5千500萬令吉脫售價相當於每股3令吉零3仙,這筆數目一般足以支撐股價表現,因投資者擁有巨大的資本回退遐想空間,而且若每股股票有這麼高的價值作後盾,成為PN16或17公司又有何懼?

最後、亦是最重要的一點,是長成集團股價在過去1個月內,合計累積了高達66%漲幅,即使5月杪公佈的首季業績由盈轉虧,也阻止不了漲勢,股價在消息出爐前“偷跑”的跡象非常明顯,而好消息一出漲勢卻應聲而斷,則又顯示了提前進場者趁投機買盤湧現時迅速套利離場。

其實,任何的企業活動都是人為促成,且籌備過程難免牽涉不少人,這常讓企業活動在正式公佈前不脛而走,吸引提前知曉消息的投資者提早進場,而那些在消息出爐後才匆忙進場的投資者,所背負的風險自然偏高。

所以說啊,各位下次再聽聞某公司宣佈讓人心動的好消息時,不妨再三思考:這真的是“好消息”嗎?(星洲日報/投資致富‧投資茶室‧文:李三宇)
