Under the Employment (Termination and Layoff Benefits) Regulations 1980, an employee will be entitled to layoff benefits not less than the following :
1 to 2 years service - 10 days wages for each year service
more than 2 years but less 5 years service - 15 days wages for each year service
5 years service or more - 20 days wages for each year service
For an incomplete year, the calculation will be on a pro-rata basis to the nearest month. |

O'Brien: Company offers hope to Spansion employees

There's a glimmer of hope for the thousands of Spansion employees outraged at their sudden firing last week.
On Tuesday, Spansion CEO John Kispert issued a statement through a spokesman declaring the company would try to get employees the money they are owed through a bankruptcy court.
In case you missed it, last week Spansion fired 3,000 employees with no advance notice and no severance pay. Employees were outraged, claiming the move violated the 60-days notice of layoffs required by the federal Worker Adjustment and Retraining Notification Act and filed two class-action lawsuits.
Making a bad situation look even worse, the company simultaneously raised the pay of several dozen executives and key employees, claiming it needed to give them an incentive to stick around.
Within days, the company filed for bankruptcy, making the timing of the raises look even more suspect.
Kispert's statement is certainly welcome. But there's most likely a long way to go before the employees get what they're owed. And the company's handling of the situation so far certainly provides a primer on how not to treat employees in a crisis.
The events of the past two weeks have put the relatively unknown Sunnyvale semiconductor company in the news for all the wrong reasons. It's worth noting that the maker of flash memory has been struggling for months. No one disputes it was in real financial turmoil. The company had been placing employees on furloughs for weeks, it was scrambling to find a buyer, and it replaced the CEO in early February.
But as the crisis apparently deepened, how the company responded remains baffling for several reasons.
Spansion informed the employees they were being fired on Feb. 23 and that no severance was going to be paid. The company says it intended to seek money for those employees in bankruptcy court all along. Maybe it didn't feel it could telegraph that, but the company could have done a better job of letting workers know it would try to take care of them.
One week later, the company filed for bankruptcy. Exactly why, though, also remains unclear. The company is negotiating to borrow money, but claims it doesn't need any to fund its operations over the next few weeks. Typically, someone enters bankruptcy court to seek protection from something. But while Spansion was stumbling and missed a debt payment, it's hard to say why it felt bankruptcy was needed right now.
What does seem clear is that the company is in a mad dash to sell itself. Kispert's compensation package guarantees him four months worth of pay and a $1.75 million bonus if a sale happens. Translation: He's been brought in to get a deal done yesterday.
In that case, it hardly seems likely the company is going to go through a lengthy bankruptcy proceeding to restructure. So if a sale happens, the real issue for the 3,000 Spansion employees may be whether the deal includes money to pay them for 60 days.
I spoke briefly with San Francisco attorney Kenneth Sugarman, who filed one of the lawsuits against Spansion. It was the first he had heard about Spansion's intention, and so he didn't want to respond.
"We'll have to wait and see what they have in mind," Sugarman said. "We'd like to see each employee get what they deserve."
So the drama is a long way from running its course. But there are a couple of lessons to be learned.
First, this is an age of transparency. To the extent Spansion executives are frustrated for taking some lumps in public, they have only themselves to blame. Next time, be straight up with your employees about what you intend to do.
Second, in the case of the raises, the company remains tone deaf. In the insular world of the executive suite and the boardroom, I'm sure it sounds perfectly reasonable that a company needs to pay key employees and executives more to give them an incentive to stick around.
But even if the money is for a relatively narrow group of executives, they're the ones responsible for piloting the ship onto the rocks. They shouldn't be rewarded for failure.
But beyond the symbolism, if the company needs to conserve cash, it needs to conserve cash. Even small raises are too much. And given the state of the economy, where exactly do they think all these top guns would be going?
Finally, however this turns out, kudos to the displaced Spansion employees for fighting back. They deserve better. Let's hope Spansion delivers it.

SPANSION拖延清还利息,CEO辞职,又被vendor控告拖欠$57 million,现在股价才6美分。。。看来不是被人收购就是破产保护了,可悲。。。
ChipMOS drops packaging deal with Spansion

IC packaging and test house ChipMOS Technologies Ltd has issued a notice of breach and notice of intent to terminate a service agreement with Spansion Inc.
NOR flash giant Spansion currently has an outstanding account receivable with ChipMOS of approximately $57 million of which approximately $18 million is in default, according to the Taiwanese firm. ChipMOS provides IC packaging and test services for Spansion.
"The service agreement provides 30 days for Spansion to continue the agreement with a payment of the amount in default to ChipMOS Taiwan," according to ChipMOS. "ChipMOS Taiwan has also given Spansion notice that pursuant to Article 928 and Article 929 of the Taiwanese Civil Code it has obtained a statutory lien on the Spansion's inventory and related equipment and materials currently in ChipMOS Taiwan's possession."
ChipMOS reserves all of its rights and remedies available under the agreement and applicable law.
Recently, Spansion moved in another direction in packaging. The company and Taiwan's Advanced Semiconductor Engineering Inc. signed a memorandum of understanding to establish a venture to jointly own Spansion's IC assembly operations in Suzhou, China.
Recently, Spansion confirmed that it has been exploring strategic alternatives, "including, but not limited to, opportunities to merge with or sell to similar U.S. or foreign businesses."
Amid a string of losses, declining funds and a major downturn, Spansion recently implemented another round of cost-cutting measures. Rumors are also running rampant that Spansion is mulling a plan to file Chapter 11 protection of the U.S. Bankruptcy Code. The company declined to comment.
At one time, there were other rumors about Spansion, including a report that Japan's Toshiba Corp. would acquire the company.

SUNNYVALE, Calif. (AP) -- Spansion Inc., one of the world's largest makers of flash memory chips used in digital cameras and other gadgets, said it will delay making an interest payment due Thursday on a senior note and is considering a merger or sale.
Its shares shed 1 cent, or 5.6 percent, to 17 cents in Thursday morning trading.
In connection with its exploration of strategic alternatives, Spansion said it was postponing the payment in anticipation of beginning "an organized process of potential balance sheet restructuring opportunities." The 11.25 percent senior note is due 2016.
Spansion said it is considering opportunities to merge with or sell to similar U.S. or foreign businesses. That would create "significantly greater scale" and provide customers with a broader range of more cost-effective memory products, the company said.
In November, Spansion cut its fourth-quarter sales forecast to 20 percent lower than its third-quarter revenue, suggesting revenue of about $505 million. The company previously had said it expected a slight decline in sales.
The Sunnyvale, Calif., company cited a slowdown in demand as customers shut factories for its reduced outlook.
Analysts surveyed by Thomson Reuters expect revenue for the period ended Dec. 28 of $504.2 million.
Spansion also said in November it would cut cost of goods sold by about 25 percent and reduce operating expenses.

Boaz Eitan, an executive vice president at Spansion and a member of its board, will take over as interim president, the company said.
Eitan founded the company Saifun Semiconductors Ltd. which was acquired by Spansion early last year.
Cambou will provide consulting services to the company.
Spansion, one of the largest makers of flash memory chips for digital cameras and other consumer gadgets, announced last month it was looking for a buyer or merger partner.
The company, a joint venture between Advanced Micro Devices Inc. and Fujitsu Ltd. that was spun into a public company in 2005, has seen demand fall as the recession takes a toll on the chip industry.
In November, Spansion projected fourth-quarter revenue to drop 20 percent from third-quarter levels after an initial forecast of only slightly declining sales.
The company's stock is trading around 6 cents.

听说Penang Spansion的员工从年初一放假到元宵节。。。我个人认为不是不得已Spansion不会拖欠利息和vendor,因为这意味着default/信用破产,情况不乐观。。。 |

ChipMOS gives Spansion 30 days to settle overdue payments

ChipMOS has sent a notice to Spansion giving the NOR flash maker 30 days to pay off a recent order, or else it will take further action, according to ChipMOS.
ChipMOS currently has around US$57 million in accounts receivable from Spansion, of which, a US$18 million payment was due before January 15, but has not yet been paid.
If Spansion does not pay off its debt after the 30 days, ChipMOS will terminate the contract between the two and will consider legal action, the company said.
In other news, Spansion's financial problems have definitely changed Advanced Semiconductor Engineering's (ASE's) plans to acquire Spansion's packaging and testing fab, ASE has noted. ASE will continue to monitor Spansion's financial performance, but will not sign any contract until Spansion's financial status becomes more stable.
With ChipMOS' second largest client ProMOS Technologies also suffering financial problems, ChipMOS expects its revenues in 2009 may drop by 50% on year.
ChipMOS pointed out that it has already started adjusting its shipments to ProMOS and expects the proportion to drop below 10% in the first quarter this year. However, the company cannot do much with Spansion for the time being due to contractual obligations. ChipMOS said it will start to expand its client base in order to lessen the potential impact from individual customers in the future.
