前天来了二哥,昨天又来个北桥峰......

刚开电脑...第一个给我的感觉是: 奇怪...到底发生了什么事..连续两天竟然有两个前辈突然亮相......

是的,油价的冲击肯定很大。不过,我相信客户会体谅而允许起价。但,即使起价,也很难令运输维持高营运赚幅。我并不期望这一方面的盈利,最重要不亏损就好。危机也是契机。最后能脱颖而出的,或许就是明日的天鹅。我认为,Century目前的赚益主要是从石油与天然气领域,而且,利润率得以明显提升,也是部分靠此。取长补短,或许能在未来交出更好的成绩。


你在等"change of appraisal"?大家都认为Century是运输股,你却认为她将成为油气股?

盼恢复巴西古当部分业务 世纪通运冀营收增逾10%

(吉隆坡24日讯)世纪通运(Century,7117,主板贸服股)放眼,今年营业额将取得超过10%的增长率。

世纪通运财务董事叶邱顺告诉记者,公司营业额去年下滑,主要是政府要求公司退出巴西古当油气物流业务。

“不过,公司的第三方物流业务表现良好,成功抵消部分冲击。”

叶邱顺表示,公司希望恢复巴西古当的部分业务,但一切只能等到大选后才会有具体发展。

就今年重点发展方向而言,叶邱顺说:“公司今年将注重发展文件管理服务、第三方物流及合约物流三大项业务。”

他解释,文件管理服务是公司专注的全新服务,会在下半年正式推荐。

专注第三方物流

他说:“公司的这项新业务暂时仅推介给现有客户,毕竟新客户仍需要时间接受。”

除了为客户储存文件,世纪通运的全新文件管理服务业务也协助客户将文件转成电子版,方便取阅。

“目前,公司已开始天地通(Celcom Axiata)提供这项新服务。”

另一方面,世纪通运也将专注在第三方物流业务。

叶邱顺进一步解释,公司目前在柔佛丹绒柏勒巴斯港口(PTP)兴建两座货仓,其中之一将在下星期完成,另一座也会在5月尾竣工。

叶邱顺说,丹绒柏勒巴斯港口不仅靠近新加坡,租金也比较便宜,加上靠近依斯干达特区及港口,可为公司引进许多潜在客户。

“许多新加坡厂商都选择把货柜停放柔佛,因此我们对当地业务非常有信心。”

该货仓面积40万平方尺,世纪通运在当地的货仓总面积也因此增至86万平方尺。

合约物流看涨30%

叶邱顺指出,世纪通运合约物流业务过去成功取得20%至30%的年增长率,因此看好能继续贡献。

“公司目前持有数项为期3年的合约物流合约,主要来自食品业公司,相信能支撑公司的增长。”

叶邱顺在常年股东大会后记者会上、向记者汇报公司未来发展方向。

询及物流业前景,他表示,经济情况不稳定下肯定会面对更严峻的挑战。

“不过,我们的客户属抗跌性强业务,相信能帮我们面对挑战。”[南洋网财经]

世纪通运財测下调

(吉隆坡18日讯)世纪通运(CENTURY,7117,主板贸服股)2013財政年首季(截至3月31日止)净利表现低於预测。       

儘管分析员看好物流业务將在下半年復甦,但预料该集团仍无法实现分析员设定的全年净利预测,因而下调其本財政年与下財政年的盈利预测。

世纪通运首季净利按年增长3.4%,至440万令吉,仅达到MIDF研究分析员对其全年预测的19.3%。

分析员指出,该集团表现不如预期,主要归咎於採购物流以及丹绒柏勒斯港口(PTP)油气运输业务订单量减少。

该集团的营业额按年缩减16.4%,至5460万令吉,与大马製造领域於今年首季0.3%的缓慢成长相符。

无论如何,考虑到薄弱的船租租金和偏高的维护成本,世纪通运已停止一艘7119载重吨(DWT)化学品运输船的运作,並且正在脱售该船,料將为该集团带来一笔一次性的脱售收益。

此外,该集团位於丹绒柏勒斯港口、面积达46万平方尺的仓储中心已全面租出。

分析员透露,另外两间总面积达40万平方尺的分销中心,將於次季准备就绪,预计將可为该集团带来每年额外800万至900万令吉的租金收益。

「展望未来,我们看好仓储业务將协助该集团补偿油气运输业务放缓所留下盈利缺口。」

分析员表示,儘管製造领域料將在下半年回温,带动物流业务的復甦,惟世纪通运估计无法实现早前所设定的全年净利预测。

因此,分析员对该集团2013与2014財政年的盈利预测作出调整,分別下调5.5%及6.6%。

由於分析员改由以该股2014財政年的每股盈利(EPS)进行估值,因此该股的目標价上调至1.82令吉。

世紀通運控股首季淨利僅小揚3.4%至444萬5千令吉,低於市場預期,MIDF研究雖預計物流業務可在下半年復甦,但基於油氣物流活動下滑,今明兩年財測各遭下調5.5%及6.6%。

隨著製造業活動料回彈,MIDF研究認為物流業務有望反彈,惟製造業的復甦動力可能無法達到早前的預期,因而將未來兩年財測最高調降6.6%。

世紀通運控股管理層透露,很多新加坡公司對丹絨伯勒巴斯港口(TanjungPelepas)附近的倉庫深感興趣,促使達到100%租用率。

另兩個佔地400平方呎的分銷中心也料從次季起投入營運,每年有望貢獻800萬至900萬令吉租金收益。

同時,該公司將脫售已停止營運的化學油槽,相信可帶來一次性脫售賺益。

世纪通运下半年业绩改善

(吉隆坡17日讯)虽然世纪通运(CENTURY,7117,主板贸服股)在2013財政年次季(截至6月30日止)仍未能扭转盈利按年萎缩的局面,遭分析员下调盈利预测,但基於按季出现改善,分析员看好,该公司仍处在下半年的復甦轨道上。       

世纪通运次季净利按年萎缩23.5%,至263万令吉,去年同期为343万令吉;营业额亦按年缩减14.9%,至5645万令吉,去年同期为6632万令吉。首6个月,该公司净赚707万令吉,相比去年同期的773万令吉,萎缩8.5%;营业额则从去年同期的1亿3164万令吉,按年减少15.6%,至1亿1105万令吉。

该公司的上半年净利,只达到MIDF分析员全年预测的35.6%比重。因此,分析员决定把其2013年和2014年全年净利预测分別下砍9%和1%,至1710万令吉和2150万令吉。同时,分析员虽然维持该股的「中和」评级,但把目標价格从1.82令吉,下修至1.66令吉。

下半年营业额料改善

分析员指出,世纪通运次季业绩退步,是因为其全程物流和採购物流的营收减少,而船际(STS)加油业务也还未完全復甦。

儘管如此,分析员在按季比较中找到亮点,称该公司的次季营业额按季增长3.4%,此为该公司可在下半年进一步改善表现的跡象。

业务进展也有助於世纪通运的復甦。在5月杪,该公司已完成在柔佛丹绒帕勒柏斯港口(PTP)的仓库建造工程,扩大仓储空间至46万平方呎。

分析员预测,此扩张活动將能在未来为该公司提供每年800万至900万令吉的现金流。

值得注意的是,世纪通运在宣布次季业绩时,也宣布派发每股4仙的中期单层股息,外加以25送1的比例,派送库存股予股东。以该股15日(週四)达1.92令吉的闭市价计算,此库存库相等於每股额外7.7仙的股息。

分析员对世纪通运在业绩表现走软时,仍选择回馈股东感到惊喜,並认为这是因为该公司未来无需再拨出大笔资本开销(Capex)所致。[东方日报财经]

- PROPOSED DISPOSAL OF 459,000 ORDINARY SHARES OF RM1.00 EACH IN THE CAPITAL OF STOREWELL REALTY SDN. BHD., REPRESENTING 51% EQUITY INTEREST, BY CENTURY LOGISTICS SDN. BHD. FOR A TOTAL CASH CONSIDERATION OF RM7.9 MILLION
INTRODUCTION
The Board of Directors of CENTURY (“Board”) is pleased to announce that Century Logistics Sdn. Bhd. (Company No.: 32594-T) (“CLSB” or “Vendor”), a wholly-owned subsidiary of the Company, had on 24 February 2014 entered into a Share Sale Agreement (“SSA”) with Brightberry Sdn. Bhd. (Company No.: 1080194-D) ("Brightberry” or “Purchaser”) to dispose 459,000 ordinary shares of RM1.00 each in the capital of Storewell Realty Sdn. Bhd. (Company No.: 62740-A) (“Storewell”), representing 51% of the equity interest ("Sale Shares") in Storewell to Brightberry, for a total cash consideration of RM7.9 million (“Proposed Disposal”).

DETAILS OF THE PROPOSED DISPOSAL
(a)        Information on Brightberry

    Brightberry is a company incorporated in Malaysia under the Companies Act 1965 with its registered office at Level 2, Tower 1, Avenue 5, Bangsar South City, 59200 Kuala Lumpur.

    The principal activity of Brightberry is investment holding.

(b)        Information on Storewell

    Storewell is a company incorporated in Malaysia with its registered address at Level 7, Menara Milenium, Jalan Damanlela, Pusat Bandar Damansara, Damansara Heights, 50490 Kuala Lumpur and its business address at Lot 8, Lingkaran Sultan Mohamed 1, Bandar Sultan Suleiman, 42000 Port Klang, Selangor Darul Ehsan.

    The shareholders of Storewell are currently CLSB, a wholly owned subsidiary of the Company, holding 459,000 ordinary shares or 51% of the total paid up capital of Storewell and Misi Mahsuri Sdn. Bhd., holding 441,000 ordinary shares or 49% of the total paid up capital.

    The principal activity of Storewell is property investment.

BASIS OF THE SALE CONSIDERATION
The sale consideration for the Proposed Disposal was arrived at after taking into consideration the net assets of Storewell of RM829,000, and assignment of the amount due to Century and CLSB amounting to RM6.039 million (“Advances”).

Based on the 51% interest in Storewell and after taking into consideration the Advances, the value of the sale consideration amounts to RM6.462 million. As a result, the Century Group will realize a gain on disposal of RM1.438 million.

SALIENT TERMS OF THE SSA
1. Conditions Precedent


      The purchase of the Sale Shares is conditional upon the following:


      (a) The completion of a due diligence exercise and the results thereof being acceptable to the Purchaser;(b) The Vendor having first procured the waiver of pre-emption right from the existing shareholders of Storewell under the Articles of Association of Storewell and in pursuance of the terms of a shareholders’ agreement to have the Sale Share offered to the existing shareholders prior to the sale and transfer of the Sale Share;(c) The Vendor having first procured its corporate approval to deliver a validly and duly executed Assignment in the format as required wherein the Vendor assign, transfer and convey absolutely all its rights and interest in the Advances to the Purchaser;(d) A resolution being passed at a general meeting and Board of Directors’ of the Vendor approving the sale of the Sale Shares; and


    (e) A resolution being passed at a general meeting and Board of Directors’ of the Purchaser approving the purchase of the Sale Shares;


    and, if any of the conditions is not fulfilled within one (1) month from the date of the SSA (or such other period as may be mutually agreed by the parties) any monies paid to the Vendor by the Purchaser pursuant to the SSA shall be refunded to the Purchaser without interest and thereafter, the SSA shall cease to have effect and each party shall have no claim under it against the other, save in respect of any prior breach.

2.         Sale Consideration

    The Price shall be paid by the Purchaser to the Vendor in the following manner:(a) upon execution of the SSA, the Purchaser shall pay to the Vendor a sum of Ringgit Malaysia Seven Hundred and Ninety Thousand (RM790,000.00) only as deposit and part payment towards account of the Price (“the Deposit”) (the receipt whereof the Vendor acknowledges); and(b) within 14 days on completion of the purchase of the Sale Share, the Purchaser shall pay to the Vendor the balance of Ringgit Malaysia Seven Million One Hundred and Ten Thousand (RM7,110,000.00) Only (“the Balance Price”).


3.        Completion of Sale


      Completion shall takeplace at the registered office of the Vendor within three (3) daysafter the date of which the last of the above Conditions Precedent are fulfilled.

EFFECTS OF THE PROPOSED DISPOSAL
(a) Share Capital and Major Shareholders' Shareholding

    The Proposed Disposal will not have any effect on the share capital and Major shareholders’ shareholding of the Company as it will be settled entirely in cash.

(b)        Earnings, Net Assets and Gearing

    The Proposed Disposal will result in a gain on disposal of RM1.438 million and will result in a cash inflow to the Century Group of RM7.9 million. The Proposed Disposal will also not result in the assuming of any liabilities by the Company or CLSB.

APPROVAL REQUIRED
The Proposed Disposal does not require the approval of the Company’s shareholders or any government authorities.

DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST
Save for the respective indirect equity interests held in the Vendor via the Company, none of the directors and/or major shareholders of the Company and/or persons connected with a director or major shareholder has any interest, direct or indirect, in the Proposed Disposal.

DIRECTORS’ STATEMENT
The Board of Directors of the Company, having taken into consideration all aspects relevant to the Proposed Disposal, is of the opinion that the Proposed Disposal is in the best interest of the Company.

ESTIMATED COMPLETION
Barring unforeseen circumstances, the Proposed Disposal is expected to be completed within two (2) months from the date of the SSA.

The Board of Directors of CENTURY had resolved to recommend a Single Tier Final Dividend of 4.0 sen per share for the financial year ended 31 December 2013, subject to the shareholders' approval at the forthcoming Annual General Meeting.

3200万卖资产 世纪通运撤出泰国

(吉隆坡6日讯)世纪通运(CENTURY,7117,主板贸服股)泰国子公司以3200万令吉脱售泰国资产。

随着结束泰国投资业务,未来焦点将集中在本地核心业务上。

该公司昨天日向马交所报备,独资子公司———世纪资源有限公司,把位于泰国大城(Ayutthaya)Rojana工业园一项房地产,以3亿2000万泰铢(约3200万令吉),脱售给Guidance投资有限公司。

脱售资产可为世纪通运带来199万令吉净利。

负债降至14.3%

世纪运通指出,脱售资产所得将用作偿还总值1亿2040万泰铢(约令1204万吉)欠款,另外1550万泰铢(约155万令吉)将用作支付泰国税务与经纪公司费用,净负债率从19.2%减至14.3%。

另外,其余的1亿8410万泰铢(约1841万令吉),将用作世纪通运未来3个月的营运资本。

相关房地产为一栋建有1座单层楼仓库以及一座三层楼办公楼的建筑,相关建筑面积达3万8768平方公尺,占地9.6英亩,可出租面积为2万2809平方公尺。

文件指出,世纪通运是在2008年以6780万泰铢(约678万令吉),购入该地皮并建设相关建筑,当时建筑成本达2亿4260万泰铢(约2426万令吉)。【南洋网财经】

- DISPOSAL OF A PROPERTY IN ROJANA INDUSTRIAL PARK, AYUTTHAYA PROVINCE, THAILAND BY CENTURY RESOURCES (THAILAND) LIMITED, A WHOLLY-OWNED SUBSIDIARY OF THE CENTURY GROUP, TO GUIDANCE INVESTMENTS SDN BHD, FOR A CASH CONSIDERATION OF THAI BAHT 320 MILLION (“DISPOSAL”)
(For consistency, all the abbreviations used throughout this announcement shall have the same meanings as defined in the announcement dated 5 March 2014 in relation to the Disposal, where applicable, unless stated otherwise or defined herein)

Reference is made to the Company's announcement dated 5 March 2014.

The Board of Directors of CENTURY wishes to announce the following additional information/clarification in respect of the abovementioned matter:-

1.  Rental income received prior to the Disposal
The rental income per month received by CRT prior to the Disposal was THB2.62 million (approximately RM0.26 million).

2.  Interest savings from the full repayment of the term loan as mentioned in item 5(i) of the announcement dated 5 March 2014
The interest savings from the full repayment of the balance term loan of THB120.4 million (approximately RM12.04 million) would be THB6.8 million (approximately RM0.68 million) per annum at the latest interest rate of 5.62625% per annum.

3.  Remaining sum of the proceeds to be utilised as working capital as mentioned in item 5(iii) of the announcement dated 5 March 2014
The remaining sum amounting to approximately THB184.1 million (approximately RM18.41 million) would be added on to the Group’s existing deposits, cash and bank balances of RM38.1 million as at 31 December  2013 (“fund”). The fund would be invested in fixed income funds, generating return of investment of approximately 3% per annum. The Group intends to utilise the fund as and when the Group identifies suitable investments in the future.


4. Documents for inspection
The sale and purchase agreement and the broker’s opinion of value as mentioned in item 4(i) of the announcement dated 5 March 2014 pertaining to the Disposal can be inspected at the registered office of Century at Level 7, Menara Milenium, Jalan Damanlela, Pusat Bandar Damansara, Damansara Heights, 50490 Kuala Lumpur from Mondays to Fridays (except public holidays) during normal business hours for a period of three (3) months from the date of this announcement.

(吉隆坡13日讯)消息来源指出,联邦土地发展局(FELDA)正洽商收购世纪通运控股有限公司(CENTURY,7117,贸易服务组)的重大股权。

传言称,该种植巨子已与世纪通运集团最大股东拿督潘振茂进行洽商一段时间,后者拥有世纪通运控股的26.4%股份。

据世纪通运控股截至2013年3月13日的最新常年报告显示,潘振茂拥有19.3%直接股权,并透过妻子和女儿拥有7.1%间接股份。潘振茂也是世纪通运控股的执行主席。

以昨日闭市价2.65令吉计,潘振茂的26.4%持股,或总共3080万股票,市值为8030万令吉。

熟悉该公司的消息指出:“洽商尚未落实,目前在股东方面进行中,但一切都还没有确定。”

世纪通运控股官员拒绝对此发表评论。

市场传言,联邦土地发展局与旗下单位放眼世纪通运控股可让它拥有旗下各种业务的供应链。

市场观察家称:“联邦土地发展局是一家种植巨霸,但也从事生产商品,因此这项交易是合理的。”

也是世纪通运控股创办人的潘振茂今年将迈入65岁,有指若可获得高价,他将有意退休。

据其2013财政年常年报告,潘振茂自21岁起已经从事物流业,当时他与一名伙伴于1970年成立了Syarikat Wakil Penghantaran & Perkapalan Century。

截至去年12月杪,世纪通运控股拥有每股净资产约2.09令吉。

在截至2013年12月杪的财政年度里,世纪通运控股录得2255万令吉净盈利及2亿5581万令吉。每股收益则从20.39仙微降至19.42仙。

较佳的盈利主要是来自价值1060万令吉的投资产业重新估值。

股价频走高

世纪通运控股股票近期动作频频,并处于多年高峰。该公司昨日闭市扬2仙,至2.65令吉。

该股今日继续涨势,一度走高至2.76令吉水平,尾盘升幅稍缩小,以2.68令吉挂收,比昨日闭市增3仙,成交量达151万3600股。
