Atrium REIT wished to announce that it has on 10 October, 2007 entered into a Sales & Purchase Agreement to acquire an industrial building at Senai Industrial Park, Johor from Yong Jin Development Sdn Bhd for a cash consideration of RM12.5 million. The acquisition comprises an approximately 7 acres of leasehold land expiring in 2054 and housing an electronic factory with a net lettable area of 125,173 sq. ft. This property is leased to Flextronics Technology (Malaysia) Sdn Bhd for a 5 years tenancy expiring in end 2011, plus an option to renew for further 5 years. The rental income provides Atrium REIT an annual gross yield of about 9.6%. As it is a cash purchase, this acquisition is expected to increase the annual distributable yield.

Atrium REIT currently has four freehold industrial properties with net lettable area of about 809,000 sq. ft. About 96% of the current net lettable area is leased to MNC logistic companies such as DHL and CEVA. With the above new acquisition, the total net lettable area is expected to increase to 934,173 sq. ft. Atrium REIT shall continue its strategy to acquire premium and strategic industrial properties to enhance its portfolio and distributable yields.

The Proposed Disposal and ProposedSubscription (collectively referred to as the "Proposed ReverseTakeover") shall be considered as a reverse takeover of PT Fatrapolindoby TICSB.

大騰化學逾6億倒置收購印尼Fatrapolindo

大騰化學（TITAN，5103）宣佈重組其在印尼的業務與投資，以超過6億令吉的代價倒置收購印尼上市公司PT Fatrapolindo，然後再以6億3679萬令吉現金價，將印尼的聚乙烯業務注入PT Fatrapolindo。

大騰化學透過獨資子公司大騰國際，與PT Fatrapolindo簽署合約，認購後者所發行，但未被股東認購的最多51億5621萬股附加股。以每股345印尼盾的發售價計算，大騰國際最終需要拿出約1兆7788億9000萬印尼盾（約6億4653萬令吉）現金來認購。

一旦悉數認購PT Fatrapolindo所發行的附加股，大騰國際最後將持有該公司92.63%股權，進而倒置收購PT Fatrapolindo。

在雅加達及泗水股票交易所上市的PT Fatrapolindo，主要業務是生產及經銷雙軸拉伸聚丙烯（BOPP）膜。

配合倒置收購PT Fatrapolindo，大騰化學建議將印尼的聚乙烯業務（Chemical Brothers公司所有股權），以1億8840萬美元（約6億3679萬令吉）現金價，脫售給PT Fatrapolindo。

大騰化學指出，上述企業活動旨在將其在印尼的投資合理化和重組，並釋放在Chemical Brothers的投資價值。

該公司說，配合整合下游業務的目標，將PT Fatrapolindo納入集團旗下將可為公司現有系列產品增值，並將營收來源多元化。

“此舉也可讓公司進入印尼的資金市場，促進未來的併購機會，進一步擴充與多元化業務。”
