RELATED PARTY TRANSACTIONS | Description | PROPOSED ACQUISITION OF LAND FOR A TOTAL CASH CONSIDERATION OF RM5.5 MILLION ("ACQUISITION") | Pursuant to Paragraph 10.08(1) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Pantech Group Holdings Berhad (“the Company”) wishes to announce that the Company’s indirect wholly-owned subsidiary, Pantech Realty Sdn Bhd had on 8 December 2021 entered into a Sale and Purchase Agreement with C & S Realty Corporation Sdn Bhd for the purchase of a parcel of leasehold vacant industrial land located in the Mukim of Plentong, District of Johor Bahru, State of Johor, measuring approximately 2.525 acres in the industrial area known as Pasir Gudang Industrial Estate, Zon 12B for a total cash consideration of RM5,500,000 (“Acquisition”).

On behalf of the Board of Directors of Pantech, AIS wishes to announce that at the closing of acceptance and payment for the Restricted Offering at 5:00 p.m. on 19 February 2025, a total of 1,871 applicants for 40,048,957 Pantech Global Shares with a value of RM27,233,290.76 were received from the Entitled Shareholders of Pantech, which represent an oversubscription rate of 0.14 times based on the 35,000,000 Pantech Global Shares made available for application under the Restricted Offering.
The allotment of the Pantech Global Shares to all successful applicants and the refund of application monies to unsuccessful applicants of Pantech Global Shares will be carried out based on the timeframe as set out in the Prospectus dated 10 February 2025.
Further, the listing of and quotation for the entire enlarged issued share capital of Pantech Global on the Main Market of Bursa Securities is expected to be on 3 March 2025.
