（吉隆坡20日讯）商峰（PUNCAK，6807，主板基建股）和金务大（GAMUDA，5398，主板建筑股）今日同时向马交所澄清，没有收到来自雪兰莪州务大臣发出的原水供应执照终止通知书。

《星报》和《TheEdge》分别在本月16日和20日的报道，指雪州政府正式向商峰和金务大旗下雪州水务公司（SPLASH）收回原水供应执照，马交所因而向该两家公司发出质询。

不过，商峰和金务大不约而同回应“不知情”。

商峰通过文告指出：“《星报》在本月16日指原水供应执照将被撤销，本公司在此声明，截至目前为止，我们完全不知情。”

金务大也在文告中表示，雪州水务公司也没有收到来自雪州政府有关终止执照的通知书。

雪州州务大臣丹斯里卡立在本月13日（周一）宣布，配合州内水供重组计划，终止商峰手上的原水供应执照，转颁发给雪州投资臂膀———达鲁益善集团（KDEB）。[南洋网财经]

商峰获3.9 亿水道工程

（吉隆坡14日讯）商峰（PUNCAK，6807，主板基建股）获能源、绿色工艺及水务部，颁发总值3亿9398万令吉的下水道设施工程。

该公司今日向马交所报备，于今日签署得标函件。

在此合约下，商峰必须为吉隆坡波努斯（Bunus）地区，建设新的下水道网络、水泵站，以及衔接该区现有的污水处理设施。

这也是能源、绿色工艺及水务部的D44配套工程。

这项合约期限长达48个月，预计将在2018年2月24日竣工，完工后的缺陷责任期长达24个月。

相关计划预计将推高商峰现财年的盈利及每股净资产值。【南洋网财经】

新廢水輸送管合約已反映‧商業高峰財測不變

（吉隆坡17日訊）商業高峰（PUNCAK，6807，主板貿服組）日前取得一項新廢水輸送管網絡及泵站合約，惟分析員認為早已納入較早預測內，對財測保持不變，惟認為該公司基本因素保持良好司股票今年1月遭拋售是不合情理。

分析員較為關注該公司與雪州政府針對收購水務資產的洽商進展，若是收購價格談不攏，有關問題可能會被帶到仲裁法庭加以解決。

商業高峰日前宣佈，該公司獲得能源，綠色科技及水務部頒發一項總值3億9千400萬令吉的工程合約，以在吉隆坡布魯斯設計及建築新的廢水輸送管網絡及泵站等。

MIDF研究指出，目前國雪州水務資產轉移課題仍未解決，而聯邦政府日前表示，將採取2006年水務服務工業法令第114條文解決有關課題，這意味著可能触發另一輪的洽商，特別是有關資產估值的問題。

一旦接管水務資產課題陷入僵局，可能使水務特許經營權的課題被帶到仲裁法庭。

MIDF認為，商業高峰的基本因素保持良好，就算不再涉及水務特許經營領域，依然涉足水務相關建築服務及油氣領域。有鋻於此，該公司股價在2014年1月份遭到拋售實是不合情理，反而浮現買進機會。

MIDF研究保持商業高峰財測不變，因有關新工程合約已包括在較早時預測水務/廢水建築工程的新工程合約數目，預料2014年財政年將有2億令吉水平。

大馬研究預料，商業高峰攫取的3億9千400萬令吉工程合約，將在2014年至2018年財政年每年作出約1億令吉的營收貢獻。而該合約已在納入該行較早時的預測新工程合約在內，所以對財測保持不變。

大馬研究指出，目前尚在等待聯邦政府針對雪州水務資產開始新一輪的洽商與獻議；較早時政府表示，政府願意以“願買願賣”情況下收購雪州的水務資產。預料會在今年首半年內作出獻購建議。（星洲日報／財經‧報道：李文龍）

商峰控股财报失色

（吉隆坡15日讯）商峰控股有限公司（PUNCAK，6807，基建公司组）公布，在截至2013年12月31日止财政年度，所取得的税前利润按年从3亿2537万2000令吉下滑至2亿3673万8000令吉。 该基建集团致函马交所说，而营业额由前期的15亿6300万令吉走低至11亿4700万令吉。

此外，在截至2013年12月31日止第4财季中，它录得451万2000令吉的毛亏，但在前期时取得5204万2000令吉的毛利。

至于营业额方面，由前期的4亿3445万8000令吉减少1亿3960万令吉或32.1％至2亿9492万5000令吉。

营业额减少的主要原因是，来自石油和天然气及建筑领域的收入贡献较低，加上经营成本较高，以及长期应收款项出现减值亏损。

展望水务领域业务时，商峰控股表示：“我们正积极建议，提供水务解决方案给联邦政府，以改善现有的水利基础设施，并在全国各地加大对农村地区的食水供应。”

该集团将会按照其目标，继续寻求在石油和天然气行业的商机，并致力在该领域成为一名显著的业者。它补充：“我们对于实现可持续的长期增长持乐观态度。”【光华日报财经】

商峰开出5条件

商峰透过文告表明，有意考虑KDEB献购SYABAS所有股权和PNSB的70%股权，但KDEB必须白纸黑字同意5个条件。

值得注意的是，商峰针对售购献议，今天召开特别董事会，但执行主席兼大股东丹斯里罗扎里缺席，意味放弃会上的投票权。

商峰开出5个条件：
1.商峰所获收购金额，必须包含每年15%的复利年收益，以补偿公司脱售水务资产给雪州政府后的未来收入损失；
2.必须还清SYABAS拖欠商峰所有款项，为供应水源给SYABAS的费用；
3.PNSB和SYABAS的剩余现金（包括项目2所提及），都属于商峰存留盈余，应归商峰；
4.接受献议后，需豁免精密审核程序；怕別人审核 !!
5.针对KDEB收购水供资产的行动，必须与水务资产管理公司（PAAB）收购水供资产活动，豁免同步进行。

要求撤除国际仲裁条款

另外，商峰要求KDEB剔除违反自由主义且对股东不公平的国际仲裁条款。

该公司认为，加入仲裁条款，有违中央政府“愿买愿卖”的指示。

商峰强调，KDEB必须针对上述条款回复公司，董事部才会召开股东特别大会寻求批准。

收购价低于预期　商峰及凭单齐跌

（吉隆坡13日讯）隨著雪州政府提出低于预期的收购献议，商峰（PUNCAK，6807，主板基建股）及其商峰- W B股价在今天纷纷下挫，全天分別下滑26仙或7.975%，及17仙或7.456%，各成为全场第3大及第7大下跌股。       

商峰以全天最高水平3.20令吉开低，全天呈下滑走势，最终以全天最低水平3令吉掛收，下跌26仙或7.98%。该股全天成交量为1010万6900股，高于昨日的246万8900股。

商峰-WB以2.25令吉开低，盘中触及全天最低水平2.05令吉，之后稍微收窄跌幅，以2.11令吉掛收，全天跌17仙或7.46%。该凭单的成交量为123万9800单位，显著高于昨天的48万4700单位。

隨著雪州州务大臣丹斯里卡立昨日向媒体指出，中央政府援引《2006年水务业法令》（WASIA）第114条文，协助雪州政府收购4家私营水务公司的净资產（不包括相关公司的负债资產），收购价为76亿5000万令吉，相比原本的96亿5000万令吉，减少20亿令吉。

MIDF研究分析员表示，鉴于早前中央政府提出將注入20亿令吉协助水务资產活动，所以他推测，该20亿令吉將弥补卡立提出的新收购的差额。换言之，有关收购价將可能保持原状。

联昌国际投行分析员表示，除非雪州政府带来正面消息，否则以目前的情况，对商峰並不利。这是因为目前仍然围绕著商峰会否获得一个可接受的退场价格。市场之前期待可以得到来自中央政府的补偿，如果有关预期最终落空，要达双方满意好交易的机率將减低。

评级下调

联昌国际投行分析员认为，投资者现阶段应该维持观望，所以將商峰的投资评级下调至「守住」，同时將其目標价格从4.16令吉，调低至3.31令吉。

虽然如此，MIDF研究分析员则认为，即使商峰退出水务业务，该公司依然会涉及水务相关的建造服务及油气领域，因此，维持该股「买进」投资评级，及4.04令吉目標价。【东方网财经】

中央政府援引2006年水供服務工業法令114條文，協助雪州政府執行收購雪州水供服務工業的行動，將進一步使到獻議收購價格從96億5000萬令吉減至76億5000萬令吉，即減少了20億令吉。

中央政府之所以會和雪州政府合，也是另外的水合約新的制造水源。

之前因為他們以為中央政府不會幫反對黨的政府，但是因為冷岳2濾水站，所以雪州政府就不阻止中央政府的冷岳2濾水站計劃， 所以幫了雪州也可以幫了自已，如果下一賽大選，國陣拿回雪州的話，又多了一條財路，何樂不為呢 !

商峰缅甸获永久执照

（吉隆坡18日讯）商峰（PUNCAK，6807，主板基建股）的缅甸分公司，已正式取得缅甸规划与经济发展部的公司注册局（简称缅甸注册局）发出的永久执照和公司注册证书。

商峰向马交所报备，上述执照与注册证书皆志期2013年12月31日，而执照从2013年12月31日生效，直至2018年12月30日。

据资料，商峰于今年初已获得缅甸注册局发出的为期半年的临时公司注册证书与营运执照；这缅甸分公司主要在当地的水务和污水处理领域寻找商机。【南洋网财经】

商業高峰114萬 增持中國水務公司

（吉隆坡18日訊）商業高峰（PUNCAK，6807，主要板基建）新加坡子公司近期額外投資約35萬美元（約114萬令吉），增持魯威（平頂山市）水務有限公司股權。

商業高峰向馬證交所報備，持股98.65%的Sino水務有限公司在18日接獲由中國發出的營業執照，同時獲批准提高註冊資本和繳足資本限額。

報備文告指出，註冊資本限額將從580萬美元（約1902萬令吉）增至755萬美元（約2476萬令吉）；繳足資本限額增至615萬美元（約2017萬令吉）。

商業高峰指出，Sino水務有限公司增加投資額后，將持有魯威（平頂山市）水務有限公司92.40%股權；總投資額高達568萬2500美元（約1863萬令吉）。【中国报财经】

The Board of Directors of Puncak wishes to announce that its 98.65% Singapore subsidiary, Sino Water Pte Ltd (Company No. 200722828C) ("Sino Water") had recently invested an additional amount of USD350,000.00 in Luwei (Pingdingshan) Water Co., Ltd ("Luwei Co., Ltd"), a 91.94% owned limited liability subsidiary incorporated in Lushan County, Henan Province, in the People's Republic of China under the China Company Law. The Company was notified on 18 March 2014 by Luwei Co., Ltd that the regulatory authorities of the People's Republic of China had issued the "Business Licence" dated 17 March 2014 approving the increase of the registered capital limit of Luwei Co., Ltd from USD5,800,000.00 to USD7,550,000.00 and the lodgement of increase in the paid up registered capital of Luwei Co., Ltd from USD5,800,000.00 to USD6,150,000.00.
