Former Spansion CEO, concerned about fired employees, returns severance

Declaring "I am literally in tears" over the firing of 3,000 employees at computer chip maker Spansion, the company's former chief executive told the Mercury News on Friday he is returning $403,000 in severance money he got from his recent retirement in hopes it can be used to help the laid-off workers.
"My heart is broken to see that large amount of great people have been laid off without any severance," Bertrand Cambou also said in a letter sent Friday to the board of directors of Sunnyvale-based Spansion.
Cambou, 53, retired Feb. 2 after serving as president and CEO since 2003. In an interview with the Mercury News, he said, "I hope they are going to take some of that money and give it to the people" who were laid off.
Cambou, who noted he is still consulting with Spansion but looking for a full-time job, said he received $751,000 in severance, and all but $403,000 went to taxes.
"We appreciate Dr. Cambou's symbolic gesture and his concern for the welfare of Spansion and its employees," the company said in a prepared statement, adding, "We are talking with Dr. Cambou about his offer." The statement did not indicate how Spansion might use the money.
Many workers are outraged that they were fired Monday without severance payments, while Spansion's board the same day boosted the pay of some executives and other key employees by rescinding a six-month 10-percent pay cut that had been imposed on those top employees in October.
The fired workers also have claimed they were let go without proper notice under the state's so-called WARN Act, which generally requires large companies to give a 60-day notice before laying off 50 or more people.
Two class-action lawsuits filed Thursday in U.S. District Court in San Jose claim the company failed to comply with the WARN law. But Spansion officials have said they didn't have to comply with the prior-notice provision because they qualified under a legal exemption that they have declined to specify.
Cambou's gesture touched 38-year-old Eric Rubaker of Boulder Creek, who was among those fired and is named as a plaintiff on one of the class-action suits.
"Oh my gosh, wow!" Rubaker responded. "He really is a nice man."
Among other things, Rubaker urged Spansion to use Cambou's money to pay for the laid-off workers' health insurance. "That could really help everybody out," he said.
"I'm floored," added laid-off 54-year-old Paula Rao of Santa Clara, when informed of Cambou's action. "I think it absolutely should be given to the employees who were separated from the company. ... Maybe it's too little too late. But it would still salve the wounds a little bit."

Tech Company Breaks "No Greed" Rule

Once again, it seems someone didn't get the memo.
When we, as a nation, recently decided that a company/bank/agency, in the face of big layoffs, can no longer add to the insult by giving executives extra money, someone apparently forgot to tell Spansion.
On the same day that Spansion (SPSN) announced 3,000 layoffs, it also announced a plan to give executives money back, which the company previously decided to cut in the name of good corporate citizenship.
So, massive job cuts and executive suite pay raises from a publicly traded company.
And it gets even better. Because unlike Wells Fargo, which after hearing the outcry from shareholders and other public citizens, canceled its plan to send employees to high-priced hotels in Las Vegas, Spansion responded to its own crisis -- with relative silence.
No executive would talk on camera, only a short printed statement expressing "regret" about the layoffs, and pointing out that some of those getting the raise were below the VP level. Do you suppose that makes any of the 3,000 who lost their jobs feel any better?
Apparently not, because some are now filing a lawsuit against the company, claiming that not enough notice was given before the layoff was announced. As for the executives and employees who got the money, I asked Jim Basallone of the Markkula Center for Applied Ethics at Santa Clara University if he thought employee retention could be behind the pay boosts. Basallone, who comes to Santa Clara with decades of tech industry experience, asked me, in this market, where would they go?
He has a point.
He calls the message sent by the company "at best, insensitive to irresponsible."
At a time when public relations is of crucial importance, Spansion dropped the ball, plain and simple. But maybe they're not as worried about image as most other publicly traded companies. As I write this, Spansion stock trades at 5 cents a share.

FormFactor sues Spansion over unpaid $8.1 million order

FormFactor has sued Spansion for $8.1 million it says the Sunnyvale flash memory maker owes it for product ordered and delivered but never paid for, according to information found in the Livermore company’s 10-K annual financial report filed with the SEC Friday.
The law suit was filed in Santa Clara County’s superior court a week ago, days before Spansion slashed its payroll by 3,000 employees, or more than a third of its work force.
The Livermore maker of wafer probe cards used in semiconductor manufacturing is seeking payment of the amount owed as well as an injunction stopping Spansion from “divesting itself of any monies” it recieved from a “certain third party entity, as well as costs and attorney’s fees.
Spansion has hired a new chief executive, John Kispert, paying him four months of his $900,000 salary up front, which is his to keep should he quit before four months are up. Spansion’s board also promised Kispert a $1.75 million bonus if he can arrange a merger of the company or sell off its assets.
Sounds like he’ll have to play beat the clock, though. To get the bonus he must make sure the procedes from any deal will cover all of its secured creditors claims and that he makes it happen before any trustee is appointed “in connection with any bankruptcy proceedings.”
Looks like FormFactor will have to stand at the back of the line if (er, when?) Spansion seeks protection in bankruptcy court.
Spansion seemed to add insult to injury to the workers it laid off earlier this week when its board reversed 10 percent pay cuts some of its executives took last year the very same day, characterizing the move as a an effort to keep the executives from quitting.

Flash memory maker Spansion Inc. (Nasdaq: SPSN) will fire 75 employees in Israel, 40% of its local workforce of 190. Spansion Israeli activity is based on its acquisition of Saifun Semiconductor 18 months ago. The layoffs are part of a 35% reduction in the company's total workforce - 3,000 employees will lose their jobs worldwide. This is one of the company's streamlining measures.
Spansion already tried to shorten its workweek to four days, a measure being taken by a number of high-tech companies. That measure was of little help, and the company is now slashing its workforce.

Feb 12, 2009 -- Spansion Inc.'s subsidiary Spansion Japan Ltd. earlier this week sought bankruptcy protection under the Corporate Reorganization Law (Kaisha Kosei Ho) of Japan in order to obtain protection from creditors while it continues restructuring efforts. Spansion Japan has $800 million in liabilities, and its 1,300 employees amount to 13 percent of the company's global workforce.
Spansion's own future remains in doubt. The company is currently traded at a market cap of just $10 million. It has $1.5 billion in liabilities and $250 million cash. Spansion said that it did not expect the filing in Japan to materially affect its global operations.

Flash memory company Spansion files for bankruptcy

SUNNYVALE, Calif. (AP) — Struggling flash memory maker Spansion Inc. and its U.S. subsidiaries filed for Chapter 11 bankruptcy protection Sunday, in an effort to restructure $625 million worth of debt as the company continues to explore a possible sale or other alternatives.
The news comes a week after Spansion, one of the world's largest makers of chips used in digital cameras, cell phones and high-definition televisions, said it would slash its global work force by 35 percent, or 3,000 employees.
Demand for flash and chip-based memory is on the decline as sales of electronics which use Spansion's chips dip amid the weak global economy.
Spansion said Sunday it decided to file for bankruptcy following consultation with a lender group holding the company's senior secured floating rate notes due in 2013. The company is in talks with the bondholder group about providing debtor-in-possession financing for its long-term cash needs.
"Given our focus on Spansion's future, management and the board have concluded that chapter 11 provides the most effective means for Spansion to preserve its business, meet its post-petition obligations and maintain customer confidence and continuity while we complete this restructuring," said President and CEO John Kispert, in a statement Sunday.
Sunnyvale, Calif.-based Spansion, founded in 1993, was a joint venture between chip-maker Advanced Micro Devices Inc. and Fujitsu Ltd. In January, Spansion said it would restructure its balance sheet and seek a sale or merger. Chief Executive Bertrand Cambou was recently replaced by John Kispert, the former president of KLA-Tencor Corp. Earlier this month Spansion's Japanese unit filed for bankruptcy, and Taiwan-based ChipMOS, a provider of chip testing and assembly services, terminated its contract with Spansion LLC over the company's default on $29 million out of $73 million in trade debt.
Spansion, and its U.S. units — Spansion LLC, Spansion Technology LLC, Spansion International, Inc. and Cerium Laboratories LLC — filed their voluntary petitions in Delaware bankruptcy court. Spansion said the filings constitute defaulting on its debt.
The company said it plans to realign its business to focus on flash memory products, Internet Protocol services and the profitable parts of its wireless segment going forward.
"We will continue to explore opportunities for a strategic transaction to ensure that we are doing all we can to maximize value for our stakeholders," Kispert added.
Spansion shares have been steadily declining over the past three years, peaking in the mid-double-digit range in 2006 but falling to $3.70 by last spring. The stock closed at five cents on Friday.

Spansion, the Sunnyvale computer chipmaker that triggered outrage when it laid off 3,000 workers this week while increasing the pay of some executives, on Sunday filed for bankruptcy protection from its creditors.
In its Chapter 11 petition, filed in U.S. Bankruptcy Court in Delaware, the company listed about $3.8 billion in assets and nearly $2.4 billion in debts.
But John Kispert, who was hired on Feb. 4 to replace retiring Chief Executive Bertrand Cambou, said in an interview that the company had just $100 million in cash, which is not projected to last long because he said Spansion's operating expenses are about $30 million a week.
"Chapter 11 is a difficult decision," said the 45-year-old Kispert, former chief operating officer and president at KLA-Tencor, a Milpitas company whose products help make computer chips. "It really provides this company the most effective means to preserve our market position and to maintain customer confidence."

In a release issued on Sunday (March 1), Spansion said it will continue to pursue strategic alternatives, including the sale of the firm. But for now, and as expected, it has filed a voluntary petition for reorganization under chapter 11 of the U.S. Bankruptcy Code.
Each of Spansion's domestic subsidiaries also simultaneously filed chapter 11 petitions. Spansion, Spansion LLC, Spansion Technology LLC, Spansion International Inc. and Cerium Laboratories LLC filed their voluntary petitions for relief under chapter 11 in the U.S. Bankruptcy Court for the District of Delaware. Chain of events
Spansion has seen its share of ups--and mostly downs. In 2005, Advanced Micro Devices Inc. (AMD) and Fujitsu Ltd. spun-off their NOR product groups into a new and independent operation called Spansion.
But since the spin-off, it's been an uphill battle for loss-ridden Spansion. In 2005, the company filed for an IPO amid a capacity glut and falling product prices.
Amid a string of losses, declining funds and a major downturn, Spansion earlier this year implemented another round of cost-cutting measures. As early as January, rumors were running rampant that Spansion is mulling a plan to file Chapter 11 protection.
At one time, there were other rumors about Spansion, including a report that Japan's Toshiba Corp. would acquire the company. Micron Technology Inc. is also reportedly looking at Spansion.
In January, the company confirmed that it has been exploring strategic alternatives, ''including, but not limited to, opportunities to merge with or sell to similar U.S. or foreign businesses.''
Also in January, Taiwanese IC-packaging and test house ChipMOS Technologies Ltd. delivered a notice of breach and notice of intent to terminate a service agreement with Spansion. Spansion currently has an outstanding account receivable with ChipMOS of approximately $57 million of which approximately $18 million is in default, according to the IC-packaging house. ChipMOS provides IC-packaging and test services for Spansion.
Last month, Bertrand Cambou resigned as president and chief executive from NOR-flash giant Spansion amid losses and other problems. Then, the NOR flash leader named John Kispert, former president and COO of KLA-Tencor Corp., as its new chief executive and member of the board.

Spansion's new president and chief executive is entitled to a bonus of $1.75 million--if he can find a buyer or white knight for the troubled memory company, according to a recent filing. The company also delayed making the interest payments on its senior notes.
Last week, there were reports that the company would cut 3,000 jobs, or about 35 percent of its workforce, over time, industry sources said. Despite layoffs and losses, Spansion reinstated full pay for many of its executives.
This angered employees who were impacted by the layoffs. ''Spansion's ex-employees are outraged on how the company handles layoff in the U.S. None of the U.S. employees got any advanced notices or severance or medical benefit extension,'' said one former employee.
''It seemed like all last week, there were rumors that each day would be the day that layoffs would happen but then nothing would happen. Then, on Thursday, we get word that an executive VP tried to save his own hide by offering up the skins of a lower VP and a director,'' said another ex-employee.
Regarding the layoff, ''we got zero severance pay. Just vacation accrued and 35 percent of Cobra for 4 months,'' said the former worker. ''Pretty crappy.''
''My comments would have centered on the craziness of cutting everyone's salary 10 percent, just like they did at AMD, then laying off about one-third of the workforce,'' said another upset former employee.
''After that the execs pay was re-instated under the guise of a retention bonus. Why would you want to retain a bunch of people who ran the business that badly? And if you did want to retain them, you really don't need to pay them any kind of retention bonus because they are not going to find a job anywhere else in this economy,'' the source added.

其实我是想与大家分享讨论和追踪Spansion事件的进展,没有落井下石的意思。一些事情不是我们可以控制的,可至少我们可以了解其因果关系,以作出适当应对。

- 我觉得楼主所贴的都是不错的分享。楼主所贴的新闻,虽然来源都不一样,但有些都是报道相似的消息,所以难免让人觉得有点反感。但是个人依然觉得楼主的出发点是好意的。
建议楼主如果所报道的新闻是一样的,那就update links在原本的新闻回复里会比较妥当,一来可以证实新闻的可靠性,二来又可以让贴子更简明些。 |
