马化国际发2.8亿票据

（吉隆坡6日讯）马化国际（MULPHA，3905，主板贸服股）独资子公司马化特别用途公司（Mulpha SPV），发行总值9000万美元（约2.8亿令吉）的固定利率票据。
该票据将于2016年9月5日到期，每年利息为8%，每半年支付一次利息。
公司将利用6500万美元（约2亿令吉），赎回本月10日到期的零固本票据，其余资金则作为普通投资、收购、再融资及营运资本。【南洋网财经】

The Board of Directors of MIB wishes to announce that Mulpha SPV Limited (“MSPV”), a wholly-owned subsidiary of MIB, has on 5 September 2014, issued US$90,000,000 Nominal Amount of Fixed Rate Notes due 2016 (“the Notes”).
2. DESCRIPTION OF THE NOTES
The Notes which are issued at an interest rate of 8% per annum payable semi-annually, are guaranteed by MIB and will mature on 5 September 2016. The Notes will be listed on the Labuan International Finance Exchange (LFX).
3. UTILISATION OF PROCEEDS
The proceeds of US$90,000,000 from the issuance of the Notes will be utilised as follows:-
(a) US$65,000,000 will be utilised for the redemption of Series 2 US$65,000,000 Zero Coupon Notes due on 10 September 2014; and
(b) US$25,000,000 will be utilised for MIB Group’s general investments, acquisitions, refinancing of existing borrowings and/or as working capital.
4. EFFECTS OF THE ISSUANCE OF THE NOTES
The issuance of the Notes will not have any effect on the issued and paid-up share capital and substantial shareholders’ shareholdings of MIB, and is not expected to have any material effect on the net assets of MIB Group for the financial year ending 31 December 2014. However, the issuance of the Notes is expected to marginally increase the borrowing cost of MIB Group.
5. DIRECTORS’ AND SUBSTANTIAL SHAREHOLDERS’ INTERESTS
None of the directors or substantial shareholders of MIB or persons connected with them has any interest, direct or indirect, in the issuance of the Notes.

馬化國際4千萬股場外易手

（吉隆坡4日訊）馬化國際（MULPHA,3905,主板貿服組）週四共有4千萬股股票在場外易手，每股交易價為46仙。
交易所數據顯示，這批股權相等於馬化國際的1.7%股權，這是根據該公司股本共23億5千500萬股計算。
馬化國際週四閉市時跌1至48仙。
馬化國際主要從事產業和金融服務業務，業務遍及大馬、越南、中國、香港和澳洲。其最大股東為Mountbatten機構，持有5億2千零82萬股股票，接下來為MagicUnicorm和Honest Opportunity公司，分別持1億8千389萬股和1億零600萬股股票。（星洲日報／財經）

根据文告，间接子公司诺维斯特城市公司，向诺维斯特湖畔单位信托公司，收购正在再发展的诺维斯特集镇购物中心和周边产业。

We wish to announce that MIB has on 6 March 2015, received a Call Option Notice pursuant to Clause 2.2 of the Call Option Agreement entered into between MIB and Teladan Kuasa Sdn Bhd (“TKSB”) on 17 May 2012. Under the Call Option Notice, TKSB has informed that it wishes to exercise the call option, whereby MIB will sell and transfer 75 million ordinary shares of MLB (adjusted after the bonus issue exercise of MLB) to TKSB at the adjusted option price of RM0.47 per share.

（吉隆坡28日讯）马化国际有限公司（MULPHA，3905，贸易服务组）脱售其产业子公司马化置地有限公司（MULPHAL，7889，产业组）后，可能会帮助提升集团在澳洲房地产业务的兴趣。
马化置地仅占马化国际市值8亿3200万令吉的15％。
尽管马化国际的股价已经从去年12月中旬的34.5仙低位，回扬至目前的39.5仙水平，它仍然处于相当显著的折价，因该集团的净资产值达24亿令吉，或每股1.11令吉，而在2014财政年中，每股盈利达5.82仙。
市场观察家表示，马化国际可以进一步精简其业务，因为投资者对于它的其他投资，例如澳洲的酒店度假村、建筑和大马的基础设施业务皆非常波动，因此他们比较喜欢它加强在澳洲的核心产业发展业务，因为这可带来可观的盈利。
过去1年马化国际已陆续脱售起重机租赁和生产工业用油漆等非核心业务，并增加产业投资活动，主要集中在澳洲。
该集团曾表示将会专注于澳洲和马来半岛南部的发展，而子公司马化置地将处理国内中部和北部的项目。
它在澳洲的重点产业项目是位于黄金海岸面积达1171英亩的神圣湾度假式综合住宅发展项目，估计总发展值达60亿令吉。
去年，马化国际在澳洲斥资1亿6800万令吉收购马化FKP私人有限公司剩余49.99％，使得后者成为前者的全资子公司，以获取全面的盈利。马化FKP是悉尼宝琴山面积达932英亩的诺威斯特商业园发展商。
此外，去年12月马化国际以3亿5000万令吉，在悉尼收购诺威斯特Marketown购物中心和邻近土地。上述产业是在诺威斯特商业园内，目前该处设有一座购物中心和停车场。该集团已有计划将它重建，但是尚未披露详细资料。

投资业务亮眼 马化国际首季转盈

（吉隆坡29日讯）投资业务表现亮眼，马化国际（MULPHA，3905，主板贸服股）首季成功转盈，净赚4123万1000令吉。
去年同期，该公司蒙亏2035万6000令吉。
截至3月31日首季，同期营业额增28.6%，报1亿6382万9000令吉。
马化国际早前脱售子公司，从中赚得5039万令吉，且公司以美元计价的现金及存款，也因美元升值而受惠。
至于房产业务，较高的营业额主要由澳洲昆士兰的Sanctuary Cove项目推动。
另外，子公司Mulpha Norwest的贡献也已全面入账。
酒店业务则受惠于澳洲海曼岛度假村的入住率和平均房费走高。
随着消费税开跑，加上油价滑落，马化国际预计我国经济将走缓；不过，这样的市况也可带来一些新投资和收购机会。

（吉隆坡20日讯）马化国际（MULPHA，3905，主板贸服股）以1亿1212万7785万港元（约5506万4396令吉），脱售澳洲PDB发展私人有限公司的19.9%股权。
根据文告，间接子公司马化策略有限公司，将上述股权，脱售予天安中国投资旗下的Oasis Star公司。
Oasis Star出价每股0.015澳元，或总值1938万8871.89澳元，后再根据1港元兑换马币49.1仙的兑换率，以1亿1212万7785万港元支付。
马化策略在这项交易中，估计将有184万6559澳元（约524万4228令吉）入袋，而在扣除汇率亏损，仍可净赚304万9380令吉。
马化策略是在2013年投资于PBD，成为公司在西澳拓展产业业务和投资活动的平台。
不过，PBD并没有为公司捎来显著的效益，因此决定将焦点转移投资在澳洲东部。【南洋网财经】
