| RESOLUTIONS PASSED AT THE 47TH ANNUAL GENERAL MEETING
We wish to announce that at the 47th AGM of LPI held on 13 February 2008, all
the Ordinary and Special Resolutions as set out in the Notice of AGM dated 23
January 2008 were passed by the shareholders present and voting whether in
person or by proxy.
The Ordinary Resolutions passed at the 47th AGM of LPI were in respect of the
following :-
1. Receipt of the Audited Financial Statements for the financial year ended 31
December 2007 and the Reports of the Directors and Auditors thereon.
2. Declaration of a special dividend of 25% less 26% Malaysian income tax for
the financial year ended 31 December 2007 payable on 25 February 2008.
3. Declaration of a final dividend of 55% less 26% Malaysian income tax for the
financial year ended 31 December 2007 payable on 25 February 2008.
4. Re-election of Dato’ Yeoh Chin Kee, who retired by rotation in accordance
with Article 97 of the Company’s Articles of Association, as Director of the
Company.
4. Re-election of Dato’ Haji Abdul Aziz Bin Omar, who retired in accordance
with Article 102 of the Company’s Articles of Association, as Director of the
Company.
5. Re-appointment of Tan Sri Dato’ Sri Dr. Teh Hong Piow as Director of the
Company to hold office until the next AGM, pursuant to Section 129 of the
Companies Act, 1965.
6. Payment of Directors’ fees of RM205,000/- for the financial year ended 31
December 2007.
7. Re-appointment of Messrs KPMG as Auditors of the Company for the financial
year ending 31 December 2008 and authority to the Directors to fix the
Auditors’ remuneration.
8. Proposed Appointment of Tan Sri Dato’ Thong Yaw Hong as Director of the
Company Pursuant to Section 129 of the Companies Act, 1965
“THAT pursuant to Section 129 of the Companies Act, 1965, Tan Sri Dato’ Thong
Yaw Hong, who is over the age of seventy (70) years be and is hereby appointed
as Director of the Company and to hold office until the next Annual General
Meeting of the Company.”
9. Authority under Section 132D of the Companies Act, 1965 for the Directors to
issue shares
"THAT, pursuant to Section 132D of the Companies Act 1965, the Directors be and
are hereby authorised to issue shares in the Company at any time until the
conclusion of the next Annual General Meeting and upon such terms and
conditions and for such purposes as the Directors may, in their absolute
discretion, deem fit provided that the aggregate number of shares to be issued
does not exceed ten per cent (10%) of the issued share capital of the Company
for the time being, subject always to the approval of all the relevant
regulatory bodies being obtained for such issue and allotment."
10. Proposed Renewal of Share Buy-Back Authority
"THAT, subject to the rules, regulations and orders made pursuant to the Act,
provisions of the Company’s Memorandum and Articles of Association and the
requirements of Bursa Malaysia Securities Berhad ("Bursa Securities") and any
other relevant authority, the Board of Directors of the Company be and is
hereby unconditionally and generally authorised to make purchases in the
Company’s issued and paid-up ordinary share capital through Bursa Securities
and to take all such steps as are necessary (including the opening and
maintaining of central depositories account under the Securities Industry
(Central Depositories) Act, 1991) and enter into any agreements, arrangements
and guarantees with any party or parties to implement, finalise and give full
effect to the aforesaid purchase with full powers to assent to any conditions,
modifications, revaluations, variations and/ or amendments (if any) as may be
imposed by the relevant authorities from time to time, as specified in Part B,
Section 1 of the Circular to Shareholders dated 23 January 2008 and subject
further to the following:
(i) the maximum number of ordinary shares which may be purchased and held by
the Company shall be equivalent to ten per cent (10%) of the total issued and
paid-up share capital of the Company at any point in time;
(ii) the maximum amount of funds to be allocated for the Proposed Renewal of
Share Buy-Back Authority shall not exceed the Company’s total retained profits
and share premium account at the time of purchase of the said shares. The
Company’s audited retained profits and share premium account as at 31 December
2007 are RM87,976,000 and RM104,635,000 respectively;
(iii) the approval conferred by this resolution will commence immediately upon
the passing of this resolution and will expire at the conclusion of the next
Annual General Meeting of the Company following the passing of this resolution
(unless earlier revoked or varied by Ordinary Resolution of the shareholders of
the Company in a general meeting) but not as to prejudice the completion of
purchase by the Company before the aforesaid expiry date and, in any event, in
accordance with the provisions of the Act, the rules and regulations made
pursuant thereto and guidelines issued by Bursa Securities and/ or any other
relevant authority; and
(iv) upon completion of the purchase(s) of the shares or any part thereof by
the Company, the Directors of the Company be and are hereby authorised to
cancel all the shares so purchased, retain all shares as treasury shares for
future re-sale or retain part thereof as treasury shares and cancelling the
balance, and in any other manner as prescribed by the Act, rules, regulations
and orders made pursuant to the Act and the requirements of Bursa Securities
and any other relevant authority for the time being in force."
11. Special Resolution
Proposed Amendments to the Articles of Association of the Company
“THAT the additions, deletions, alterations, variations and modifications to
the Articles of Association of the Company as set out in Appendix I of the
Circular to Shareholders dated 23 January 2008 be and are hereby approved.”

LPI Capital eyes Vietnam after entering Cambodia

FRESH from setting up an insurance company in Cambodia last year, LPI Capital Bhd is mulling plans to enter new markets in the Asean region, especially Vietnam.
Controlled by veteran banker Tan Sri Teh Hong Piow, LPI aims to ride on Public Bank's regional expansion.
Currently, Public Bank has a network of nine branches in Cambodia, six branches in Vietnam and one branch in Laos.
The bank also has 66 branches in Hong Kong and mainland China, and a branch in Sri Lanka.
Managing director Tee Choon Yeow said LPI has begun feasibility studies on the planned Vietnam venture. It will also be similar to its set up in Cambodia.
LPI ventured into Cambodia's general insurance business together with Public Bank. It holds 45 per cent of CampuBank Lonpac Insurance Plc while the lender has the rest.
LPI, through its subsidiary Lonpac Insurance, provides general and personal insurance produ-cts.
Tee was confident that CampuBank Lonpac Insurance will "break even or even do better" in its first year as it has been profitable in its first four months.
LPI expects Cambodia to make up 20 per cent of its foreign revenue in three years. Currently, its Singapore venture contributes about 10 per cent to total revenue.
Meanwhile, LPI posted a 12 per cent rise in net profit to RM87.7 million in the 12 months to December 31, 2007.
The insurer's revenue rose 16.5 per cent to RM551.6 million due to higher premium income. It also declared its highest dividend pay out ever of 110 sen per share for 2007.
Tee said LPI hopes to maintain the same dividend pay out for the current financial year.

倫平資本將維持派高息

(吉隆坡13日訊)倫平資本(LPI,8621,主板金融股)在07財政年宣布派發每股1.10令吉的高股息,該公司管理層表示,將在今年維持其偏高的股息派發額。
倫平資本在今天舉行股東常年大會,它也是財政年落在12月31日的眾多公司中,第一家在今年舉行股東常年大會的公司。在股東大會上,股東們對該公司所派發的高股息表示滿意,也期望其接下來的業績和股息派發率可保持良好。
倫平資本首席執行員池春曉表示,他希望明年的每股股息,可以維持在與今年相同的水平,以回饋小股東。同時,他指出,會與其母公司大眾銀行(PBBANK,1295,主板金融股)同步,進軍具潛能的國家,但該公司還是會把焦點放在亞洲國家。
倫平資本在去年8月已開始進軍柬埔寨市場,成為當地第5家保險業者,由于該國的保險領域滲透率並不高,因此依然存有很大的發展潛能。
該公司相信,它能夠成為當地主要的保險業者,且在接下來的3年,能夠帶來10%的營收貢獻。
池春曉指出,目前海外業務為該公司貢獻12%的營業額,而新加坡的業務貢獻最大,佔10%。此外,倫平資本一直對投資產業領域大感興趣,但對石油與天然氣領域的投資,則抱持較謹慎的看法。

Cambodia a promising market for LPI Capital
KUALA LUMPUR: LPI Capital Bhd is upbeat on its prospects in Cambodia, where it set up CampuBank Lonpac Insurance Plc last August with Public Bank Bhd.
Executive director Tee Choon Yeow said Cambodia was a “very promising” market for the group.
“Cambodia is a completely new market and there are only about five licensed insurers in this country. At the same time, the insurance industry penetration is very low, less than 10%. We are looking forward for more profit in Cambodia,” he said after the company AGM yesterday.
LPI Capital, which has a 45% interest in CampuBank Lonpac Insurance, provides general and personal insurance products through subsidiary Lonpac Insurance Bhd.
The company aimed to be the leading general insurer in Cambodia, Tee said, adding that CampuBank Lonpac Insurance currently had no agents but would soon be recruiting.

| He believed its operation in Cambodia would contribute positively to the group going forward. Currently, overseas operations contribute about 12% to the group’s revenue with the bulk of it from Singapore.
Tee said LPI Capital would not discount the prospects of venturing into Vietnam since it would be able to leverage on Public Bank’s presence in the country.
LPI Capital, he said, had been conducting feasibility studies in Vietnam and, if it were to venture into Vietnam, it would possibly use the same model in Cambodia.
Meanwhile, LPI Capital intends to maintain the levels of its interim and final dividends.
“We believe in paying high dividends and we expect to maintain the dividend payout,” Tee said.
For the financial year ended Dec 31 (FY07), LPI declared an interim dividend of 30 sen, a final dividend of 55 sen and a special dividend of 25 sen per share.
LPI posted a net profit of RM87.8mil on revenue of RM551.6mil in FY07, up from RM78.1mil and RM473.5mil respectively in FY06.
Earnings per share improved to 63.8 sen from 56.6 sen previously.

投票日公佈激化作用不大‧馬股漲幅遜區域

一名交易商說,大馬股市今日早盤揚高,不過漲勢卻受到套利活動的干擾,特別是部份藍籌股和小資本股。
今日主導市場情緒的因素有二,即亞股受到華爾街隔夜表現激勵而上揚,以及市場預期國陣將在下個月8日的全國大選中再次取得超過三份之二的多數議席。
馬股早盤成交量僅有3.7億股,比昨日略低。
SBB證券行指出,傳統上國會解散及大選投票日宣佈之後,馬股一般都會受到鼓舞而揚升。
自1978年以來,從國會解散至大選投票日這段期間,馬股綜合指數平均上升了1.7%。
截至中午12時半休市時,綜指掛1428.51,漲5.36點或0.38%,漲幅比區域大部份股市遜色多了,顯示投資者早已將大選因素計算在內,在選委會公佈投票日之後,反而沒有出現太大的反應。
區域大部份股市今早漲逾1%,其中東京、香港、台北和首爾皆漲超過3%。
本地種植股吉隆坡甲洞、峇都加灣、森那美和IOI集團分別起30、20、20和5仙,而森那美也是早盤5大熱門股項之一;百盛和怡保工程則揚15仙。
昨日宣佈柬埔寨業務可在3年內貢獻10%營收,並且有信心今年可繼續慷慨派息的倫平資本,今天取得了不凡的表現,股價上揚20仙至12.90令吉。
英美煙草則是馬股早盤最大輸家,跌25仙至43.75令吉。
