    需要等多一两个季度。。。
因为之前太好，现在不好，所以暴跌！
有点像云顶。。。之前暴跌到RM3.08...现在RM10++

（吉隆坡20日訊）南北大道（PLUS, 5052, 主板貿服組）爭奪戰“再升級”！由土著企業家丹斯里莫依布拉欣領軍的Jelas Ulung私人有限公司，建議以每股5令吉20仙或總值260億令吉現金，全購南北大道所有業務，並同樣保證之後不會調漲大道收費。

We refer to the announcement on 20 December 2010 in relation to the letter from  Jelas Ulung  Sdn Bhd which sets out its conditional offer to acquire all of the business and undertaking, including all assets and liabilities of PEB (“PEB Business”) at an aggregate purchase consideration of RM26 billion.


The extraordinary general meeting to be held at 10.00 a.m. on Thursday, 23 December 2010 (“EGM”) will proceed as scheduled in compliance with  the Articles of Association of the Company. Following the latest development, the Independent Directors in the absence of the interested Directors of the Board (“Board”), have resolved to propose at the EGM to adjourn the meeting as the Board requires time to evaluate the abovementioned offer. Such adjournment will be subject to the consent of the shareholders of PEB, present and who are entitled to vote, at the EGM.


The Board has today resolved that PEB will not consider any offer for the PEB Business received after 5.00 p.m. on Thursday, 23 December 2010. The Board will also not consider any other offer in the event that the EGM is not adjourned by the shareholders of PEB and the resolutions as stipulated in the notice of EGM dated 30 November 2010 are carried.


All offers must contain, but not limited to, the following terms and/or information:


·         Structure of the offer including period of offer.

·         Purchase consideration and method of settlement.

·         Conditions precedent of the offer.

·         Conditions to completion of the offer.

·         Covenants and undertakings of both parties.

·         Intention of the Offeror with regards to the existing employees of PEB group of companies.

·         Intention of the Offeror with regards to the PEB Business for the next 12 months after completion of the proposed acquisition of the PEB Business.

·         Background information of the Offeror:

-          all directors and shareholders (including ultimate shareholder(s)) of the Offeror;

-          parties acting in concert and/or connected with the Offeror;  and

-          background information of the transferee of the PEB Business if it is not to the Offeror (including ultimate shareholder(s) of the transferee).

·         Details of the advisers to the Offeror, if any.

All offers for the acquisition of the PEB Business shall be addressed to PEB for the attention of the Chairman of PEB and be submitted to Level 9, Menara Korporat, Persada PLUS, Persimpangan Bertingkat Subang, KM15, Lebuhraya Baru Lembah Klang, 47301 Petaling Jaya, Selangor, Malaysia no later than 5.00 p.m. on Thursday, 23 December 2010.


To ascertain the credibility of all offers as well as to protect the interest of PEB, an offeror (including UEM Group Berhad and The Employees Provident Fund Board as well as Jelas Ulung Sdn Bhd) (“Offeror”) who has submitted an offer on or before the deadline stipulated above is required, by 5.00 p.m. on Monday, 10 January 2011, to:


(i)            remit a cash deposit of RM50 million into an account to be designated by PEB (which PEB will notify in due course) (“Deposit”), which will form part of the purchase consideration for the PEB Business for the successful Offeror. This Deposit will only be refunded if the Board and/or shareholders reject the offer. Any refund of Deposit will be without interest; and



(ii)           submit unconditional written confirmation(s) addressed to PEB for the attention of the Chairman of PEB, from institution(s) and in the form, which are acceptable to PEB, that the Offeror has the financial ability to undertake and complete its proposed acquisition of the PEB Business in accordance with the terms of its offer.

An offer which satisfies (i) and (ii) above will be deemed as a confirmed offer (“Confirmed Offer”).


The Board will consider, deliberate, assess and evaluate each Confirmed Offer and will make further announcement on its decision.


This announcement is dated 21 December 2010.

南北大道今日發文告表示，該公司在12月23日（週四）的特大會將繼續召開，但由於接獲Jelas Ulung的260億令吉收購建議這新發展，公司董事部（不包括利益董事）在特大會上，將建議讓特大會流會，因為董事部需要時間評估上述新建議。

這項流會建議必須獲得出席特大會，並且有投票權股東的同意。如果股東不同意流會，那麼，該公司董事部也不會考慮任何其他建議，而會照議程，由股東決定是否通過UEM集團和公積金局的收購建議。

同時，董事部也決議，南北大道將不再考慮任何遲於12月23日下午5時過後的的收購建議。

所有收購建議，必須註明價格和收購日期、結算方式、收購條件、對現有員工的處置、完成收購後未來12個月對南北大道業務的處理方式等。

同時必須註明收購人的資料，包括收購公司的所有董事和股東資料、相關人士資料，以及如果不是最終收購方，必須公佈將被轉移業務方面的資料，以及收購方顧問的詳情。
