Introduction Further to our announcements on 18 September 2019, 23 December 2019 and 26 December 2019, the Board of Directors of MCB wishes to announce that its indirect 65%-owned subsidiaries, BBHSB and LPHSB, had entered into their respective REPPA with TNB for the Projects.
Details of Transaction Both BBHSB and LPHSB had participated in a competitive e-bidding exercise for the Projects and submitted their bids on 20 September 2019 (“Bids”). Sustainable Energy Development Authority (“SEDA”) Malaysia had on 23 December 2019 accepted the Bids from BBHSB and LPHSB and selected BBHSB and LPHSB as the successful bidders for the Projects which were awarded with the Feed-in Tariff (“FiT”) quotas. Pursuant thereto and as required by SEDA, BBHSB and LPHSB had entered into the REPPAs with TNB for the sale and purchase of renewable energy generated from the Projects for a period of 21 year. The REPPAs regulate and govern the rights and obligations of TNB and BBHSB, and TNB and LPHSB in relation to the Projects. The salient terms of REPPAs are as below: 1. Term: - From the Effective Date and to continue throughout the effective period of 21 years commencing from Commercial Operation Date (“COD”).
2. Sale and Purchase obligations: - BBHSB and LPHSB, as the Feed-In Approval (“FIA”) Holders, shall sell and deliver and TNB, as the Distribution Licensee (“DL”), shall purchase and accept the test renewable energy during Initial Operation Date (“IOD”). The FIA Holder shall sell and deliver and the DL shall purchase and accept the metered renewable energy starting on COD.
Financial Impact The executions of the REPPAs by BBHSB and LPHSB with TNB are not expected to have any material impact on the earnings and net assets of the MCB Group for the financial year ending 31 December 2020.

We wish to clarify that the REPPAs between BBHSB and TNB, and between LPHSB and TNB were entered into on 20 May 2020. The REPPAs shall take effect on the Effective Date and continue in effect throughout the effective period of 21 years from the Scheduled Feed-in-Tariff Commencement Date of 24 December 2024 as stated in the Feed-in Approval, unless earlier terminated in accordance with the provisions of the REPPAs. The Effective Date shall occur when the REPPAs are registered by Sustainable Energy Development Authority Malaysia (“Authority”) pursuant to subsection 12(6) of the Renewable Energy Act 2011 (“Act”).

The Owner has raised the Claims against GE under the Engineering, Procurement and Construction Contract dated 23 February 2012 in relation to the losses and damages that the Owner suffered as a result of the Failure Events that occurred at the Plant between April 2017 and June 2019. Pursuant to the Settlement Agreement, the Owner and GE have agreed to waive, release and relinquish all their respective rights or interest in the Claims in consideration of the agreed settlement package which comprises inter alia supply and provision of parts, services and training by GE to the Owner, either without any charge or a discounted rate, as more particularly set out below:
1. Transfer of left-over commissioning spares from GE to the Owner; 2. Replacement of Automatic Voltage Regulator by GE; 3. Provision of warranty extension of the Power Block for 24 months; 4. Provision of resident engineer for 3 years; 5. Provision of 360 engineer hours and Distributed Control System (DCS) support; 6. Pre-agreed discount on GE’s rates under Multi-Year Maintenance Program and Training Proposal; 7. Cancellation of GE’s claims in relation to the replacement of 104 tubes in the Finishing Reheater; 8. Cancellation of GE’s claims in relation to the Booster Fan for Sea Water Flue Gas Desulfurization (SWFGD) system; 9. Owner’s waiver of claims against GE, including disputed defect notification requests (DNRs) and warranty claims that have arisen or might have arisen prior to and until the end of the extended warranty period (i.e. 20 March 2020); 10. Pre-agreed volume discount for RM90 million parts and services by GE; and 11. Provision of the following parts by GE free-of-charge: a) Steam Turbine Mobile Skid Force Cooling; and b) Generator Step Up Transformer.

Type | Announcement | Subject | OTHERS | Description | Malakoff Corporation Berhad ("MCB")- Award of Feed-in Tariff Approval for a 2.4MW Biogas Power Project in Ulu Sebol, Kota Tinggi, Johor Darul Takzim | Introduction The Board of Directors of MCB is pleased to announce that Southern Biogas Sdn Bhd (“SBSB”), a 60%-owned indirect subsidiary of MCB, had on 18 November 2020 received the Feed-in Tariff approval from the Government of Malaysia through Sustainable Energy Development Authority (“SEDA”) to undertake the development of 2.4MW Biogas Power Plant in Ulu Sebol, Kota Tinggi, Johor Darul Takzim (“Project”). SBSB had participated in a competitive e-bidding exercise for the Project and submitted its bid to SEDA on 5 June 2020 (“Bid”). SEDA has accepted SBSB’s Bid and selected SBSB as the successful bidder.
Financial impact The Project is not expected to have any material impact on the earnings and net assets of MCB Group for the financial year ending 31 December 2020.
Declaration of interest None of the Directors, major shareholders of MCB and persons connected to them has any interest, direct or indirect, in the Project. MCB will make further announcement(s) as and when there is any material development in relation to the Project.

Type | Announcement | Subject | OTHERS | Description | Malakoff Corporation Berhad ("MCB" or "Company")- Notices of Assessment issued by Inland Revenue Board of Malaysia ("IRB") to Kapar Energy Ventures Sdn Bhd ("KEV") | MCB wishes to announce that on 1 November 2021, KEV, a 40%-owned associate of MCB, had received notices of assessment dated 29 October 2021 from the IRB for the years of assessment 2011, 2012 and 2014 and notices of additional assessment for the years of assessment 2013, 2015, 2016, 2017 and 2018 (collectively referred to as “Notices of Assessment”) amounting in aggregate to RM595,948,256.18 (“Additional Income Tax”).
The IRB has imposed the Additional Income Tax based on its view that certain interest expenses incurred by KEV are not allowed under Section 33(1)(a) of the Income Tax Act 1967.
Upon consulting its tax counsel and solicitors, KEV is of the view that there are reasonable grounds to challenge the Notices of Assessment raised by the IRB.
The Board of KEV is currently deliberating on the next course of action. MCB will make further announcements if there are any material developments in respect of the foregoing.
