（吉隆坡26日讯）鼎昇集团（PRG，7168，主板消费股）以720万令吉，沽清联营产业公司Premier De Muara（PDMSB）私人有限公司的60%持股，予Liveintent私人有限公司。

该公司今日向交易所报备，独资子公司鼎昇产业私人有限公司（PRG Property Sdn Bhd）上周四（18日）接获Liveintent意向书，欲展开有条件献购，收购其在PDMSB所持有的15万股或60%股权。



文告指出，鼎昇集团、鼎昇产业及PDMSB已与Liveintent签署买卖合约；鼎昇产业将以720万令吉将PDMSB持股，脱售给Liveintent，预期可与在今年底完成。

专注可负担屋

“脱售PDMSB所得，将充作未来3年发展产业项目的营运资本。”

PDMSB余下40%持股，由产业发展公司Almaharta私人有限公司持有。

截至去年底，PDMSB已审计净资产为704万5307令吉，而720万令吉收购鼎昇集团持有的60%股权，等同溢价297万2816万或70.33%。



鼎昇集团指，基于销量下滑，加上本地产业发展业务停滞，导致公司今年来财务表现波动。

“董事部认为，脱售PDMSB有助公司专注其他产业发展项目，比如即将推出市场的可负担房屋Embayu项目。”

（吉隆坡6日讯）鼎升集团（PRG Holdings Bhd）持股54.19%子公司飞霓控股（Furniweb Holdings Ltd）已向股东及潜在投资者发出盈利预警，预计截至今年6月杪首6个月（2019年上半年）净亏420万令吉，一年前同期则净赚60万令吉。

鼎升集团今日向大马交易所报备，飞霓控股已于8月5日向香港交易所宣布，该集团预计蒙亏是因为今年次季启动了零售业务，提高了行销和分销成本所致。

该集团也把亏损归咎于行政开销增加，因该集团于今年6月28日收购了Meinaide Holdings Group所产生的专业费用，以及零售业务的营运前和行政费用。

（吉隆坡9日讯）鼎升集团（PRG Holdings Bhd）持股54.19%的子公司飞霓控股（Furniweb Holdings Ltd）公布，截至6月杪2019财政年首半年净亏401万令吉，上财年同期则净赚61万2000令吉。

鼎升向大马交易所报备，这家香港上市子公司在首半年蒙亏，主要由于150万令吉的收购相关单次专业费用，以及零售业务产生总计370万令吉的营销与分销成本，以及营运前期和行政开销。

今年3月，飞霓与Triumph Star Global Ltd签署协议，以1亿4000万港元收购Meinaide Holdings Group Ltd。

飞霓今日指出，首半年营业额从4450万令吉，扬升13.48%至5050万令吉。

该公司主要从事弹力纱线和家具织带产品的制造与销售，以及零售业务。

该公司预计，制造业务近期前景仍将充满挑战，因为中美贸易争端及英国脱欧，导致需求疲软，客户在购买方面仍持谨慎态度。

“面对全球经济和竞争格局的快速变化，集团不断加强制造业的市场地位，开拓新的潜在出口市场、拓宽产品应用领域，并建立潜在策略合作关系。”

（吉隆坡1日讯）PRG控股（PRG,7168,主板消费产品服务组）持股54.19%的香港上市子公司飞霓控股（Furniweb）发布盈利预警，预期截至2019年9月30日止首9个月净亏损440万令吉，相比前期净利70万令吉。

PRG控股在文告中表示，飞霓控股预期亏损主要原因是2019年次季展开的零售业务营运，相关销售额无法负荷期间的固定间接费用、行销和分销成本。

再加上于2019年6月28日完成收购Meinaide控股的一次性专业费用入账，加重行政成本。

PRG控股闭市价为66仙，全天下滑2.5仙或3.65%。

（吉隆坡13日讯）鼎昇集团（PRG，7168，主板消费股）香港子公司飞霓控股（Furniweb Holding）宣布，以682亿1256万9205越南盾（约1195万8700令吉）脱售在越南的弹性织带公司PEWA。

该公司今日向交易所报备，飞霓控股上周五闭市后，与买家女性内衣配件生产商Four K订立资本转让协议。



“董事部相信，脱售这个业务有助精简旗下制造业务，同时更好将资源分配给其他销量更佳的产品，同时也可探讨多元化业务创造其他收入，产期强化公司及股东利益。”

根据文告，Four K将以现金支付这笔收购价，包括92亿6200万越南盾（约162万3770令吉）的注册资本代价，及协定偿还债务的协定贷款589亿5056万9205令吉（约1033万4900令吉）。

“在完成托售后，PEWA将不再是飞霓控股子公司。”

PEWA的主要业务是制造与销售窄幅弹性织带，根据截至去年6月底未审核净资产价值，向飞霓控股及相关公司的贷款账面值，分别约为287万6000令吉及1248万2000令吉。

闭市时，鼎昇集团报58仙，跌1仙或1.69%，成交量49万1400股。
