KUALA LUMPUR (Dow Jones)--Malaysian oil & gas fabricator RamuniaHoldings Bhd. (7206.KU) Tuesday said it has accepted an offer to buyMalaysia Marine & Heavy Engineering Sdn. Bhd. for MYR3.2 billionfrom shipping company MISC Bhd., (3816.KU), in a reverse takeover dealthat will make MISC the single largest shareholder of Ramunia.
Ramunia said it signed an agreement Monday to buy MMHE, which isalso involved in oil & gas fabrication as well as ship repair, fromMSE Holdings Sdn. Bhd., a unit of MISC.
It will pay for the purchase by issuing 1.4 billion new shares atMYR1.00 each and 3.6 billion new irredeemable convertible preferenceshares at 50 sen each to MSE.
  It said once the reverse takeover exercise is completed, MISC will hold about 72% of Ramunia's shares.

Bhd. for 3.2 billionMalaysian ringgit ($975.02 million) from shipping company MISC Bhd.,(3816.KU), in a reverse takeover deal that will make MISC the singlelargest shareholder of Ramunia.
Ramunia said it signed an agreement Monday to buy MMHE, which isinvolved in oil & gas fabrication as well as ship repair, from MSEHoldings Sdn. Bhd., a unit of MISC.
It will pay for the purchase by issuing 1.4 billion new shares atMYR1.00 each and 3.6 billion new irredeemable convertible preferenceshares at 50 sen each to MSE.
The MISC group will hold a 72% stake in Ramunia once the reversetakeover, which also includes an offer for sale of 82 million shares atMYR1.0 each to minority shareholders, is completed.
MISC and Ramunia said the reverse takeover deal would create anenlarged entity which would be in a stronger position to competeinternationally and take on larger and more complex deepwater jobs.
MISC, controlled by national oil company Petronas, said thetakeover "represents a significant step in the consolidation of thefabrication sector of the oil and gas industry which will ultimatelybenefit the country."
Ramunia said the acquisition of MMHE will allow it to expand itscapacity by boosting its fabrication facilities to 260 acres from 170acres.
"The enlarged Ramunia Group will eventually offer a range ofcomprehensive heavy engineering solutions which includes the initialdesign stage, fabrication stage and commissioning stage for the oilmajors," Ramunia said.
The pricing for the issuance of new Ramunia shares is below thecompany's last traded price of MYR1.21 Jan. 18 before trading wassuspended, but comes as no surprise to analysts.
In a report earlier Tuesday, AmResearch said it expects the issueprice to be MYR1.00, calling it a "fair tradeoff" for both companies.
MISC will buy into Ramunia at a discount while Ramunia gets MMHE at15 times projected earnings for 2008, below the 17 to 19 times earningsother regional fabricators are trading at.
Ramunia, currently listed on the second board of Bursa Malaysia,said its shares will be transferred to the main board after takeover iscompleted.

终于等到RAMUNIA起了

这种形势，套利就是王道。

wa 都会生蛋的最近RAMUNIA-WA已经调低了转换价相信会很有前途。

Risk太高了，我承受不住。
86仙买到来，下到去五毛多，到现在起回1.04我才放手，自认忍功很不错了，没有panic sell。
话说回来，我hold住Ramunia-wa的大部分时间都是亏着的，现在有赚了就急着丢货何尝不是panic sell？哈哈。

我没有樱桃小嘴，但是刚刚好可以装得下中等size的蛋蛋。
我知道WA回酬率可以很高，但风险也很大。
Sell on announcement是我用在speculative stock的策略。
