GAMUDA 逼官得呈
整合水務資產下週有定案
雪政府出價 或至少107.5億

（吉隆坡8日訊）金務大（GAMUDA，5398，主要板建築）聯號公司雪州水務公司（SPLASH）反客為主，向中央及雪州政府收購水務資產的逼官得呈，打破長達3年的僵局，雪州政府終開腔表示資產整合下週有定案，分析員預計，出價或至少107億5000萬令吉！

打破3年僵局

能源、綠色工藝及水務部長拿督陳華貴日前說，雪州水務公司收購一事，與2006年水務服務法令（WSIA 2006）意願不符，即營運公司不該擁有過多資源。

部長此番話，分析界詮釋為，中央政府料不接納雪州水務公司的獻購建議。

另廂，雪州大臣丹斯里卡立指出，州政府和中央政府將在下週下定案，一週后再對外公佈。

分析員普遍認為，儘管雪州水務公司最后或獻購失敗，卻並非完全失去意義，至少這一大“驚喜”打破拖拉3年的僵局，敲醒有關單位，有必要加速整合雪州水務資產。

僑豐投資研究發佈分析報告說：“雪州水務公司遭拒絕將是預料中事，但此舉已為中央政府持有的水務資產管理有限公司（PAAB）造成壓力，逼使必須儘快向4家水務經營公司再提出獻購。”

馬銀行投資銀行分析員指出，中央政府的出價將至少與雪州水務公司相符，即107億5000萬令吉，較雪州政府于去年6月提呈的92億2000萬令吉高出16.6%。

換言之，即使雪州水務公司獻購失敗，則為經營公司爭取到更高的價碼，以解決多年來的整合問題。

金務大早前要求完成資產收購計劃后，能獲得30年專利權，以讓公司投資回本，可這已抵觸水務業法令。

雪州後年或水源短缺

雪州或在后年面對水源供應短缺。

馬銀行投資銀行分析員黃秋嫻說，冷岳2（Langat 2）計劃于2015年完成的期間，料2012或2013年，雪州或面臨水源供應短缺。

冷岳2計劃完工后，水源處理產能將增加45%。

雪州的水源處理廠產能，于2008年設計為每日平均供應4483百萬公升（mld），總產量則38893百萬公升，處理廠的使用率達87%。

S’gor’s water asset consolidation speeding up?                       

KUALA KUBU BHARU: The negotiations on the consolidation of Selangor’s water assets between the water concessionaires, the state and the federal government would be finalised by next week, Selangor Menteri Besar Tan Sri Abdul Khalid Ibrahim said.

“The deadline for this (concluding negotiation with water concessionaires) was on April 7 so I think next week, the state and federal governments will work together towards the finalisation of the restructuring of the water operations,” Khalid told the media after chairing the Selangor executive council meeting yesterday.

He said an announcement would be made a week after the deal was finalised.

Khalid maintained the stance that the issue was “still in the hands” of the federal and state governments to consider the bid for the water assets in Selangor.

He was asked to comment on the RM10.75 billion offer made by two shareholders who collectively own 70% of Syarikat Pengeluaran Air Sungai Selangor Sdn Bhd (Splash) three weeks ago to take over all the water assets in Selangor.

The two shareholders in Splash are Gamuda, which holds a 40% equity stake, and The Sweet Water Alliance Sdn Bhd, which is controlled by Tan Sri Wan Azmi Wan Hamzah.

The offer, which is RM1.53 billion more than the RM9.22 billion offered by the Selangor state government last year, is seen as a means of forcing both the state and federal governments to expedite the water asset consolidation exercise that has become a stalemate.

If Gamuda had meant to move the matter along, it certainly succeeded in prompting the responses of Khalid and also Minister of Water, Green Technology and Energy Datuk Seri Peter Chin Fah Kui.

Chin said Splash’s offer to buy out water assets in Selangor was against the spirit of the Water Services Industry Act 2006, which is aimed at promoting an asset-light environment for water companies.

Speaking to reporters after the opening ceremony of the Asia Water Exhibition 2010 yesterday, the minister said water companies should not own assets but to just focus on operations and maintenance.

Splash is one of Selangor’s water concessionaires and asset owners, alongside Puncak Niaga (M) Sdn Bhd (PNSB), Syarikat Bekalan Air Selangor Sdn Bhd (Syabas) and Konsortium Abbas Sdn Bhd.

PNSB and Syabas are controlled by Puncak Niaga Holdings Bhd, which in turn is controlled by Tan Sri Rozali Ismail. Puncak Niaga owns 70% of Syabas while Selangor state investment arm, Kumpulan Darul Ehsan Bhd (KDEB), holds the remaining 30%.

The Selangor state government was given the mandate to consolidate the water assets in February 2008. The change in the political landscape, with national opposition parties now ruling the state, has complicated the exercise.

Analysts said Gamuda’s offer to acquire all the water assets in Selangor was just a big show aimed at forcing both the federal and state governments to find a way out of a prolonged deadlock.

Gamuda’s objectives had been met through this episode as they already “knew it in their hearts that the government would not agree to the offer”, an analyst at a local research house told The Edge Financial Daily.

Splash’s offer raises expectation that the Selangor government will put forward a more reasonable offer, meaning higher than the offer that is already on the table.

Analysts said the proposed offer by Gamuda proved that things could actually move forward and water tariff can be maintained at current rates with only a 2%-3% annual increase.

“It would look stupid on the government to agree to Gamuda’s takeover offer. We’re talking about a strategic essential facility which will be privatised,” said the analyst, noting that the whole issue was politically sensitive.

Another analyst pointed out that Splash was an upstream player, so long as the issue is not resolved, it would be to its detriment.

The cash flow of Syabas also depended very much on scheduled water tariff hike, which was disputed by Selangor state government, the analyst added.

“Receivables are being accumulated on amount due by upstream players because of deferment of this water tariff hike. It only makes sense that they would want this issue to be brought to an end.

“The Selangor government should table a better offer. I mean, socialism is good — their objectives and all are good, but socialism also has to be a workable alternative to what we have today. It cannot just put everything on hold and nothing gets done in the end,” said a senior analyst.

Gamuda shares ended four sen higher at RM2.99 yesterday.
