售中国资产持现金3亿 实康寻新投资目标

（吉隆坡25日讯）实康（SALCON，8567，主板贸服股）在完全脱售中国资产后，将坐拥高达3亿1000万令吉的现金，正积极在已身处的市场，或是全新的领域，探寻新投资目标。

实康执行董事拿督梁国华，今日在股东大会后向媒体表示，脱售9项中国水务资产的交易，已经完成8项，如今公司持有2亿7000万令吉的现金。

最后一项在山东的脱售案还在仲裁程序，主要是山东的合作伙伴不愿支付与北京一样的价格，相信仲裁程序将在今年第三季完成，届时可为公司带来多4000万令吉的现金。

“水务工程和建筑业务，接下来不需要新资本，因此，我们正探寻其他好的投资项目。”

他不排除将这笔现金投资在公司目前身处的领域，也就是水务工程和兴建、污水处理厂、产业发展和科技服务，抑或是借此进入一个全新的市场，惟不愿透露更多详情。

竞标20亿工程

实康目前正竞标总值20亿令吉的工程，其中12亿5000万令吉或8项工程为本地，另5项为海外工程，总值7亿5000万令吉，主要位于斯里兰卡。

梁国华表示，公司通常的得标成功率为20%，但今年乐观看待可达到30至40%的成功率。

对于总值11亿令吉的冷岳2工程，则将可保证实康未来3至4年的获利能力。

子公司迎新大股东 实康为进军油气业铺路

（吉隆坡11日讯）实康（SALCON，8567，主板贸服股）子公司实康石油服务，迎来新大股东Kunci Sempurna，为进军油气领域铺路。

根据文告，Kunci Sempurna将以5万1000令吉，收购实康石油服务51%股权或5万1000股。

脱售股权后，实康在实康石油服务的持股权降至49%。且实康石油服务不再是子公司，成为联号公司。

Kunci Sempurna的大股东为赛菲沙，持股99%，另1%由理查尔马努丁苏克里持有，主要业务为投资活动。

实康指出，Kunci Sempurna拥有油气领域的专业和经验，在入股实康石油服务后，可带领公司进军油气领域。

前年9月，实康宣布全数脱售中国水务特许经营资产。

完全脱售中国资产后，公司坐拥高达3亿1000万令吉的现金，正积极在已身处的市场，或是全新的领域，探寻新投资目标。

当季营业额按年挫34.21%，至2189万2000令吉。

根据文告，建筑业务受联营项目带动而转亏为盈，此外，特许经营业务也因美元走强，净利微涨1.72%。

（吉隆坡3日訊）實康（SALCON，8567，主要板貿服）子公司實康工程公司，獲Knowledge Vision私人有限公司頒發價值1415萬令吉合約。

該公司向馬證交所報備，有關工程是為雪州現有污水處理廠（資產編號為HLT219），進行升級、改造和擴展活動。工程料耗時16個月執行，在9月10日動工，料2017年1月9日完工。

與Linyi水務訴訟案 實康上訴失敗

（吉隆坡22日訊）實康（SALCON，8567，主要板貿服）子公司與Linyi水務集團訴訟案的上訴遭駁回，因此需支付12萬4436人民幣（約8.4萬令吉）堂費。

該公司向馬證交所報備，旗下Linyi Salcon水務有限公司針對Linyi水務作出租賃索償訴訟案提出上訴，但遭山東省高級人民法院駁回，並需支付17萬5274人民幣（約11.8萬令吉）訴訟費的其中12萬4436人民幣（約8.4萬令吉）堂費。堂費余額則由Linyi水務集團支付。

实康2合约进账500万

（吉隆坡29日讯）实康（SALCON，8567，主板贸服股）子公司早前获得2项合约，预计每年为子公司捎来400万至500万令吉营业额，但盈利贡献不显著。

实康今日通过文告指出，公司持股率为50%加1股的子公司Volksbahn科技私人有限公司，在今年8月6日与9月3日，分别获UMobile和天地通（Celcom）颁发10年期合约。

该公司将为U Mobile和天地通提供移动回程网络（Mobile Backhaul）和网址租赁，来共享相关基础建设。

实康预期Volksbahn科技公司可从这2项合约，每年取得400万至500万令吉营业额，不会对公司今明财年造成显著影响。

再加上网址租赁营业额，是Volksbahn科技公司一贯的业务收入来源，所以实康并不需要在大马交易所作出宣布。【南洋网财经】

“實康目前也仍在競標價值22億令吉的訂單，管理層放眼取得20至30%的成功率，這些新訂單包括冷岳2污水處理廠第二階段工作、嶄新替代水供訂單和第十一大馬計劃下降低無收益水（NRW）的工作。”

豐隆認為，以20至30%成功率作准，實康可望贏得額外4億4千萬至6億6千萬令吉新訂單，這目標絕非高不可攀，畢竟實康是污水處理廠相關業務的專家。

另外，實康尋求在今年第三季前完成脫售中國水務資產，順利完成有關活動將促使實康淨現金攀升至2億4千萬令吉，相當於每股35仙，佔股價56%，預料這將促使實康派息額在2016年上揚至3.5仙，相當於5.6%週息率。

積極回購公司股票

豐隆補充，實康今年至今積極回購公司股票，期間買下1千298萬股或1.95%股權，大股東Infra Tropika公司也在同期增購560萬股股票，顯示管理層本身對公司展望深具信心，也限制股票潛在下行風險。

豐隆給予實康的目標價為84仙，相當於2017年25.5倍本益比（扣現金後則為11.2倍），看好其強勁成長展望值得高估值，給予“買進”評級。（星洲日報／財經‧報導：李三宇）

实康与北控水务达共识 中止脱售实康临沂股权

（吉隆坡25日讯）实康（SALCON，8567，主板贸服股）与卖家北控水务集团有限公司达成共识，中止脱售实康临沂的所有股权。

实康在文告中指出，买卖双方鉴于实康临沂的相关合约条件无法达成或获得豁免，因此，今日同意中止有关实康临沂的交易。

不过，实康将实康福建、实康浙江和实康山东的所有股权，脱售给北控水务集团的交易，将继续进行。

同时，北控水务集团已将总值4.182亿人民币（约2亿5147万令吉）的第二笔款项，支付给公司，因此，有关实康福建、实康浙江和实康山东股权的交易，已在今日完成。

2013年9月，实康与北控水务集团签署了两份买卖协议，脱售实康在中国的6家水务公司。

根据当时合约，公司将以1.3亿人民币（约7812万令吉），把实康临沂的所有股权，脱售给对方。【南洋网财经】

All terms and expressions used herein shall have the same meaning as those used in the Company’s announcements dated 12 September 2013, 11 November 2013, 27 November 2013, 20 December 2013, 24 December 2013, 13 January 2014, 28 February 2014, 30 April 2014, 30 June 2014, 27 August 2014, 26 November 2014, 23 February 2015, 25 May 2015, 24 August 2015, 20 November 2015 and 31 March 2016 in relation to the Proposed Disposals, unless stated otherwise. We refer to the Company’s previous announcements made by HLIB on behalf of the Company in relation to the Proposed Disposals. On behalf of the Board, HLIB wishes to announce that the Company and Salcon Water had on 25 April 2016 mutually agreed with BEWG to proceed with the completion of the proposed disposals of the entire issued and paid-up share capital of Salcon Fujian, Salcon Zhejiang and Salcon Shandong, in accordance with Clause 4.6 of SPA-B. Furthermore, in accordance with Clause 4.6 of SPA-B, the Company and Salcon Water had also on even date mutually agreed with BEWG to terminate the proposed disposal of the entire issued and paid-up share capital of Salcon Linyi (“Given Up Target-B”), in view that certain Conditions-B in respect of Salcon Linyi have not been fulfilled or waived. For information purposes, the disposal consideration in respect of the Given Up Target-B is RMB130 million. The Company had received RMB418.2 million from BEWG, being Second Payment-B. As such, the SPA-B and Letter-B are deemed to be completed on 25 April 2016 (“Completion-B”). In accordance with the term of the SPA-B, BEWG shall pay to Salcon and Salcon Water the Holdback Amount-B of RMB17,000,000 after the deductions allowed under the SPA-B, if any, within 10 business days after 9 months following the Completion-B. In addition, the Company shall return to BEWG the Deposit-B in respect of the Given Up Target-B (free from interest) within 3 Business Days after the Completion-B.
