The estimated surplus assets pursuant to the Proposed Winding-Up based on the assets and
liabilities of KrisAssets as at 17 March 2013 was RM0.08 per Share. The final distributable
amount after the Proposed Winding-Up is subject to actual proceeds to be received by the
appointed liquidators after full settlement of liabilities and realisation of assets.


Barring any unforeseen circumstances, the completion of the Proposed Winding-Up is dependent
on, inter alia, the time required for full realisation of the remaining assets and the settlement of
the liabilities of KrisAssets, which is expected to be within 18 months from the date Shareholders
approve the resolutions pertaining to the Proposals at the forthcoming EGM.

它是讲公司目前的资财有8分。。。 但18个月后就未必。。。可能高或低。。 因为要扣除清盘的费用和人工费。。 还有董事费。。。。

（吉隆坡4日訊）將于本月底召開特別股東大會的KRIS資產（KASSETS，6653，主要板工業），今日在投資者熱烈追棒下，交投火熱，半日已近277萬股易手，唯股價走勢平平，僅在5.5仙至7仙之間窄幅波動。

該股早盤先以5.5仙平盤迎市，隨后小幅攀高，早盤一度起至7仙，揚1.5仙，休市時，該股暫掛在6.5仙，起1仙，半日成交量高達2777萬4700股。午盤間，該股再度走高至7仙，起1.5仙。

閉市時，該股收在7仙，起1.5仙，成交量報6705萬8300股，排在十大熱門股榜第2位。

KRIS資產將針對自願清盤于本月底開特大，該股今日再次成為投資者的焦點。

該公司在去年5月，以46億令吉脫售谷中城購物商場（Mid Valley）以及Gardens購物廣場給怡保花園產托（IGBREIT，5227，主要板產托）后，已開始計劃展開自願清盤行動。

（吉隆坡19日訊）配合特別股東大會召開，KRIS資產（KASSETS，6653，主要板工業）將自下週五（26日）起停牌，直至完成除牌程序；今日交投淡靜走勢平平。

該股今早平盤，以7仙報開，隨著市場消化KRIS資產欲申請自願清盤的消息，漸不再對股價有所追捧，休市時微揚0.5仙，掛在7.5仙，半日僅30萬200股易手。

午盤間，KRIS資產窄幅波動，閉市時平盤收在7仙，成交量122萬3500股。

該公司自去年底宣佈資本回退計劃，每股回退2.60令吉予投資者后，即成投資者焦點所在，股價更是頻頻攀高，惹得馬交所關注，致使KRIS資產再次重申，無意保留上市地位，計劃展開自願清盤。

The Circular explaining the background to and reasons for the Proposed Winding-Up and the Proposed Appointment of Liquidators (“Proposals”) is available for viewing atwww.BursaMalaysia.com and from the Company’s website, www.krisassets.com. As announced by the Board of Directors of KrisAssets on 25 March 2013 and 4 April 2013, shareholders’ approval would be sought to approve the Proposals at the Extraordinary General Meeting of the Company to be held on 26 April 2013 (“EGM”). The Proposed Winding-Up shall be subject to the approval of shareholders by way of a special resolution being passed at the EGM. Under the Companies Act 1965, the Proposed Winding-Up is deemed to and shall commence at the time of the passing of the special resolution. Any transfer of KrisAssets’ shares, not being a transfer made to or with the sanction of the liquidators, and any alteration in the status of the members made after the commencement of the winding-up shall be void. In view of the above, KrisAssets had on 17 April 2013 applied to Bursa Malaysia Securities Berhad (“Bursa Securities”) for suspension of trading of its securities pursuant to sub-paragraph 3.1(c) of Practice Note 2 of the Main Market Listing Requirements of Bursa Securities for one market day on the day of the EGM. The request for suspension is made to avoid any share transaction being invalidated. Bursa Securities had in its letter dated 18 April 2013, which was received on 19 April 2013, advised that the trading of KrisAssets’ shares will be suspended with effect from 9.00 a.m., Friday, 26 April 2013. In the event that the Proposed Winding-Up is approved by shareholders at the EGM, trading will remain suspended until the delisting of KrisAssets. The announcement is dated 19 April 2013.

（吉隆坡26日訊）KRIS資產（KASSETS，6653，主板產業組）預計18個月內完成清盤程序，清算資產後所得，可能再分批或進行一次性回退，估計為每股8仙。

該公司於週五股東特大上獲股東通過所有動議，包括自願性清盤及委任清盤師。

根據特大通知書，清盤進度有視其餘資產、負債結算及內陸稅收局最終清稅的速度，預計可在18個月完成，清算後資產每股8仙。

怡保花園（IGB，1597，主板產業組）發言人在股東特大後接受《星洲財經》詢問時指出，即日起將由清盤師接手KRIS資產的所有事項，包括決定清算資產回退的派發金額及次數。

他表示，若資產清算後不在預計回退數額內，不排除清盤師可能分兩次派發，但這可能需要更長時間才可完成。

小股東：18個月時間過長

至於回退金額是否將高於預計水平，他說這將取決於清還債務、內陸稅收局最終清稅等其他被動因素，惟最終清算結果將全權交由清盤師決定。

一名小股東在場外接受訪問時表示，18個月的清算時間在她預期之內，但場內有其他股東認為時間有點長，清盤師為減短時間，可能考慮一次性資產退回。

“不過他們並未承諾確實的回退日期，僅表示越快清稅，資產回退金額就可越快派發。＂

針對資產清算時間需1年半的問題，這位發言人回應：“我們在2013年報稅，2014年才可退稅，這過程已需約1年時間，加上清稅、刊登廣告等程序費時，18個月時間是最大期限，若過程順利，預計可提早在此期限內完成。＂（星洲日報／財經）
