像 HUAAN一樣，前身也是 PN 17，不過給人看中了，現在那中國佬可能會大笑了，四換一，中國佬不發都幾難，而MEGAN也是最好玩的一間公司，要MEGAN破產，我想BANK和回教債券BANK也不肯給MEGAN破產，可能會用另種方法讓MEGAN做下去

今天的Bursa已经已经更改游戏规则，不像以前，票面值一定要是1.00。
難道沒看過 NTA 0.10的嗎 誰講明不能改的，現在的公司不是把票面值分析嗎，1變5，還有的更好玩，先發紅股之後再重組，呵呵，現在的人更會改東西，死的票面值也能重生。

如果Blue Ray的机器又变回来了，NTA就不会变成负数，就假设NTA之前是-0.50，机器又找到了，NTA就会变成0.50，因为机器是200m，刚好是1.00的NTA。

還有好多好的事情，講也講不完，只是看MEGAN要如何玩，是要玩慘小股東還是要變成二家好呢?

反正拍卖旧的DVD机器也收不回錢，所以BANK最注要是能收回自已的成本，比如講BANK的本錢是 3億，我想BANK會開出條件，就是先收回本金，下來的唯有注销利息，所以MEGAN可能會發股票给银行抵债，所以PN 17的公司，也要看後台是誰而已。
“媒岸控股”目前最大的股东是管理我国所有回教徒产业的回教朝圣基金会（Tabung Haji）。   不知道這來頭會小嗎?

(i)         First Announcement

Pursuant to Amended Practice Note No. 17/2005 ("AmendedPN 17") and Paragraph 8.14C of the Listing Requirements of BursaMalaysia Securities Berhad ("Bursa Securities") Megan Media HoldingsBerhad ("MMHB" or "the Company"), following discussions with its legaladvisors, wishes to announce that MMHB is to be considered an AffectedListed Issuer. Pursuant to the Interim Findings of the InvestigativeAccountants ("IA") appointed by the Company (as per announcement dated6th June 2007), there are significant irregularities which financialimpact will cause the Company's shareholders' equity, on a consolidatedbasis, to be less than 25% of the issued and paid-up capital, and lessthan the minimum issued and paid up share capital as required underparagraph 8.16A(1) of the Listing Requirements.


(ii)         Obligations of MMHB under Amended PN 17

Pursuant to the Amended PN17, MMHB is:

a) given a time frame of 8 months to submit its planthat is substantive and falls within the ambit of Section 32 of theSecurities Commission ("SC") Act, 1993 to regularise its financialcondition ("Regularisation Plan") to the approving authority;

b) to announce the status of its Regularisation Plan orits endeavours to formulate such a plan to regularise its financialcondition on a monthly basis,

c) to announce its compliance or failure to comply, withany particular obligation imposed on MMHB by Bursa Securities pursuantto the Amended PN 17, as and when such obligation becomes due; and

d) required to appoint a merchant bank or aparticipating organisation that may act as a principal adviser underthe SC's Policies and Guidelines on Issue/Offer of Securities, to makethe announcement on the details of the Regularisation Plan and thetimeline for the complete implementation of the Regularisation Plan.


(iii)         Consequences of Non-Compliance with the Obligations

Failure to comply with any of the aforesaid obligationsimposed by the Amended PN 17 may lead to suspension or de-listing ofMMHB's shares from the Bursa Securities.




(iv)         Status of Regularisation Plan

The Company, with support from its Specialist Advisors,Sage 3 Capital Sdn Bhd is engaging its Creditor Banks in theformulation of a Comprehensive Debt Restructuring and RegularisationPlan. During this interim period, no Creditor will be unduly preferredand this is consistent with best practices adopted in debtregularization and restructuring work.

In addition, the final report from the Company's IA isexpected to be available in 4-6 weeks and the Company will initiatewhatever legal proceedings available to recover all amounts lost due tothe irregularities. The Company will also continue to cooperate withthe regulators to provide whatever assistance and information tofacilitate their investigation. The Company would like to reiteratethat the business segment pertaining to manufacturing is continuing andthe Company is fulfilling purchase orders from its manufacturingcustomers. Further, the Company has adequate short term funds tocontinue its business operations.

（吉隆坡訊）媒岸控股（MEGAN，7101）賬目疑雲備受關注之際，初步調查顯示股東基金因受疑賬影響，而無法達到繳足資本的25%水平，因而成為PN17陷困公司。

媒岸控股發表文告說，最終的賬目調查報告將在4至6個星期公佈，該公司將依法採取適當行動以追索相關損失。

根據PN17條例，該公司須在8個月將合理化財務條件的報告，交予證券監督委員會與相關當局，進而在規定期限內完成計劃。萬一無法如期完成，大馬股票交易所將展開停牌或除牌行動。

媒岸控股表示，目前正與特別稽查顧問Sage 3資本公司和信貸銀行擬定債務重組計劃。同時強調在調查期間，企業業務如常運作，且備有足夠短期資金融資營運。

此外，媒岸控股回覆大馬股票交易所針對東亞銀行提控的課題時指出，東亞銀行兩項總值約682萬6070令吉的貸款融資便利的索償，對其財務的實際影響，須待最終重組計劃出爐方可厘清。

媒岸控股是於6月7日公佈子公司Memory科技賬目疑為灌水，出現4億5600萬令吉的巨大差額。截至2007年1月31日止的第3季業績，或蒙受高達5億5209萬5000令吉的淨虧損，而非早前公佈的1055萬9000令吉淨利。 （星洲日報/財經•2007.06.20）

（吉隆坡19日訊）子公司爆發假賬疑雲，導致媒岸控股（MEGAN，7101，主板工業）被打入修改后PN17公司行列 。

該公司向馬交所報備說，早前出爐的中期調查報告顯示，嚴重的虛假財報，使股東權益低于繳足資本，並少過上市條例8.16A（1）條文規定的最低水平。

“最終查調查報告將在4至6週內公佈，我們將採取任何法律行動，追討回虛假財報造成的損失。”

該公司表示，擁有充足的短期資金，持續現有業務。

（吉隆坡19日讯）早前传出假帐疑云的媒岸控股（MEGAN，7101，主板工业产品股），周二被列为PN17公司。

媒岸控股发表文告说，根据该公司调查会计师于本月6日发布的中期调查报告，该公司帐目出现显著的违规现象，并将导致集团的股东基金数额，不足公司缴足资本的25％，并比上市条例最低缴足资本少。

因此，在征询其律师的意见后，媒岸控股宣布该公司违反了修正后的PN17守则。

被列入PN17的公司，必须在8个月期限内呈交重组计划书给有关当局、宣布重组计划或拟定每个月的财务状况、委任商业银行或参与机构以宣布重组计划以及完成重组计划的期限。

文告显示，公司委任的会计调查公司最终的报告，预测将在4至6个星期出炉，该公司也将采取法律程序，以取回所损失的款项。该公司也将持续与执法人员合作，以在调查期间提供任何支援及资讯。

该公司重申，旗下的制造业务仍然继续营业，而且也完成制造商旗下客户的订单。此外，该公司也有适当的短期基金持续营运业务。

Bursa places Megan Media under PN17 category

KUALA LUMPUR: Optical disc maker Megan Media has been placed under Bursa Malaysia’s financially-troubled category of PN17 companies, the stock exchange said.

In a statement, Bursa said it will “continue to monitor the progress of Megan in respect of the company’s compliance with the listing requirements.”

Substantial irregularity was found recently in Megan Media’s accounts by independent audit investigators.

The firm and its subsidiaries have also defaulted on RM893.97mil in maturing banking facilities. – AFX-Asia

Mr.Business 現在megan的負債超越變越大，你覺得megan會不會被bank告，追megan還錢，如果megan的dvd機器和加上其它資產，更本就是無法還債，如果照大股東所講的，megan還是照樣生產照樣運作，那如果你是這家bank的話，你會如何做法呢?

九亿的借贷，变成烂帐可不得了。我想如果我是银行的话，我一定不能让Megan倒掉，Megan倒了谁还我钱呢？如果Megan周转不灵，我想我还得借她钱渡过难关。可怜的我。。。

我想现在只能等正式调查报告出炉，我才能知道情况如何。再看Megan有什么重组计划了。逼不得已时，只能让Megan发些新股来抵债。可是我是银行，又不懂如何经营光碟厂，最好有白武士来拯救Megan，也让我更有信心Megan有得做。

PS：受伤最重的：
1. 小股东
2. 银行
3. 回教债券投资者

如果有白武士的介入，评估公司评级就可以从头来过。真是那样的话，媒岸就有救了。最怕是白武士只是一个圈套，方便股东们撤退。

我想說的是，如果我們想银行一定不能让Megan倒掉，Megan倒了谁还銀行钱呢？如果Megan周转不灵，我想銀行还得借她钱渡过难关，如有醬的想法，那可是一相情願的想法。

想想，megan 的負債並不是一間銀行，它的負債也許也包括了一些其它的私人公司，裡面大家可否能達到一個共識都還是個問題。

想想裡面最大的債主可能是借錢買機器的銀行和那回教債務，可是還有那些短期借貸的銀行可能只是借出幾百萬的，他們可能就會固執的把 megan 帶上法庭來拿回他們的利益了。

其實情形並不樂觀。

不好意思，因為看到你好像還存有很大的希望想，銀行會來打救它似的，所以多口說了些，讓你有心理準備下。
希望你明白就好。

機器有可能又變回來嗎，想想事情的壞消息已經出現到醬了，用旁觀者的角度去看，有可能柳暗花明又一村嗎。
