那天去TRAINING。
认识位在GLOVE LINE做的朋友。
他说"听说" UNCLE LIM 有意思推他上RM10。
哈哈。。。
我们等着瞧吧。。
哈哈哈。。

你是说拆细以前吗?应该来不及了,明天27-01-2005就会suspend以便进行拆细的计划了。

今天26号是最后一天了,现在还剩半天了,要从RM9.15推到RM10.00,好像是M.I吧?!

很多人会在没被SUSPENDED之前出售手上的股票,拆细计划过后情况不明,抱着观望态度, 心里当然不平衡, 很多股票在SHARE SPLIT 后往往爬不上, 等着瞧吧, 希望这只股例外!!!

              让我偷偷的告诉你们吧!!  在 1993 年大牛市时, 我曾经卖过好像 topglov 性质的

           股票, 你知道吗??  那是涨停牌四次. (limit up )......哈哈哈!!

              恳切的希望, topglov , TOPGLOV, 也一样, lLIMIT UP   4 次......OHHHHHLEH!!

Supermax poised for top spot

MALAYSIA'S second largest glove maker, Supermax Corp Bhd, has found a perfect fit in the industry, wrapping up a deal that can turn it into the largest glove maker in the country, if not the world.

In an announcement to Bursa Malaysia, Supermax said it was buying a 12.9% stake in APL Industries Bhd (APLI) at 60 sen per share, or a total of RM27mil, from APLI's largest shareholders. It, however, did not name the shareholders.

According to APLI's latest annual report, chief executive officer Lee Song Hong and executive director Foo Wan Kong are the largest shareholders with a combined stake of 14.3%.

Supermax has also the option to purchase an additional 7% shares from another substantial shareholder, Mohamad Amin Md Hashim, at 70 sen per share, or a total of RM17.45mil.

APLI and Supermax are both profitable companies with APLI posting RM3.2mil in net profit for the first quarter ended Sept 30, last year and Supermax RM7.9mil in the third quarter ended Sept 30.

Earlier, talk about a possible takeover of APLI by Supermax resulted in APLI shares being heavily traded. APLI was the most active counter yesterday with 41.06 million shares changing hands. Supermax saw 31,400 shares traded.

APLI closed at a new three-month high of 61 sen, up 6 sen, while Supermax gained 2 sen to RM4.76.  

Supermax is currently the second largest glove maker behind Top Glove Corp Bhd, which has capacity to produce 14.1 billion gloves annually. The proposed acquisition will result in Supermax and APLI having a combined capacity of over 17.7 billion.

Supermax said the proposed acquisition represented an opportunity for the company to expand its production base and market share.

“It will result in the company becoming the single largest shareholder in APLI, and it assuming management control of APLI immediately,” the statement said.  

Supermax would also have the option to increase its equity interest in APLI to above 20%, making it an associate company, it said.

  
Managing director Stanley Thai described the proposed acquisition as having perfect synergy for the company, which had for a long time been thinking about expanding its operations and becoming a much more significant player in the industry.

“We have been friendly competitors; each has a different market positioning. The deal was perfect for us,” Thai told StarBiz yesterday.

Elaborating, he said SuperMax currently had five distribution centres in Canada, the United States (Chicago), China, Brazil and Australia, while APLI was in the United States (West Coast) and Germany.

In addition, the deal would also allow Supermax to have a direct presence in such countries as Vietnam, which the company could leverage to produce gloves at a much lower cost.

“Low-cost countries such as Vietnam will enable the company to attract major US buyers under the OEM (original equipment manufacturing) arrangement,” he said.

  
This will also allow some of the manufacturing facilities to produce their own brands, which will give higher margins.

“We are happy with the deal as it can enhance shareholder value for both Supermax and APLI,” he said.

Thai said the deal would also represent considerable cost savings for the company in view of the combined capacity of the companies.

He said the cost savings would come from merging some of the companies' operations, locally and abroad.

Supermax 之前一直强调品牌,现在才来说 OEM 比较好,可见 Topglove 的 OEM 政策才是正确的。呵呵呵...

嗯... 如果 Supermax 基本面变得更好,两个都买又何妨?我远离了股市一段时间,现在累计了子弹,最近几天正寻找目的中。再看看,再看看...

那如果,如果要买,APLI 较好,还是SUPERMX?

哈哈。。。

同一个LINE,COMPETITOR,又买TOPGLOVE,又买SUPERMX。。
会不会不好啊?

通常 M&A 进行的时候,会使收购和被收购两间公司都元气大伤,需要费时费力整合两间公司不同的制度和系统,又要面对整合后多余出来的员工的问题,被收购的公司的员工服不服新老板,不服的话生产力会降低。这样的局面需要至少一年来收拾,才能重新整装上路。

我曾经在涉及 M&A 的公司工作,别的不说,单单 IT 系统的整合,动用了两间公司原有的人力,加上 outsource 给专门处理 IT integration 的顾问公司,几千人一起努力,花了两年的时间,project 才完成。IT 还好,人事部最头痛。比如说,以前你是你公司的头,我是我公司的头,现在结合了只能有一个头,你 under 我会不会不爽?我 under 你又会不会不爽?呵呵...

所以,看看先,看看先...

OEM=Original Equipment Manufacturing
Means:(委託代工製造)以工廠設備,作
1.純代工,僅賺取中間加工費用,料件由客戶提供與負責.
2.代工代料(turn key):代工+代料.
OEM料件不一定要買主提供 只要規格符合買主要求即可

ODM:Original Designed Manufacturing.
Means:(委託設計代工製造)客戶提供所需規格及式樣(ID),由公司代客戶研發,並取得客戶承認後,以
1.代工代料模式生產.
2.代工生產.
3.重要或協議後零件由客戶提供,其他代料生產.
