Description	CHARGE UNDER SECTION 14(1) OF THE PRICE CONTROL AND ANTI-PROFITEERING ACT 2011
On behalf of the Board of Directors of the Company, we wish to announce that LTK (Melaka) Sdn. Bhd. (Company No. 156852-X) (“LTK Melaka”), a wholly owned subsidiary of the Company have been issued with a Summon (MA-63AP-1-03/2019) on 29 March 2019 to appear in the Melaka Session Court on 16 April 2019 for the purpose of defending the charge that LTK Melaka had increased the margin of Grade A egg by 17.46% from 12.29% to 29.75% allegedly infringing Peraturan 3(b), Peraturan-Peraturan Kawalan Harga Dan Antipencatutan (Mekanisme Untuk Menentukan Keuntungan Tinggi Yang Tidak Munasabah) 2018, and as a result has committed an offence under Seksyen 14(1), Akta Kawalan Harga Dan Antipencatutan 2011. LTK Melaka is a major subsidiary which contributes more than 70% of the Group’s profit before tax. In respect of the above, the Board of Directors of the Company is seeking legal advice and taking the necessary actions to respond to the above claim. LTK Melaka will be represented at the Melaka Session Court on 16 April 2019.The potential liability, financial and operational impact cannot be determined with certainty at the moment. The offence if guilty is punishable up to RM500,000 for first-time offender and up to RM1,000,000 for each subsequent offence. The Company will make further announcement with more information in due course.

1. INTRODUCTION Pursuant to Paragraph 9.19(46) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Company wishes to announce that the Board has approved the incorporation of the revaluation surplus, net of deferred tax, of approximately RM0.99 million in the consolidated financial statements of LTKM for the financial year ended 31 March 2019. 2. PURPOSE OF REVALUATION The purpose of the revaluation is to ascertain the fair value of investment properties of the Group in compliance with LTKM’s accounting policies. 3. NAME OF VALUER, DATE OF VALUATION, VALUE PLACED ON THE ASSETS BY VALUER AND REVALUATION SURPLUS Please refer to Appendix A as attached. 4. EFFECT OF THE REVALUATION SURPLUS ON THE NET ASSETS PER SHARE The revaluation surplus, net of deferred tax, of approximately RM0.99 million, will increase the net assets per share of the Group by RM0.01 for the financial year ended 31 March 2019. 5. The Board of Directors of LTKM (“Board”) wishes to announce that LTKM had on 22 July 2019 received from AmInvestment Bank on behalf of the Joint Offerors, a notice of conditional voluntary take-over offer (“Notice”), notifying the Board, the intention of the Joint Offerors to make an offer to acquire the following: (i)         all the remaining 41,292,984 ordinary shares in LTKM (“LTKM Shares”) not already held by the Joint Offerors, representing approximately 31.74% of the total number of issued LTKM Shares as at the date of the Notice; and (ii)         any new LTKM Shares that may be issued and allotted prior to the closing date of the offer arising from the exercise of outstanding option under the employees’ share option scheme in LTKM, (collectively known as the “Offer Shares”) for a cash consideration of RM1.35 per Offer Share (“Offer Price”)  (“Offer”). In accordance with Paragraph 3.06 of Take-Overs, Mergers and Compulsory Acquisitions Rules (“Rules”), the Board will appoint an independent adviser to advise the non-interested directors and all shareholders of the Company, on the fairness and reasonableness of the Offer, subject to the clearance of eligibility of the independent adviser by the Securities Commission Malaysia. A copy of the Notice is attached herewith and will be posted to the holders of the Offer Shares within 7 days from the date of this announcement, in accordance with Paragraph 9.10(5)(b) of the Rules.
