（吉隆坡19日訊）通用控股（MUH,9539,主板工業產品組）一批持股不少於10%的股東要求召開股東特大，罷免以集團董事經理洪定國為首的5名董事，並委任3名新董事。

值得一提的是，若議程通過，原有董事部僅剩下執行董事陳秋華。

根據特大通知，該批股東要求即時罷免主席阿都阿茲、洪定國、執行董事洪輝城，以及兩位非執行董事謝錦華和鄭永安。

他們建議委任哈山阿巴克里、黃城興和朱偉洪（人名譯音）擔任董事。

（吉隆坡15日讯）通用控股（MUH，9539，主板产业股）以董事经理洪定国为首的5名董事，起诉14造和申请庭令阻止本周五召开的股东特别大会。

通用控股现任董事洪定国、洪辉城、阿都阿兹、郑永安和谢振发（皆译音），上周入禀槟城高庭，起诉14造。

挑战派要罢5董事

答辩方的其中10人，是持股超过10%的股东，于11月19日致函通用控股要求召开特大，罢免5名董事（即申请方）和委任3名新董事。

根据文告，申请方也点名现任执行董事陈秋华、陈秋清、通用控股，以及大股东Topazvest Temasek公司为答辩人。

申请方要求法庭宣布其中13造，是有意取得通用控股控制权的相关人士，并违反理应提出强制全面献购的法令。

他们也希望法庭宣布本周五（19日）举行的特大，并非具有善意，而是具有打击申请方的附带用意，违反公司法令且不合理。

因此，他们要求法庭颁布庭令，限制答辩方或相关人士召开本周五的特大，直至提出强制全面献购，或法庭有其他庭令。

股价挫近10%

案件原定今天开审，但法庭下午宣布展延至本周四（18日）。

根据公司最新财报，洪定国通过家人、Angson公司及Topazvest Temasek公司，握有通用控股31.51%。

陈秋华则通过家人持股Topazvest Temasek公司，间接持股29.08%。

通用控股闭市报1.42令吉，跌15仙或9.55%，成交量报4万6500股。该股今天下午2时30分曾暂停交易一小时。【南洋网财经】

拟配售股票筹集资金　通用控股购北马地库

二零一五年四月十日 晚上十时八分
（吉隆坡10日讯）预拌产品制造商兼产业发展商通用控股有限公司（MUH，9539，产业组），建议私下配售高达527万股票，或相等于10%已发行与缴足资本，以融资在西马半岛的北马地区进行收购地段用途。

在致给马交所的文件中，通用控股说，建议中配售可能在批准日期后的6个月内，一次过或分批履行，发行价也将会个别决定。

该集团在文件中称：“建议中私下配售分阶段执行，将给予更大的伸缩性，以在大马交易所批准的期间，寻求有兴趣投资者认购这些股票。”

据通用控股披露，上述配售股票订价将不会超过5个交易日平均市价的10%折价。

该集团解释：“任何情况下，这批配售股票也不会订价低于1令吉，因这是我们股票的现有面值。”

“假定每股配售价1.26令吉，通用控股预料将可筹得664万4000令吉，其中97%或643万4000令吉将用作融资或局部融资土地收购。”

该集团补充，上述资金将在配售股票上市日期后的24个月内利用。

通用控股表示，上述股票将配售予不少于25万令吉的特定投资者、或净个人资产超过300万令吉的高净值人士、或净资产值超过1000万令吉的机构。

在完成私下配售活动后，通用控股的已发行与缴足资本将会扩大10%至5800万股，比较目前是5272万8000股。

通用控股是由集团董事经理洪定国控制，持股31.51%，惟将在上述配售活动完成后降低到28.65%。

通用控股目前在槟城马章武莫拥有住宅和商业发展计划。

它也从事制造和销售耐火砖、空心预拌混凝砌块和预拌混凝土。

在截至2014年12月31日止财政年，通用控股净盈利暴增35倍至2169万令吉，比较2013财政年只有62万3000令吉，营业额也由3224万令吉锐增85.3%至5976万令吉。

目前，产业发展已占了其总收益的85%，其次是制造（10%）和贸易（5%）。【光华日报财经】
