See Hup Seng Limited is a leading provider of corrosion prevention services in Singapore and strategic value-added distributor of petroleum-derived products in Asia Pacific. In addition to providing corrosion prevention (CP) services to the marine, oil and gas, construction and infrastructure industries, the Group also operates a refined petroleum (RP) business that offers comprehensive supply chain management of refined petroleum products to diverse end-user industries including vehicular, agriculture, coating, pharmaceutical, consumer, plastics, construction, engineering, marine and electronics industries.

Established in 1971, the CP business has successfully moved up the value chain to command a leading position in Singapore. Backed by its strong industry track record, See Hup Seng has gained a strong niche in specialised tank coating services, and large-scale plant operations that are supported by a fully-equipped facility. Its proven capability in corrosion prevention services is underlined by its status as a resident contractor for premier shipyards in Singapore.

The RP business is driven by its flagship company, TAT Petroleum Pte Ltd, which has become a key player for refined petroleum products since its founding in 1983.

Headquartered in Singapore with offices in Hong Kong, China (Guangzhou), South Korea, Vietnam and Indonesia, TAT Petroleum distributes quality products from various major chemicals and petroleum companies. It also offers comprehensive services that range from blending and packaging of refined petroleum products into pails, drums or intermediate bulk containers, to storage and distribution of these products to customers in the region. Our RP business is also the master distributor in Singapore of a petroleum-based waterproofing product that is widely used in the waterproofing and protection of residential, industrial and commercial roofs.

To move the RP business up the supply chain, the Group has plans to build an Integrated Chemical Hub in Singapore through a 51%-owned joint venture. In addition, See Hup Seng has made strategic investments in an executive condominium development project in Singapore, as well as an offshore drilling company that will own and operate tender rigs, to build new earnings streams for the future.

四合成将以4,240万元收购Hetat Holdings

四合成(See Hup Seng)与Ng Han Kok签署了有条件买卖协议，以4,240万元全面收购Hetat Holdings。后者的主要业务为钢、铝及玻璃结构及为钻油台供应劳工和安装模组。Hetat在建筑业拥有10年的经验，目前在新加坡、马来西亚和蒙古均有项目。截至2013年7月31日，Hetat的订单额约为5,000万元，其净账面值和净有形资产额约为710万元。四合成将以现金来支付收购额中的3,180万元，并通过发行每股0.2493元的4,251万9,053股新普通股来偿付余下的1,060万元。卖方也给予保证，Hetat将能在FY13带来至少550万元的盈利，并以400万元的现金来作担保。

启示：上述收购给予公司一个扩大营运范围的良机，并能为其防腐蚀业务的现有客户提供更多产品，包括与钢、铝和玻璃结构设计、工程和建筑相关的服务。
