("LEC") ("PROPOSED AWARD")
On behalf of the Board of Directors of LCT, RHB Investment Bank Berhad wishes to announce that LCI (a subsidiary of LCT) had on 28 October 2021 issued two conditional letters of award (“LOAs”) to LEC (a 43.8% associate of Lotte Chemical Corporation which is also a major shareholder of LCT) to undertake EPC works on part of an integrated petrochemical facility in Indonesia, known as the Lotte Chemical Indonesia New Ethylene Project for an aggregate contract sum of USD1,645.6 million subject to adjustments pursuant to the terms of the LOAs. On the same date, LEC had accepted the LOAs. Please refer to the attachment below for further details on the Proposed Award. This announcement is dated 28 October 2021.

The Board of Directors of Lotte Chemical Titan Holding Berhad (“LCTH”) wishes to inform that it has received a letter from Lotte Chemical Corporation (“LCC”) dated 6 March 2025 where LCC gave notice that it has received an offer from one (1) securities company and five (5) special purpose corporations (“SPCs”) established by five (5) securities companies (“Purchasers”) to acquire 394,900,000 shares, representing 25% equity stake in PT Lotte Chemical Indonesia (“LCI”), held by LCC (“the Sale Shares”) for a total price of USD 462,700,500 via a Price Return Swap (“PRS”) Contract (“Sale of Shares”). LCTH and LCC each hold 51% and 49% respectively in LCI, the new development company undertaking the construction of the LOTTE Chemical Indonesia New Ethylene (“LINE”) Project in Indonesia. Pursuant to Section 5.2 of the Shareholders’ Agreement entered between LCI, LCTH and LCC on 9 August 2019, LCTH is granted a right of first refusal of LCC’s offer to sell all or part of the shares owned by LCC in LCI in the event LCC wishes to sell the same to a third party. Accordingly, LCC has given an offer to sell to LCTH the Sale Shares at the price of USD462,700,500 (“Offer”). The Board of Directors of LCTH wishes to announce that the Board had deliberated and made a decision not to accept the Offer by LCC to purchase the Sale Shares held by LCC in LCI for USD462,700,500. Following the Sale of Shares, LCC’s interest in LCI will be reduced from 49% to 24%. This announcement is dated 6 March 2025.
