("Grayscale") and Accubits Technologies Private Limited ("Accubits") dated 1 June 2021 (the "Agreement"). In accordance with the Agreement, the Parties established a joint venture company named TechnoDex Accubits Sdn. Bhd. ("TechnoDex Accubits"), with a total of 200 issued ordinary shares: 102 shares (51%) held by Grayscale and 98 shares (49%) held by Accubits. Unless otherwise defined herein, all terms used in this announcement shall have the same meanings as defined in the Announcements.
