Type | Announcement | Subject | OTHERS | Description | Citaglobal Berhad (formerly known as WZ Satu Berhad) - ACCEPTANCE OF LETTER OF INTENT TO APPOINT CITAGLOBAL ENGINEERING SERVICES SDN BHD ("CESSB") AS ENGINEERING PROCUREMENT AND CONSTRUCTION ("EPC") CONTRACTOR FOR DEVELOPMENT OF SANGLANG INTEGRATED JETTY ("SANGLANG PROJECT") | The Board of Directors of Citaglobal Berhad (formerly known as WZ Satu Berhad) (“Citaglobal” or “Company”) wishes to announce that CESSB, a wholly-owned subsidiary of the Company had on 6 March 2023 received and accepted a Letter of Intent dated even date from Mutiara Perlis Sdn Bhd (“MPSB”), as the EPC contractor for the development of the Sanglang Project (“Letter”).
In accordance to the Letter, the full development of the Sanglang Project is divided into four phases i.e. Phase 1A, Phase 1B, Phase 2 and Phase 3 which MPSB is preselecting CESSB as EPC for Sanglang Project Phase 1A.
Pursuant to the Letter, CESSB and MPSB will begin the process of drafting and finalising an EPC contract and mobilization of work of Phase 1A for a contract sum of RM200 Million.
The Letter will remain valid for a period of three months from the date of the Letter, unless terminated or CESSB and MPSB have entered into an EPC contract to which the Letter will be suspended, whichever is earlier.
The Letter is not subject to the approval of shareholders of the Company or any relevant authorities.
The Letter will not have any effect on the issued share capital and the shareholdings of the substantial shareholders of the Company.
Upon award of the contract, Sanglang Project is expected to contribute positively to the consolidated earnings, earnings per share and net assets of the Company. We can only ascertain the period of contribution upon execution of the EPC contract.
The Company does not foresee any exceptional risk other than the normal operational risks associated with the Letter. Nevertheless, the Company will take the necessary steps to mitigate the risk as and when it occurs.
None of the Directors and major shareholders of the Group and/or persons connected to them has any interest, whether direct or indirect, in the Letter. Information on Sanglang Project
Sanglang Project is developed under the Perlis Maritime Corridor (“PMC”) project, which aims to facilitate the local development in term of logistics, tourism, aquaculture and fisheries. Sanglang Project will provide jetty facilities for berthing of merchant ships, luxury cruise and yachts, deep-sea fish and oil and gas; and provide maintenance, repair and overhauling services for merchant ships.
In the recent Retabled Budget 2023 published on 24 February 2023, the budget is also given to support the Sanglang Project as Sanglang Port to handle petroleum cargo and bulk cargo that will add value to the Perlis economy.
The PMC project was approved by the State Government of Perlis in May 2017 and developed by MPSB – a joint venture by a local company Mutiara Infra Sdn Bhd and Menteri Besar Incorporated Perlis. The PMC project will be located along the coast of Sanglang until Simpang Ampat, Perlis. It is expected to create 5,000 job opportunities and is expected to be the catalyst for development in Sanglang, as well as the development in Chuping Valley such as Chuping Valley Industrial Area (CVIA), Perlis Inland Port (PIP) and others.

The Company wishes to announce that on 27 September 2024, the Company had entered into a binding term sheet (“BTS”) with LAWI Engineering GmbH (“LAWI Germany”) and Mr. Dieter Langer (“DL”) (being the sole shareholder and sole director of LAWI Germany) for exclusive discussion and negotiation on the proposed exclusive collaboration to offer technical and engineering solution of LAWI Germany’s technology/products, which consist of LAWI EtaComb®, LAWI EtaPlant® and LAWI EtaLogic®, combustion system, boiler engineering and design, to all waste management projects identified and targeted by the Company and its affiliated entities (“Proposed Exclusive Collaboration”).
For information, the Company has established a new Waste Management Division recently to undertake all waste management and related businesses/activities for the Company and its group of companies (“Group”). With the Proposed Exclusive Collaboration, Citaglobal is now able to offer end to end solution, equipment supply, engineering and design for waste and bioenergy projects globally, without relying on importion of technology from foreign companies. The Company also plans to export the technology outside Malaysia.
This move is a spin off from the collaboration between the Company and Shanghai SUS Environment Co., Ltd. group for proposed development and operation of waste-to-energy (“WTE”) projects in Pahang, Malaysia by converting the municipal waste into electricity which is then sold as renewable energy and biomass projects in Malaysia especially converting agriculture waste like empty fruit brunches and/or palm oil sludge oil waste to energy pursuant to the joint development framework agreement executed between the Company and SUS Holding Limited in July 2024.
The Proposed Exclusive Collaboration is in line with the strategic direction towards achieving the Company’s vision of promoting sustainable waste management practices in Malaysia which entails the efficient management of waste to minimise its environmental impact while maximising resource utilisation by utilising and sharing the best knowledges, practices and experiences of the Company and LAWI Germany.
For the avoidance of doubt, the Proposed Exclusive Collaboration is conditional upon, among others, the execution of the relevant definitive agreement(s) between the relevant parties.
None of the directors, major shareholders and/or chief executives of the Group and/or persons connected to them have any interest, whether direct or indirect, in the Proposed Exclusive Collaboration.

Information on LAWI Germany LAWI Germany is an engineering company established in Germany since 1996, which owns the technology and intellectual properties rights to design, install and commission the entire boiler island and the engineering for the power block cycles of the WTE power plant with multifuel like refuse-derived fuel, municipal solid waste, industrial waste and biomass.
LAWI Germany owns and has nationally registered three (3) trademarks at the German Patent and Trade Mark Office since 2013 for its technology/products, which are LAWI EtaComb® (combustion/firing system), LAWI EtaPlant® (boiler islands and power plant system) and LAWI EtaLogic® (process and operation optimisation system). LAWI Germany has been involved in and completed more than 55 power plant projects since its establishment, most of them in consortium with its affiliated company, namely LAWI Engineering (Thailand) Co., Ltd. (“LAWI Thailand”) (which is 49%-owned by DL and his spouse). LAWI Germany provides engineering works and procurement of equipment and parts for the power plants and manages the financing requirements for orders and projects, whereas LAWI Thailand manages the local fabrication and management of the sites while under construction and provides maintenance services.
