RELATED PARTY TRANSACTIONS | Description | SUNSURIA BERHAD ("SUNSURIA" OR "COMPANY")(I) PROPOSED SUBSCRIPTION OF BHP DEVELOPMENT;(II) PROPOSED PROVISION OF FINANCIAL ASSISTANCE TO BHP DEVELOPMENT;(III) PROPOSED ACQUISITION OF BUMILEX; AND(IV) PROPOSED PROVISION OF FINANCIAL ASSISTANCE TO MONTFLEX(COLLECTIVELY REFERRED TO AS "PROPOSALS") | On behalf of the Board of Directors of the Company (“Board”), Maybank Investment Bank Berhad (“Maybank IB”) wishes to announce that the Company had on 2 October 2020 entered into the following agreements:
(i) a conditional shares subscription and shareholders’ agreement with Sunsuria KL Sdn Bhd (“Sunsuria KL”), Suez Capital Sdn Bhd (“Suez Capital”), Dasar Temasek Sdn Bhd (“Dasar Temasek”) and Bangsar Hill Park Development Sdn Bhd (“BHP Development”) for the following:
(a) proposed subscription by the Company of 4,488,520 new ordinary shares in BHP Development (“BHP Development Shares”), representing 51.0% of the enlarged issued share capital of BHP Development, for a total subscription consideration of RM8,438,417.60 at the issue price of RM1.88 per BHP Development Share to be satisfied in cash (“Proposed Subscription of BHP Development”);
(b) regulate the relationship between the Company, Sunsuria KL, Suez Capital and Dasar Temasek as shareholders of BHP Development upon the completion of the Proposed Subscription of BHP Development; and
(c) provision of financial assistance by the Company to BHP Development after the completion of the Proposed Subscription of BHP Development of up to RM276.1 million, of which an amount of up to RM102.1 million in cash will be used for the working capital requirement of BHP Development which is in proportion to the Company’s 51.0% shareholding in BHP Development and an amount of up to RM174.0 million in the form of corporate guarantee for 51.0% of the financing facilities obtained by BHP Development (“Proposed Provision of Financial Assistance to BHP Development”); and
(ii) a conditional shares sale and purchase agreement with Johari bin Said and Aizul Akma binti Awang for the proposed acquisition by the Company of 100,000 existing ordinary shares in Bumilex Construction Sdn Bhd (“Bumilex”), representing 100% of the issued share capital of Bumilex, for a total purchase consideration of RM2.00 to be satisfied in cash (“Proposed Acquisition of Bumilex”).
In conjunction with the Proposed Acquisition of Bumilex, Bumilex had, on the same date, entered into a conditional shareholders’ agreement with Montflex Sdn Bhd (“Montflex”), a 51.0%-owned subsidiary of Bumilex, and Excel Logic Sdn Bhd (“Excel Logic”), being the shareholder of the remaining 49.0% equity interest in Montflex, to regulate the relationship between Bumilex and Excel Logic as the shareholders of Montflex upon the completion of the Proposed Acquisition of Bumilex.
Subsequent to the completion of the Proposed Acquisition of Bumilex, the Company will be obligated to provide (either directly or through Bumilex) financial assistance to Montflex of up to RM33.3 million, of which an amount of up to RM20.6 million in cash will be used for the working capital requirement of Montflex which is in proportion to Bumilex’s 51.0% shareholding in Montflex and an amount of up to RM12.7 million in the form of corporate guarantee for 51.0% of the financing facilities obtained by Montflex (“Proposed Provision of Financial Assistance to Montflex”).

(“Sunsuria Healthcare”) entered into a shareholders’ agreement (“Shareholders’ Agreement”) with ICON Asia Holdings Pte. Ltd. Type | Announcement | Subject | OTHERS | Description | PARTNERSHIP BETWEEN ICON SUNSURIA SDN BHD AND ISLAND HOSPITAL SDN BHD | 1.0 Introduction The Board of Directors of Sunsuria Berhad (“Sunsuria” or the “Company”) is pleased to announce that Icon Sunsuria Sdn. Bhd. (“Icon Sunsuria”) had on 17 October 2023 entered into a partnership with Island Hospital Sdn. Bhd. (“IH”) via a professional service and operating contract (the “Contract”) on the launch of Icon Sunsuria’s first cancer centre in Penang, targeted to open in early 2024.
IH and Icon Sunsuria are collectively referred to as the “Parties".
2.0 Information on Icon Sunsuria Icon Sunsuria was incorporated in Malaysia under the Companies Act 2016 on 29 August 2023. Reference is made to the earlier announcement made on 14 September 2023 in respect of the joint venture between Sunsuria Healthcare Sdn. Bhd. and Icon Asia Holdings Pte. Ltd. whereby Icon Sunsuria is 70% owned by Icon Asia Holdings Pte. Ltd. while the remaining 30% interest is held by Sunsuria Healthcare Sdn. Bhd. Sunsuria Healthcare is a wholly-owned subsidiary of Sunsuria Arena Sdn. Bhd., which in turn is a wholly-owned subsidiary of Sunsuria.
Icon Sunsuria aims to provide access to quality cancer care and improve the well-being of patients and their families, by establishing cancer centres across Malaysia via strategic partnerships with local healthcare operators.
3.0 Information on IH IH was incorporated in Malaysia under the Companies Act 1965 on 17 November 1994 and having its registered address at Suite 18.05, MWE Plaza, No. 8, Lebuh Farquhar, 10200 Georgetown, Pulau Pinang, Malaysia. The principal activities of IH are rendering hospital and healthcare services.
4.0 Details of the Partnership The primary objective of the Partnership is for the Parties to combine their efforts, resources and expertise, providing services such as oncology consults, medical oncology treatment including chemotherapy, targeted therapy, immunotherapy, radiation therapy consults and treatment and nuclear medicine and PET services, (the “Services”) respectively. The Parties will be sharing the revenue attributable to the Services.
5.0 Rationale for the Partnership The strategic partnership between IH and Icon Sunsuria will combine Icon Sunsuria's regional oncology expertise, extensive local and regional resources, together with the robust network and best in-class infrastructure of IH, one of Malaysia’s leading internationally accredited private hospitals and a premier medical tourism destination.
This Partnership delivers world-class, evidence-based cancer treatment that attracts regional medical tourism. By partnering with IH's dedicated professionals and cutting-edge medical equipment, this Partnership reflects Icon Sunsuria's commitment to providing world-class cancer care and improving access to quality cancer treatment for patients in Malaysia and the greater South ASEAN region.
6.0 Effects of the Partnership The Partnership will not affect the Company’s share capital or substantial shareholders’ shareholding.
The Partnership is not expected to have a material effect on the financial performance of Sunsuria Group for the financial year ending 30 September 2024.
7.0 Approvals Required The Partnership does not require approval from Sunsuria’s shareholders or any relevant authorities.
8.0 Interest of Directors, Major Shareholders and/or Persons Connected with Them None of the directors, major shareholders of Sunsuria Group, or persons connected with them have any direct or indirect interests in the Partnership.
