We refer to the earlier announcements in relation to the Proposed Acquisition. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the said announcements. On behalf of the Board, AmInvestment Bank and Astramina Advisory wish to announce that the Proposed Acquisition has been completed in accordance with the terms of the SSA on 19 March 2025 (“Completion Date”) and MSRGE is now a 30.00%-owned associate company of Seal. On the Completion Date, a total of 29,508,197 Consideration Shares have been allotted and issued to the Vendors and the Stakeholder, namely MTrustee Berhad (“MTrustee”), in the following manner: Vendors/Stakeholder No. of Consideration Shares OKH 7,319,218 QX 3,008,651 MTrustee – pledged securities account for OKH 13,592,830 MTrustee – pledged securities account for QX 5,587,498 Total 29,508,197 The Consideration Shares will be listed on the Main Market of Bursa Securities on 20 March 2025.
