Unless otherwise stated, the definitions used herein shall have the same meanings as set out in the Announcements, and the DRS Statement together with the accompanying Notice of Election and Dividend Reinvestment Form in relation to the DRS dated 1 July 2025.
On behalf of the Board, Kenanga IB is pleased to announce that based on the valid dividend reinvestment forms received by Tricor Investor & Issuing House Services Sdn Bhd, being the share registrar of the Company for the DRS, UOA Development will be issuing 31,213,200 new Shares pursuant to the DRS (“New Shares”).
The New Shares to be issued represent approximately 16.89% of the total number of 184,773,000 new Shares that would have been issued pursuant to the DRS had all the entitled shareholders of the Company elected to reinvest their respective Electable Portions into new Shares.
For avoidance of doubt, shareholders of the Company who are entitled to receive less than one hundred (100) new Shares pursuant to the DRS will receive their total dividend entitlement wholly in cash.
Barring any unforeseen circumstances, the New Shares are expected to be listed on the Main Market of Bursa Securities on 28 July 2025.
