On behalf of the Board of Directors of SAMEE (“Board”), Maybank Investment Bank Berhad wishes to announce that the Company has, on 25 September 2023, entered into a conditional share sale agreement with Singapore Aerospace Manufacturing Pte Ltd, the holding company of SAMEE, to acquire the entire equity interest in Aviatron (M) Sdn Bhd for a cash consideration of USD43,400,000 (“Proposed Acquisition”). In conjunction with the Proposed Acquisition, the Company proposes to undertake a renounceable rights issue of 135,397,357 new ordinary shares in SAMEE (“SAMEE Shares”) (“Rights Shares”) at an issue price to be determined and announced by the Board at a later date on the basis of one (1) Rights Share for every four (4) existing SAMEE Shares held on an entitlement date to be determined and announced later (“Proposed Rights Issue”), to finance the Proposed Acquisition, repay the bank borrowings of SAMEE and its subsidiaries and defray the expenses relating to the Proposals.
