TAKE-OVER OFFER BY LONDON BISCUITS BERHAD (OFFEROR) , TO ACQUIRE ALL THE
ORDINARY SHARES OF RM0.50 EACH IN TPC PLUS BERHAD WHICH ARE NOT OWNED BY THE
OFFEROR (OFFER SHARES) AT A CASH CONSIDERATION OF RM0.30 PER OFFER SHARE

TPC writes to inform that TPC has, on 9 April 2010, appointed Inter-Pacific
Securities Sdn Bhd ("InterPac") as the independent adviser to advise the
independent Directors and the holders of the Offer Shares in relation to the
Offer pursuant to Part IV Section 15(8) of the Malaysian Code on Take-overs and
Mergers, 1998. The appointment of InterPac is subject to the approval of the
Securities Commission being obtained.
