DXN 招股书

（赛城28日讯）阔别股市12年，灵芝保健品生产及直销商德信控股（DXN Holdings）周五（28日）配合首次公开募股（IPO）正式推出招股书，预计公开筹集1亿2160万令吉，主要用于营运资本与偿还银行贷款。
该集团指出，这次共发出9亿3267万5000股，其中包括以每股76仙的最高发售价，公开发售共1亿6000万股新股，占扩大股本的3.2%。当中1亿股新股将公开给公众申购，另有6000万股供对公司有贡献的主要高层、员工及商业伙伴认购。
此外，该集团大股东也献售7亿7267万5000股现有股票，占已扩大股本15.5%，包括6亿2312万5000股供经投资、贸易及工业部批准的土著投资者认购，以及1亿4955万股发售予大马和外国机构及特定投资者。
按照扩大后的股本，即49亿8500万股已发行股份和每股76令吉的零售价，德信控股预期集团市值约可达38亿令吉，预计将成为今年迄今最大的IPO公司。
根据招股书，公开筹集到的资金8000万令吉或65.8%，将用于偿还银行贷款、1751万3000万令吉或14.4%将作为营运资本，主要用于采购生产品和包装材料，其余2408万7000令吉或19.8%作为上市费用。
同时，德信控股表示目标净利派息率是30%至50%。
德信控股创办人兼执行主席拿督林孝仁博士在招股书推介会上表示，该集团已投资2个研究设施、6个种植设施和10个制造设施，以便能够控制供应链并扩大创新。
“接下来还有另一个种植设施和2个生产设施正在筹备中。德信准备通过上市进入下一阶段的增长。”
他指出，德信拥有超过360万活跃会员和超过12亿令吉的收入，在180多个国家或地区拥有超过1500万名注册会员，并且有79个销售分行，在48个地方拥有12个独家外部分销机构。自成立以来，该公司生产了452个单位的多元产品组合，包括食品和饮料、保健品以及个人护理和化妆品，这些产品使用自家培植的材料制作，如灵芝、螺旋藻和冬虫夏草。
德信控股首席执行员张汉进在发布会后表示，该集团超过90%的业务在外国，大马仅占收入约8%，主要市场在墨西哥、秘鲁、玻利维亚、印度、中东和美国等地。
“销售大部分以外汇计算，我们也面对汇兑起伏，但是幅度限于10%上下，介于1百万至700万令吉之间。”
根据德信控股提供的资料，其2022年的收入约10亿4320万令吉，比2021年增长31.5%，而税后盈利和少数股东权益录得约1亿7990万令吉，按年增长13.1%。其复合年增长率达14.55%。
张汉进说，多年前下市，主要是为了专注于直销核心业务。这几年公司已经完成整合，目前共有18家设施厂并已开发了额外14个新市场。
“本集团有强劲的现金流，再次上市主要是希望提升集团的能见度，并建立强大的公关形象，加强竞争力和加速成长。”
他表示集团已经打入48个市场，计划在2年内再开拓5个新市场，今年会进军巴西和阿根廷，而明年会进军非洲。
被询及全球通胀和地缘政治等风险对集团的影响，他说，通胀压力当然有，但从广义上讲是非常小的，对其毛利率和净利率的影响皆不大。
“我们有垂直整合的工业设施，自家种植大部分原料，能够克服供应链问题，并且将生产设施设在主要市场，善用当地情况和合规度，因此没有受到大影响。”
此外他补充，2022年这个行业的全球市场价值高达1530亿美元，而德信控股占约0.18%市场份额，该公司在秘鲁和玻利维亚排第三名。
周四出席招股书发布会的还包括兴业投资银行首席执行员兼董事经理甘尼斯、马来亚投资银行首席执行员拿督法迪莫哈末、里昂证券大马投资银行主管阿邦拉莫，以及联昌投资银行副首席执行员兼投资银行集团主管诺玛丝丽扎。
德信控股主要从事投资及管理服务，其子公司以直销模式销售保健消费品。创立于1993年的德信集团，核心业务包括灵芝和其他保健食品的种植、制造和营销。其公司总部位于大马，业务遍及全球，其产品线包括膳食补充剂、食品和饮料、个人护理产品、护肤品和化妆品、家居用品和水处理系统等。2003年9月30日，德信控股有限公司第一次在大马交易所主板上市，并于2011年12月27日退市。
