SOUTHERN SCORE BUILDERS BERHAD ("SOUTHERN SCORE BUILDERS" OR "THE COMPANY") - LETTER OF AWARD FROM PLATINUM VICTORY DEVELOPMENT SDN. BHD. ("PVDSB") TO SOUTHERN SCORE SDN. BHD. ("SSSB"), A WHOLLY-OWNED SUBSIDIARY OF THE COMPANY
The Board of Directors of Southern Score Builders (“Board”) is pleased to announce that SSSB, a wholly-owned subsidiary of the Company had on 28 February 2024, accepted a letter of award dated 28 February 2024 from PVDSB to undertake the main building works for the proposed development of 2 residential apartment suites with 47 floors (2,082 units) comprising block A with 47 floors (946 units) and block B with 47 floors (1,136 units), 2 levels of commercial space (55 units), hawker space, kindergarten and nursery, management office, prayer room, TNB room (2 units of 11KV main switching station), mechanical room on the 1st and 2nd floor, 6 levels of car park podium on 3rd-8th floor, 1 facility level for residents containing a multi-purpose hall, gymnasium, convenience store, prayer room, management office, swimming pool, playground and other facilities on the 9th floor as well as 1 basement level with car park and mechanical room on Lot 200421 and Lot 200422, Jalan Usahawan 2, Off Jalan Genting Klang, Mukim Setapak, Wilayah Persekutuan Kuala Lumpur (“Project”) for a contract sum of RM 618,248,000.00 (“LOA”).

SOUTHERN SCORE BUILDERS BERHAD  ("SSBB" OR THE "COMPANY")THIRD SUPPLEMENTAL PROFIT GUARANTEE AGREEMENT IN RELATION TO THE COMPANY'S REGULARISATION PLAN ("THIRD SUPPLEMENTAL PGA")
(The abbreviations and definitions used throughout this announcement shall have the same meanings as those previously defined in the announcements dated 9 July 2021, 8 September 2021, 26 January 2022, 18 May 2022, 13 September 2022 and 9 November 2022 in relation to the Company’s Regularisation Plan (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein)

As part of the Acquistion under the Company’s Regularisation Plan, on 9 July 2021, Super Advantage (i.e. the Vendor) had entered into a profit guarantee agreement with the Company (“PGA”) which is supplemented by a first supplemental PGA dated 26 January 2022 (“First Supplemental PGA”) and a second supplemental PGA entered dated 18 May 2022 (“Second Supplemental PGA”).

Following the completion of the Regularisation Plan, Southern Score, a wholly-owned subsidiary of the Company, had changed its financial year end from 31 December to 30 June so as to coincide with the financial year of the Company which is 30 June (“Change in FYE”).

As the profit guarantee for the Regularisation Plan had been based on Southern Score’s previous financial year of 31 December, the Company entered into a Third Supplemental PGA to align the PGA with Southern Score’s new financial year end of 30 June.
