SBSB was incorporated on 13 May 2013 and is presently dormant. Its authorised and paid up share capital are RM400,000 and RM100 respectively.
The acquisition of SBSB is not expected to have any material effect on the earnings per share, net assets or share capital of SEAL.
None of the directors or substantial shareholders of SEAL or persons connected with them has any interest, direct or indirect in the aforesaid acquisition.

a) two million (2,000,000) ordinary shares of RM1.00 each in Kelantan Lumber Products Sdn Berhad (Company No. 46025-H) ("KLP"), a wholly-owned subsidiary company of GEM, which represents the entire issued and paid-up shares in KLP ("Sale Shares"). The Seller also acknowledges that KLP is the holder of sawmill license which is granted by Jabatan Perhutanan Negeri Kelantan; and
b) a piece of leasehold land held under H.S.(D) 7897, PT 3976, Mukim Kuala Nal, Daerah Batu Mengkebang, Jajahan Kuala Krai, Kuala Nal, Kelantan Darul Naim measuring approximately thirty (30) acres ("Land") which is presently charged in favour of SEAL.

(D) ICK 146/79, P.T. No. 407 (Lot 1421), Mukim of Kuala Nal, District of Ulu Kelantan, State of Kelantan ("the said Land") ("the JV Agreement").
On behalf of the Board of Directors of SEAL, we wish to announce that SVSB had on 21 November 2013 entered into a Deed of Rescission with GEMB to rescind the JV Agreement in respect of the balance 10.9 acres of the said Land, save and except for the 5.1 acres of the said Land which had been developed, in consideration for the refund of deposit of RM10,000.00 and reimbursement of expenses paid amounting to RM89,076.91 from GEMB to SVSB.
The rescission is not expected to have any material effect on the earnings and net assets per share of SEAL Group.

在巴生推介逾10亿工程 希尔集团推展新计划
二零一四年四月十日 晚上八时十一分
(吉隆坡10日讯)希尔集团有限公司(SEAL,4286,工业产品组),在吉隆坡蕉赖推展其旗舰项目带动下进军巴生。
该公司物色到总值8亿令吉至10亿令吉的12.5公顷综合发展,它平时是宁静郊区的皇后镇(Bandar Sri Permaisuri),也被称为Queenville,毗邻东西连贯大道(East-West Link)。
这项工程的商业用地分成5个部分,分别有服务式住宅、自由式套房、办公大楼、店铺,一切由商场作为固定。
该集团首席执行员蔡忠佑(译音)指出,上述土地距离皇后公园(Taman Tasik Permaisuri)隔邻,有可能是现成乡镇剩下的最后一片相邻地块。
在去年2月,希尔集团与皇后镇主要发展商Dwitasik私人有限公司、吉隆坡市政厅签署总承包协议,携手发展皇后镇。
根据相关协议,吉隆坡市政厅是地主,希尔集团、Dwitasik和市政厅从皇后镇享有20%毛利,加上最少3000万令吉利润保障,只要其获豁免负担得起的住房的任何规定。
对于皇后镇发展影响,除了20%利润属于市政厅以外,其余的利润将会有由希尔集团和Dwitasik共享划分为60对40。
此外,市政厅将会征收3800万令吉土地租金,充作从州政府拨地给市政厅的用途。希尔集团将会支付3600万令吉,其余则交由Dwitasik负责。
虽然这些条款安排可能会令人费解,不过蔡忠佑认为,该公司提供吸引力切入点,尤其是给那些没有能力建立发展商的小型产业家。他说:“只要我们没有在前期投资掏出巨额,我们并不介意共享利润。”
Dwitasik董事包括拿督斯里伊拉王,也是霹雳摄政王纳斯里沙的幼妹,其姐夫是拿督斯里东姑加美。
蔡忠佑强调:“我们决定要推展吉隆坡首个庞大的旗舰项目,集体综合发展是当前流行。如果你尝试只是售卖一栋公寓,那可是没人接受。”
皇后镇即将在今年第3季近乎进行推展。首个阶段与3和4层楼店铺、自由式套房、办公大楼的公开注册将在本月进行。自由式套房总共有480个单位、8层楼及3座大厦,价格从30万令吉起。套房坐落在商店的顶楼。办公室总面积6万5000平方尺,一共有6层楼高。
皇后镇第2阶段工程将在2015年杪推出5座服务式住宅的其中3座。12层楼和21层楼的住宅单位分别设定800平方尺至1200平方尺。3座住宅共有492个单位,指示价格从50万令吉起。41万2000平方尺的商场也会在第2阶段推展,希尔集团大厦将会保留商场充作出租收入。
最后2座服务式住宅具有31层楼,也是这项发展中最高的大厦,预定在2016年出售。最终发行的公寓面积达800平方尺至1200平方尺,共有480个单位。
蔡氏表示,整个计划备有3000个停车位,预料会在5年内全面推行,约7年完工。在首个阶段,希尔集团设定在6月内的推展期,可以达到至少50%出售。
他说:“无论市场可以负担与否,买家必须自行负责。比如在槟城,我们在9个月内推出1000间公寓,因为当时市场需求大。”皇后镇已经获得发展订单,正在等待建设计划批准,之后才会确定成本核算。
当询及为何希尔集团不保留管理商店,他回应称:“我们需要资金。”
“我们不像杨忠礼机构有限公司(YTL,4677,建筑组)和双威集团有限公司(SUNWAY,5211,产业组)一样拥有资金。(出售店铺)资金将会对建设带来很大的帮助。”
尽管自从今年早期产业市场实行审慎贷款准则和其他严谨规则,不过蔡忠佑称,皇后镇销售依然保持良好。“我们的店铺没有指定任何投机市场,我们将会以每栋350万令吉或以上出售。”
执行董事方杜莉丝(译音)称,整个计划的利润预料介于20%。在2013年2月22日致给交易所文件中,希尔集团已称,皇后镇估计会带来净利润8000万令吉。
皇后镇并不是希尔集团首个进军巴生的项目。
蔡氏称:“有些人可能会问为何我们不自行兴建和管理商场。可是我们已经管理士拉央广场长达15年,占据100%权益。”他解释:“我们是城中少许发展商中了解租赁的其中一位。”
士拉央广场靠近黑风洞,总面积达85万平方尺。这座广场已经在7年前,以1亿2000万令吉脱售给AmanahRaya发展私人有限公司,后者当时还未成为产业信托基金。
他指称:“我们脱售士拉央广场,因为我们需要资金来重组。”
希尔集团与AmanahRaya签署10年售后回租协议,前者继续管理广场,每年平均收益率8%。【光华日报财经】 |

希爾兩大計劃成發展重點

(吉隆坡11日訊)希爾集團(SEAL,4286,主板工業產品組)經過多年系列重組,資產負債表已經清理;目前該公司旗下的兩大計劃,即蕉賴的Queenville計劃,及檳城的Bayan City2計劃,料將是未來主要發展重點。
興業研究指出,希爾集團自2005年進行系列重組計劃后,截至今年3月杪擁有淨現金1億4千180萬令吉,或每股65仙。比較截至2006年財政年的淨負債為7千920萬令吉。
該行補充,該公司的盈利透明度,主要來自其巴生河流域首項產業發展計劃蕉賴Queenville,發展總值達8億令吉,包括購物中心、49單位的3層店屋、3座的套房單位,以及5座的服務公寓。預料可供未來5至7年發展。
檳城Bayan C i t y2為該公司另一項主要產業計劃,發展總值為10億令吉,包括酒店、購物中心、商業中心、辦公室以及套房單位。
該行表示,2013財政年該公司旗下產業投資業務佔其營業額的10.4%,主要來自1995年即開始經營的士拉央購物中心,后者擁有100%出租率。過去3年的貢獻介于1千700萬至1千900萬令吉之間。
該行預測其2014年財政年核心淨利為5千570萬令吉。若以其2014年財政年股價/賬面比1.0倍為准,該公司的合理價為1令吉16仙。(星洲日報/財經) |

东南亚木材1861万买地

(吉隆坡28日讯)东南亚木材(SEAL,4286,主板工业股)独资子公司,SEAL房產私人有限公司与力支国际(ACME,7131,主板工业股)旗下子公司ASCALL私人有限公司,正式签署总值1861万9437令吉的土地买卖协议。
根据文告指出,该2幅位于檳城巴拉大雅(Barat Daya)土地,面积分別是8万零107平方尺,及4万4023平方尺,售价分別为1201万6024令吉,和660万3413令吉,相等於每平方尺150令吉售价。
东南亚木材集团计划,在该土地发展住宅项目,但未有定案。
同时,该集团乐观看待该土地的发展价值,这主要是因为檳岛峇都茅(Batu Maung)的產业发展迅速,和靠近Southbay乡镇和Sunway Mutiara发展计划。【东方网财经】

| Reference is made to the query from Bursa Malaysia Securities Berhad dated 1 July 2014 in respect of the Proposed Acquisition, the Board of Directors of SEAL wishes to announce the additional information as follows: 1. The Directors of Ascall are Dato' Sri Dr. Lee Kuang Shing and Datin Sri Tan Siew Hong (f) and Ascall is a wholly owned subsidiary of Acme Holdings Berhad (f.k.a. Supportive International Holdings Berhad) which is a public limited company listed on the Main Market of Bursa Malaysia Securities Berhad
2. The properties were acquired by Ascall after their audited financial statement for financial year ended 31 January 2013 and the net book value of the Properties based on latest management account as at 31 March 2014 was RM8,759,070 as announced in item 3 of the announcement dated 27 June 2014.
3. SEAL Group is proposing to develop the Properties into a residential development with 28 units 3 storeys landed properties in an established fast developing area of Batu Maung, Penang near Southbay Township and Sunway Mutiara residential scheme.
4. The proposed residential development is expected to commence from the third quarter of 2015 and will take about 2 years to complete.
5. The Sale and Purchase Agreement and Valuation Report by the valuer, Intra Harta Consultants Sdn Bhd, will be made available for inspection at the Company’s Registered Office, 55A Medan Ipoh 1A, Medan Ipoh Bistari, 31400 Ipoh, Perak during normal office hours from Mondays to Fridays (except public holidays) for a period of 3 months from the date of the announcement dated 27 June 2014.

a) Forty Nine (49) ordinary shares of RM1/-each representing 49% of the total issued and paid up share capital of Seal Properties (SP) Sdn Bhd ("SPSP") for a total consideration of RM1,000,000.00 and resulting in SPSP becoming a wholly-owned subsidiary of SEAL; and
b) Forty Nine (49) ordinary shares fo RM1/-each representing 49% of the total issued and paid up share capital of Seal City Sdn Bhd ("SCSB") for a total consideration of RM230,000.00 and resulting in SCSB becoming a wholly-owned subsidiary of SEAL.
(collectively known as "the Acquisition").
The Acquisition is not expected to have any material effect on the earnings per share, net assets or share capital of SEAL. None of the directors or substantial shareholders of SEAL or persons connected with them has any interest, direct or indirect in the Acquisition.
