很难预料的，这情形有如 Bornoil [7036]，之前也被 “UMA”。。

UMA是没有受到指示而乱乱冲的股中的。

要起的时候最少要通知一下bursa，这样bursa才有准备可以赚钱。

KUALA LUMPUR: Bursa Malaysia Securities Bhd has queried TANCO HOLDINGS BHD [ ] on Wednesday, Feb 9 over the over unusual market activity in the trading of its shares.

At 12.19pm, Tanco was up 2.5 sen to 43.5 sen with 31.02 million shares done.

In its query, the regulator referred to the high volume and price in the company’s shares recently.

Bursa Securities said Tanco had to provide it with an announcement for public release after making due enquiry with the directors and major shareholders seeking the cause of the unusual market activity in the company’s shares.

We refer to the letter from Bursa Malaysia Securities Berhad (Bursa Securities)
dated 9 February 2011 querying the Company on an unusual market activity in
relation to the increase in price and high volume of trading of the Companys
shares. On behalf of the Company, we would like to confirm that to the best of
our knowledge and after making due enquiry with the directors and major
shareholders seeking their views on the matter that is the subject of the
query, save and except for the still on-going negotiation on the proposed
settlement agreement with Lehman Brothers Commercial Corporation Asia Limited
(In Liquidation) (Lehman), we are not aware of any of the following that may
have contributed to the unusual market activity:-
1. Any corporate development relating to the Groups business and affairs that
has not been previously announced that may account for the unusual market
activity including those in the stage of negotiation/discussion;
2.  Any rumour or report concerning the business and affairs of the Group that
may account for the unusual market activity except for an article that had
featured in The Edge Malaysia on 17 January 2011 on our proposed settlement
agreement with Lehman that we are unable at this stage to make any disclosure
of significance on its development other than that it is still on-going; and
3. Any other possible explanation to account for the unusual market activity.
However, should the Company at a stage in time reaches an agreement with Lehman
on the proposed settlement agreement, we will then at that point in time make
the appropriate announcement to Bursa Securities of any material information in
compliance with Paragraph 9.03 of Bursa Securities Main Market Listing
Requirements.
This announcement is dated 9 February 2011.

无论如何，若公司与Lehman达成债务和解协议，将在适当的时期向交易所公布。

Tanco: Settlement talks still ongoing with Lehman

KUALA LUMPUR: Tanco Holdings Bhd is still in negotiations with Lehman Brothers Commercial Corp Asia Ltd (LBCC, in liquidation) for the proposed settlement of an amount of RM314.06 million owed to the later.

In a filing with Bursa Malaysia yesterday, Tanco said talks with LBCC on the proposed settlement agreement are still ongoing and it would make the appropriate announcement should the company reach an agreement. The filing was in reply to an unusual market activity query by the exchange operator yesterday.

In its reply to Bursa, Tanco said it was not aware of any corporate development or rumour that could contribute to the unusual market activity except for an article featured in The Edge published on Jan 17.

The said article reported that Tanco may get a haircut on the RM314.06 million from its settlement with LBCC. Following the report, Tanco’s share price has risen 82% to close at 40 sen yesterday, giving the company a market value of RM133.95 million.

However, while Tanco said the talks are still ongoing, it did not mention a possible haircut from LBCC.

According to its latest financial statements, Tanco has booked a sum of RM314.06 million under current liabilities as “deferred benefit pending outcome of litigation”. The amount is owed to LBCC.

To recap, Tanco took a two-year loan worth RM239.6 million from LBCC in 2007 to settle all its existing secured debts and solve its financial problems.

While the loan helped lift Tanco out of being classified as a PN17 company, the deal turned sour when LBCC’s parent Lehman Brothers was declared bankrupt the following year. It is believed that the sum owed has grown over the years due to interest costs.

Tanco then filed a writ against LBCC and other related parties in 2009 on the basis that the loan facility was illegal and unenforceable as it was in contravention of the Moneylenders Act 1951. It has since then reclassified the RM314.06 million loan as “deferred benefits pending the outcome of litigation” in its books.

Following the writ, Tanco has ceased accruing interest and exchange differences arising from the loan. The litigation is still ongoing and there has not been any development on the case to date.

For the 9MFY10 ended Sept 30, Tanco posted a net loss of RM1.64 million on revenue of RM11.76 million. It has RM9.9 million cash with no other borrowings, save for the said amount of RM314.06 million categorised as current liabilities. The group shareholders’ fund amounted to RM173 million.
