Contents	:	The Board of Directors of Konsortium hereby announce that it has today received a Notice of Unconditional Take-Over Offer ("Notice") served by AmInvestment Bank Berhad, on behalf of the Offeror notifying the Offeror’s obligation to extend an unconditional take-over offer in accordance with the Malaysian Code on Take-Overs and Mergers, 1998 (“Code”), for the remaining ordinary shares of RM1.00 each in Konsortium not already owned by the Offeror (“Offer Shares”) for a cash consideration of RM1.55 per Offer Share. A copy of the Notice is attached herewith. The Notice will be posted to the holders of the Offer Shares within seven (7) days of its receipt. In accordance with the Code, the Board of Directors of Konsortium will appoint an independent adviser to advise the Independent Directors and minority shareholders of Konsortium on the reasonableness of the Offer. The Independent Directors will inform holders of the Offer Shares of their recommendation on the Offer within 10 days from the posting of the offer document. At this time, the Board is not seeking any alternative person to make a take-over offer for the Offer Shares. This announcement is dated 18 October 2010.

通運集團（KONSORT, 6157, 主板貿服組）接獲國家股份公司（EKUINAS）發出的全面獻購通知，以每股1令吉55仙或逾1億5千903萬令吉，全面獻購尚未持有的43.5%股票，但有意維持該公司的上市地位。

有意保留上市地位
國家股份通過Bendahara 1公司提出這項全面獻購。
配合這項宣佈，通運集團股票從4時45分起停牌，暫停交易前掛1令吉52仙，起1仙。1令吉55仙獻購價僅較停牌前的1令吉52仙，溢價3仙或1.97%。
該股將於週二復牌。
這家公司發表文告指出，將委任獨立顧問評估這項全購價的合理程度，而獨立董事也會在全購案通告張貼後的10天內，針對全購價作出建議。
Bendahara 1是國家股份基金（Yayasan Ekuinas）的獨資子公司，後者同樣持有國家股份公司（Ekuinas）的100%股權。Bendahara1是投資控股公司，註冊股本達1億零9萬令吉。
以2億全購56.5%股權
Bendahara 1週一先透過公開市場以逾8千986萬1千令吉，收購通運集團的約5千797萬5千股，或24.58%股權；同時，也以約1億1千671萬1千令吉，向Hectares公司、PBS Office供應控股公司及通運集團執行副總裁呂少傑收購另逾7千529萬7千股，或31.92%股權。
這促使Bendahara 1在通運集團持股權頓時從0%累積至56.5%。上述交易皆以每股1令吉55仙進行。
一旦Bendahara 1成功累積通運集團股權至90%，將展開強制性全面獻購。除非不符合25%公眾持股條例，或大馬交易所不肯接受公眾持股比重少於25%，否則Bendahara 1將維持通運集團的上市地位。
總投資額達4億
私有化可能不大
國家股份公司首席執行員拿督阿都拉曼阿末坦言，若通運集團其他股東接受全面獻購計劃，投資額或最高達4億令吉。
這是國家股份的第二項上市公司投資計劃，此公司之前收購丹絨岸外（TGOFFS, 7228, 主板貿服組）的20%股權。
他在記者匯報會後表示，以2億零660萬令吉收購通運集團56.5%股權，主要是這家公司為大馬領先的物流解決方案供應商，除在市場具領航地位，也擁有良好財務紀錄與土著管理團隊，有望為公司帶來潛在增值。
他對股東是否接受全面獻購保持開放，直言：“若他們無意接受，公司樂意保留通運集團上市地位。
他坦言，私有化通運集團需收購超過90%股權，以獻購價1令吉55仙來看，私有化可能性不大。
他透露，國家股份公司也將派出至少兩名代表進入通運集團董事部，但目前未決定細節。
“基本上，董事部與管理團隊將保持現狀，只有呂少傑將全面離開董事部，並專注其他業務。”
他也提到，國家股份希望藉上述收購，加快通運集團轉型步伐與加強土著持股權，同時啟動以表現為基礎的管理層股權收購（MBO）方案。
他表示，收購通運集團後，也將專注4關鍵增值計劃，包括重新評估其業務與資產，以加強資源使用，釋放公司價值並加強未來成長；透過加強行銷，改善營業額與盈利成長，並針對現有客戶拓展服務，同時開拓新客戶；加強營運效率並啟動成本節制；拓展新物流領域或促進業務整合。
他預見，通運集團的投資將帶來至少12%回酬，最高也可能超出國家股份公司的內部回酬目標20%。
他看好物流領域張望，預見該領域隨經濟展望正面取得8%成長，而通運集團業務成長更有望稍微超越領域的成長，達8.9%。
詢及未來投資，他回應，公司時刻都在尋求投資機會，也經常與各方展開洽談，至於普騰（PROTON, 5304, 主板消費品組）會否成為未來投資對象，他直言，這不是現階段考量的目標。
