成功集團和TMC越南聯營醫院破局

（吉隆坡18日訊）成功集團（BJCORP，3395，主板貿服組）、TMC生命科學（TMCLIFE，0101，主板貿服組）和VietHa機構在越南聯營醫院的備忘錄期限已到期，並宣佈不會再度延長。

不過，成功集團在文告中，未透露不再延長備忘錄的原因。

3家公司是在2008年9月18日簽署備忘錄，在河內聯營醫院，並幾度延長備忘錄期限，但最終仍宣告破局。（星洲日報／財經）

TMC生科租金收入可期

（吉隆坡24日訊）TMC生命科學（TMCLIFE,0101,主板貿服組）位於哥打白沙羅的麗陽醫藥中心仍未全面善用，位於策略地點的6英畝土地只用了2英畝，肯納格研究相信管理層可能建多層診所，以增未來租金收入。

肯納格說，有關地點靠近住宅區，也是未來其中一個捷運站；若能用作建多層樓診所用途，有助加強未來現金與盈利，可令股東感到興奮。

該行預期2014財政年首季淨利放緩，主要是受大選與煙霾所致，預期第二季淨利將復甦，全年賺益料由2.8%改善至6.5%，預測2014財政年淨利按年增長114%至470萬令吉。

2013財政年第四季其營業額按年改善7.6%、按季增長16%至2千零60萬令吉，全年核心盈利220萬令吉（扣除脫售業務淨收益890萬令吉），相比上財政年蒙虧640萬令吉。

上財政年宣佈派心0.3仙或相等21.6%派息率。目前暫無評級，其41仙目標價，可說目前全面反映，約為2014財政年企業價值對息稅前盈利的23.0倍。
分析員預估股價未來幾月可能走高至46仙至50仙，最低則挫至37仙。（星洲日報／財經）

TMC生命科学（TMCLIFE，0101，主板贸服股）在哥打白沙罗（Kota Damasara）拥有一块6英亩土地，其中2英亩作为医疗中心，其余面积则是临时停车场和公园。

这也意味着，上述土地并没有被充分利用。

我们认为，该与住宅区毗邻的土地拥有绝佳的地理位置，因为捷运计划的其中一站就在该土地前。

增加租金收入
虽然TMC生命科学拒绝透露剩余土地的用途，但我们相信，公司或许会兴建并出租多层诊疗所，用来增加未来租金收入，而且预料这项新投资将引起投资者的注意，为公司未来带来更稳定的经常收入。

无论如何，若公司真的要执行该计划，将对现金有限的TMC生命科学造成压力。

目标价46仙
TMC生命科学2013财年末季营业额按年扬7.6%和按季增16%，至2060万令吉，全年核心盈利报220万令吉（不含以890万令吉脱售的业务）。

公司也在2013财年全年派发0.3仙股息，相等于盈利的21.6%。

来到2014财年，尽管首季业绩表现受累于大选和烟雾影响而差强人意。

但我们认为，次季业绩将逐渐转好，全年业绩表现也受惠于人工受孕（IVF）业务和医疗中心病床业务的走强。

目前，TMC生命科学股价为41仙，处于价值/扣除利息、税务、折旧与摊销前盈余比例（EV/EBITDA）的23倍下交易，相等于其价值符合股价。

尽管如此，我们认为在利好因素刺激下，股价有机会在未来数月内增长至46仙的水平。

（吉隆坡20日讯）TMC生命科学（TMCLIFE，0101，主板贸服股）2014財政年次季（截至11月30日止）净利为240万令吉，相较於去年同期的453万令吉，下跌47.08%；营业额则为2266万令吉，较去年同期的1751万令吉，上升29.38%。        

上半年而言，该公司净利从去年同期的732万令吉，下滑72.24%，至203万令吉；营业额则从去年同期的3391万令吉，增加23.26%，至4180万令吉。[东方网财经]

TMC 生科拟增设医院病床

（吉隆坡4日讯）TMC生命科学（TMCLIFE，0101，主板贸服股）计划在截至2016年5月杪财年之前，为哥打白沙罗医院增设60张病床，至200张病床。
该公司也计划扩大现有医院规模，因目前的医院地皮面积达6英亩，但使用面积仅2英亩。

依病床数量计算，该公司是最小规模的私人医院集团之一，远远低于共有913张病床的Ramsay森那美、双威医疗中心（368张病床）及拥有约2000张病床的综合保健控股（IHH，5225，主板贸服股）。

去年，TMC生命科学耗资330万令吉，作为资本开销。

该公司打算在今、明年，耗资更多资本开销，以更换旧机器及为其中一层楼翻新。

执行董事兼集团总执行长黄长彦接受《星报》专访时表示，该公司将通过内部融资，筹集2015财年的资本开销。

他说：“虽然我们还没有具体资料，但2015财年的资本开销肯定会更高。”

（吉隆坡7日讯）新加坡亿万富豪林荣富以1亿264万令吉，向丹斯里陈志远收购TMC生命科学（TMCLIFE，0101，主板贸服股）26.65%股权后，提出全面献购公司其余股权和凭单。

配合最新收购行动，林荣富向TMC生命科学提出全面献购，开价每股48仙和每张凭单8仙。

相比今天闭市价46.5仙，大股东献购价高3.23%。

凭单献购价则比闭市价7.5仙，高6.6%。

林荣富现通过Gilberta投资公司，握有TMC生命科学2亿6146万666股或32.59%股权，以及1亿3073万3332张凭单。

完成最新收购后，他在TMC生命科学的持股率将增至59.24%。

大股东已表明有意维持TMC生命科学的上市地位。

公司董事部表明将召开紧急会议，探讨大股东的献议。

成功集团赚2526万

林荣富今天通过旗下Sasteria公司，以4478万令吉向陈志远旗下的成功机构（BJCORP，3395，主板贸服股）买入TMC生命科学11.63%股权。

他也通过同一公司，以5786万令吉向成功置地（BJLAND，4219，主板贸服股）买入15.02%。

成功机构通过脱售股票，赚2164万令吉，成功置地则赚362万令吉。

脱售所得将充营运资本和偿还贷款。

两家公司脱售后，共持有TMC生命科学5.36%。

吸引狮城富商入股 TMC生命潜质庞大

（吉隆坡11日讯）TMC生命科学有限公司（TMCLIFE，0101，创业板）仍有庞大潜质仍未开发。

加上过去2年的盈利扭转，可能是新加坡富商林荣福上周展开全面收购这家私人医院经营商的原因。

TMC生命科学执行董事兼集团首席执行员黄长彦医生指出，该集团尚未达到最大潜质，旗舰医院Tropicana医疗中心仍然有进一步的成长空间，目前这间位于雪兰莪哥打白沙罗的设备，仅用了这幅总面积26万1369平方尺总面积地段的3分之1。

其中一个途径是增加其医院的服务范畴，包括在今年较后时引入其首个家庭式神经医疗。

进行中计划也包括一项翻新工程，把该医院原作为行政办公室和礼堂的7楼空间，改建成护理中心，并已为此拨出800万令吉的资本开销。

虽然只属于一间医院集团，黄长彦表示，TMC生命科学尝试提供更广泛服务，以与大型业者如柔佛医药保健有限公司（KPJ，5878，贸易服务组）和综合保健控股有限公司（IHH，5225，贸易服务组）展开竞争。

“无可否认，我们并不如一些大型医院的广泛，不过我们会朝这个目标前进。我们也拥有一些想要强调的核心学科，如人工受精部门和ENT与头颈雷射中心。这是我们2个现在成长中的部门。”

黄长彦称，过去3年并没有太多人察觉该集团已经‘大幅’转型，成功在截至2013年和2014年5月31日止财政年从蒙受亏损扭转为有利可图。

“我们仍然是人工受精领域的领导者，我们也扩大和加重非人工受精业务。”

他补充，非生育或医院业务贡献已从他于2011年加入TMC生命科学时的40%，倍增至80%。

“我不认为我们生育业务的盈利减少。它在创办人李顺树医生离开时曾经滑落，但我们已经成功扭转恢复。与此同时，我们也积极成长非生育领域。”

他认为，生育业务是一项‘良好的业务’，惟他拒绝对其利润作出评论。

至5月31日，该集团坐拥3057万令吉的现金。

虽然黄长彦透露，目前它并没有收购计划，但他不否认脱离一间医院集团行列的概念。

“如果有良好机会，我们可能考虑。”

他续称，任何收购计划将是属于保健相关。

该集团的医院已经达到需要‘耗资’替换设备的时间点。

“每间医院拥有一个6至8年的设备特定循环。我们已经经营5年半。”

在2014财政年，TMC生命科学录得净盈利646万令吉及收入8813万令吉，相等于净利润7.4%。

扣除其子公司（722万令吉）和脱售产业、工厂与设备（274万令吉）的赚益，TMC生命科学将拥有197%的按年经营盈利增长。

独立顾问： 出价公平合理 TMC生科股东应接受全购

（吉隆坡8日讯）独立顾问Mercury证券认为，TMC生命科学（TMCLIFE，0101，主板贸服股）全面献购案的出价公平和合理，建议股东接受献议。

林荣富早前向我国企业大亨丹斯里陈志远收购TMC生命科学26.65%股权，宣布以每股48仙，及每张凭单8仙，提出全面献购。

Mercury证券指出，每股48仙献购价，比起用分类加总估值法（SOPV）方式计算得出的42仙至46仙合理价格来得高。

此外，该48仙献购价亦是公司过去3年来历史新高。

有关献购价的企业价值对利息、税项、折旧及摊销前盈利（EV/EBITDA）为25.4倍，比起分类加总估值法得出的21.82至23.98倍来得高。

总结以上因素，Mercury证券认为有关出价相当公平。

另一方面，这次献购也让股东得以实现投资价值，董事局也没有接获其他献议，Mercury证券因而认为这项献购相当合理。
