Pursuant to Paragraph 10.08(1) of the Main Market Listing Requirements (“MMLR”) of Bursa Malaysia Securities Berhad, the Board of Directors (“the Board”) of AirAsia Group Berhad ("AAGB" or "the Company") wishes to announce that AirAsia Berhad, a wholly owned subsidiary of the Company, has on 7 September 2018, entered into a Corporate Rate Agreement (“the Agreement”) with Tune Hotels Management Sdn. Description	AIRASIA GROUP BERHAD ("AAGB" OR THE "COMPANY")PROPOSED DISPOSAL OF AAGB'S AIRCRAFT LEASING OPERATIONS THAT INCLUDES THE PROPOSED FUTURE DISPOSALS AND PROPOSED OPTION
Unless otherwise defined, the abbreviations and definitions used in the announcements by the Company dated 1 March 2018, 27 March 2018, 14 May 2018, 29 June 2018, 19 July 2018 and 8 August 2018 ("Announcements") and the Circular to Shareholders dated 27 April 2018 shall apply herein. We refer to the Announcements in relation to the Proposed Disposals. The Company wishes to announce the completion of the transfer of an additional number of aircraft pursuant to the Incline B SPA and the FLY SPA on 30 August 2018. The total number of aircraft involved under the abovementioned transfer is 15 aircraft and AAGB has received USD201.5 million in gross proceeds in the form of USD151.5 million as cash consideration and 3,333,333 FLY Equity issued at USD15.00 per FLY Depository Share to AAGB in accordance with the FLY Subscription Agreement. To date, the cumulative number of aircraft transferred is 54 aircraft and AAGB has already received gross proceeds totalling USD703.1 million. AAGB is still on track to complete the disposal of the remaining 30 aircraft and 14 aircraft engines under the Incline B SPA and FLY SPA as planned. This announcement is dated 3 September 2018.

Pursuant to Paragraph 9.19 (23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of AirAsia wishes to announce that it has on 13 September 2018 incorporated AirAsia Group (IHQ) Ltd. in Thailand (“AAGIHQ”). The purpose of incorporating AAGIHQ is to provide consultation and services on behalf of the Company to the subsidiaries/ associates of the Company. The total issued share capital of AAGIHQ is THB20.0 million (approximately RM2.5 million) comprising 200,000 ordinary shares. The Company holds 199,997 ordinary shares and three other individuals hold one ordinary share each in the AAGIHQ. The incorporation of AAGIHQ is not expected to have any immediate effect on the issued and paid-up share capital or substantial shareholders’ shareholding in the Company. The purpose of incorporating ATCIPL is to provide consultancy and services in the areas of information technology design, development and implementation. The authorised share capital of ATCIPL is INR1,00,00,000/- (Indian Rupees One Crore Only) divided into 10,00,000 (Ten Lakh Only) Equity Shares of INR 10/- (Indian Rupees Ten Only) each. The incorporation of ATCIPL is not expected to have any material effect on the earnings per share, net assets per share, issued and paid-up share capital or substantial shareholders’ shareholding in the Company. The establishment of ATCIPL is also not subject to the approval of shareholders of the Company and any other regulatory authorities in Malaysia.
